Box 1839 Yelm, WA 98597 Attn: Jim Frasier Re: Service Agreement for City Hall Dear Mr. Frasier, As Project Manager for the City Hall Remodeling Project Ms. Shelly Badger forwarded to me your recent bill to the city for servicing the HVAC systems at the Sewer Plant, Police Department and City Hall. Ms. Badger has approved payment for the Police Department and the Sewer Plant. After review of the city's service agreement and our contract with A M James, it would be inappropriate for us to enter into a service agreement with you as a subcontractor on the remodel project at this time. Section 15055-3.03 states that the contractor is responsible for cleaning and lubricating the HVAC equipment and under section 15800- 3.04, an independent balancer, to insure maximum performance, will test your work. It appears that the work charged for at City Hall was part of your contract with A M James. After one year from acceptance of the remodel we will gladly entertain a maintenance agreement from your firm for City Hall. Thank you. Emergency labor will be reduced by $2.00 per hour below our prevailing labor rate. PREFERENTIAL SERVICE: The Company will provide emergency service to you before non- agreement customers. HOURS OF SERVICE: The services covered by this agreement will be scheduled during The ~D Company's regular working hours, 6:00a.m.to5.00p.m..Monday through Friday, except holidays. After hours or weekend scheduling is available for an additional charge. y PARTS: The agreement does not include any parts or materials except maintenance materials ~J (lubrication/cleaning supplies) necessary to perform the required maintenance. REPAIRS: Any repairs required beyond those provided in this aareement will be brought to your attention and will be billed on a time and material basis. Payment is due upon receipt of repair invoice. The Company shall not be liable for any loss arising from delay, failure to discover a condition requiring repair or replacement, or as a consequence of any performance under this agreement. RECORDS: The Company will maintain a complete record of all maintenance and repairs performed 2'1 by us and will provide you with a written report upon completion of any work.
