CompliancewithLaws.Lendermay do anyandallthingstoexecuteandcomplywiththelawsoftheStateof Washingtonandalsoallotherlaws,rules,orders,ordinancesandrequirementsofallothergovernmentalagencies affectingtheProperty. LeasetheProperty.Lendermay rentorleasethewholeoranypartofthePropertyforsuchtermortermsandon suchconditionsasLendermay deemappropriate. EmployAgents.Lendermay engage suchagentoragentsasLendermay deem appmpriate,eitherinLender's name orinGrantor'sname,torentandmanagetheProperty,includingthecollectionandapplicationofRents. OtherActs.Lendermay do alisuchotherthingsandactswithrespecttothePropertyas Lendermay deem appropriateandmay actexclusivelyandsolelyintheplaceandsteadofGrantorandtohaveallofthepowersof Grantorforthepurposesstatedabove. No RequirementtoAct.Lendershallnotbe requiredtodo anyoftheforegoingactsorthings,andthefactthat LendershallhaveperformedoneormoreoftheforegoingactsorthingsshallnotrequireLendertodo anyother specificactorthing. APPLICATIONOF RENTS. AIIcostsandexpensesincurredby LenderinconnectionwiththePropertyshallbefor Grantor'saccountandLendermay pay suchcostsandexpensesfromtheRents.Lender,initssolediscretion,shall determinetheapplicationofanyandallRentsreceivedby it;however,anysuchRentsreceivedby Lenderwhichare notappliedtosuchcostsandexpensesshallbe appliedtotheIndebtedness.Allexpendituresmade by Lenderunder thisAssignmentand not reimbursedfrom theRentsshallbecomea partoftheIndebtednesssecuredby this Assignment,andshallbepayableondemand,withinterestattheNoteratefromdateofexpenditureuntilpaid. FULLPERFORMANCE. IfGrantorpaysalloftheIndebtednesswhen dueandotherwiseperformsalltheobligations imposeduponGrantorunderthisAssignment,theNote,andtheRelatedDocuments,Lendershallexecuteanddeliverto GrantorasuitablesatisfactionofthisAssignmentandsuitablestatementsofterminationofanyfinancingstatementon fileevidencingLender'ssecurityinterestintheRentsandtheProperty.Any terminationfeerequiredby lawshallbe paidbyGrantor,ifpermittedbyapplicablelaw. Deathor Insolvency.ThedissolutionofGrantor's(mgardlessof whetherelectiontocontinueismade),any memberwithdrawsfromthelimitedliabilitycompany,oranyotherterminationofGrantor'sexistenceasa going businessorthedeathofanymember,theinsolvencyofGrantor,theappointmentofa receiverforanypartof Grantofsproperty,any assignment forthebenefitof creditors,any type of creditorworkout,or the commencementofanyproceedingunderanybankruptcyorinsolvencylawsbyoragainstGrantor. Insecurity.Lenderingoodfaithbelievesitselfinsecure. Insurance. Ifthe insurancepolicy alsocovers other facilitiesor propertieswithin PrairiePark beyond the common facilities,the portion of the totalpolicy to be covered under thisagreement shallbe determined by the percentage of totalland areawithin PrairiePark which comprise the common facilityeasements. Each owner would be responsiblefor theirshare of this aliquot portionbased on the standard square footage formula. 5.Compliance with Laws and Resulations -Indemnification. Each Owner shall,with respect to its own Lot,comply with all laws, rules, regulationsand requirement of allpublic authorities,and indemnify,defend and hold each other Owner harmless againstallclaims,demands, loss,damage,liabilitiesand expenses and allsuits, actionsand judgments (includingbut not limitedto costs and attorney'sfees)arisingout of or in any way relatedto such Owner's failureto maintain itsProperty ina safeconditionincludingany oilchemical or other contamination. Each Owner shallgive prompt and timely noticeof any claim made or suit or action commenced against it that in any way would result in indemnificationunder thisAgreement. 6.Construction. The ruleof strictconstructiondoes not apply to thisAgreement.The Agreement shallbe given reasonable constructionso that the intentionof Grantors to createand convey a benefitof stormwater detentionand a joint burden of maintenance for Owners iscarriedout. Modulationtothefacadeby useofwindows,awnings,arches,colunms,facadedivisions,roofvariationsand overhangs,etc,arestronglyencouraged.As longasitisinteresting,hasdetailandis"foursided"thereareno "style"limitations(asina theme)normaterialconformityrequired.NationalTenant/NationalFranchise Architecture(buildingdesignsthatareprototypicaloridentifiablewitha particularchainor corporation)shall be stronglyencouragedtobe unique. ii.ExternalgroundIcvelorwall-mountedhealing,airconditioning,electricalandotherequipmentshallbe installedinamannerthatitisscreened,coveredandotherwisevisuallyobscuredfromotherparcelswithin PrairiePark.Abandonedandlordamagedutilityboxes,meters,and pedestalsshallbe repaired.Utilityboxand pedestals(includingbutnotlimitedtotransformers,switchgear,phoneandcableTV pedestals)shallbe placedsuchthattheydonotblockrequiredvisibilityirianglesatstreetinterseclionsanddriveways.The developerisresponsibletoworkwiththeutilitycompaniestocoordinatelocationsofutilityboxesand pedestalsaccordingtotheprovisionslistedabove.Utilityboxes,pedestalsandmeterpanelsshallbe paintedto blendinwithsurroundingsortomatchthebuildingwallswithutilitycompanyapprovals. iii.Buildingsshallbe designedsothattheexteriorelevationofeachwillbe aestheticallycompatiblewith otherstructureswithinPrairiePark,and sothatthebuildings,walls,footingsand awningsshallnotencroach fromonelotontoanotherlotasrequiredby applicablezoningregulations.Designand constructionshall conformwithsoundarchitecturalconstructionand engineeringstandardsasestablishedbyuniformcodeand localregulations, iv.Allimprovementsshallbe ofgood quality. v.Allexteriorsshallhaveafinishedtreatment. vi.ColorsutilizedinfinishingexteriorsshaHbenaturaltonesorothercolorsmutuallyagreedupon by DeclarantandOwner.Designaccentswi1htwo ormorecolorsareencouraged. b.Screening.In ordertomaintainaneatandorderlyappearanceforPrairiePark,Declarantmay,when outsidematerialstorageispermitted,requireOwner toinstallorconstructberms,opaquewalls,fences,shrubberyor othermethodologytoobscuretheviewofitemsstoredoutdoors. c.On-siteLightine.The objectiveofon-sitelightmgistolightlandscapedareas,pedestriancirculation, buildings,parkingorapprovedstoragefordecorativeorseemityreasons.Lightingshallbe designedtoavoidor minimizelightdiffusiontoadjoiningpropertywherenegativeimpactsmay becreated.Itshouldbe directionaland shieldedwhereverpossible.Itshouldnotcompetewithnordetractfromstorefronts. d.CFFED Principles.UseoftheCrimePreventionThroughEnviromnentalDesignprinciplesisstrongly encouraged.The conceptisthattheproperdesignandeffectiveuseofthebuiltenvironmentcanleadtothe reductionintheincidenceandfearofcrime,andan improvementinthequalityoflife.The principlesinclude; *Physicaldesignwhichkeepspotentialintrudersundertheperceptionofcontinualwatch.Physicaldesign whichguidesthemobilityofpeopleandwhichdecreasescrimeopportunityandincreasesperceptionofrisk topotentialoffenders *Physicaldesignwhichencouragesusersofpropertytodevelopownershipoverit,developingspacewithan easilydiscemiblepurpose,usingsymbolicbarrierssuchaslow lyingfences/wall,landscapingand signage, eliminalingambiguousspaces,encomagmg easy maintenance,anddiscouragingcrime *Managingandmaintainingpropertydemonstratesthatsomeonecaresaboutandisobservingtheproperty *Landscapingconsiderations,includingplantingshrubswitha maximum heightoftwotothreefeetandtrees witha propergroundclearanceofseven(7)feetabovewalkwaysand sidewalksand fourteen(14)feetabove vehiculartravelandparkinglanes.Thisshallbe accomplishedthough pmperpruningpracticesnotby clear cutting,toppingtreesorother"pruningforexposure"techniques *Symbolicbarriers,suchaslow lyingfences/walls,landscapingand signageshallbeusedtodiscouragecrime andtopromotesafety. *Streetandparkingsideofbuildingelevationswithextensivewindows,balconies,decksorlandscapeterraces areencouraged. ARTICLE IH MaintenanceStandards Themaintenancestandardsareintendedtooutlineminimum standardsandtherequiredlevelofupkeepandrepair forstructuresandthesurroundinglandscapingandproperty. 3.1.Buildings.Exteriorwallsandfacingsshallnotbeallowedtobecome cracked,chipped,fadedorinany way deterioratedsothattheaestheticsareimpairedasdetenninedby Declarant.Brokenwindows,doorsorotherexterior members ofstructuresshallbe repairedorreplacedpromptly. 3.2IandscapingAlllandscapingshallbemaintainedinan attractivemannerandweed freeconditionatalltimes. Plantsandshrubsshallbe maintainedina healthy,diseasefreecondilion.Pools,formtainsandthelikearetobe maintainedinacleanandoperatingcondition.Landscapingshouldnotbesoheavythatitobscuressignageor pmvidesplacesforpeopletohide. 33 OutdoorSpaces.Streetfurnitureand gatheringspacesshouldencouragepedestrianactivitywhilenotinviting loitering. 3.4.Screenine.Fencingand any otherarchitecturalscreenshallbe maintainedinan aestheticallypleasingformand notallowedtobecomedeteriorated. 3.5.PavedArcasandOtherSurfaces.Allpavedareaswhetherusedforparking,driveways,truckloadingor otherwise,shallnotbe pennittedtobecome broken,cracked,settledorotherwiseinneedofrepairs.Grass,weeds andotherplantmaterialgrowingincracksshouldbe removed.Areascoveredwithgravel,bark,rocksorwood chips aretobe keptfreeoflitteranddebris.Markingson pavedsurfacesaretobe maintainedtobe clearlyvisible. 3.6.UnimprovedAreas.Allareasthatarenototherwiselandscapedorimprovedshallbe maintainedinaweed free condition.EachOwner shallremoveandwillnototherwisepermitweedsidentifiedbytheNoxiousWeed Control Boardasdangeroustopublichealth,safetyand welfaretobeon therealproperty. ARTICLE IV Common Areasand Facilities 4.1.Common Areas.Common AreasandFacilitiesaredescribedperinstrumentrecordedunderThurstonCounty Auditor'sFile4265165 ARTICLE V Assessments 5.1The costofmaintainingcommon facilitiesisestablishedbytheMaintenanceAgreementfiledatThurston CountyAuditor'sFileNumber 4265167 ARTICLE VI Enforcement 6.1.DeclarantshallhavetherighttoenforcethisDeclarationandthecovenants,conditionsand restrictionsbyany proceedingsatlaw orinequitythatitdeems appmpriate.Unpaidassessmentsshallconstitutealienagainstan Owner'spropertyandmay beenforcedbyfilingtheassessmentasalienbyrecordingnoticethereofwiththe ThurstonCountyAuditorandenforcedby foreclosureactioninThurstonCountySuperiorCourt,followingthesame procedureasissetforthfortheforeclosureofliensforthefurnishingoflaborandmaterials.The prevailingparty shallbe entitledtorecovertheircostsand reasonableattoracy'sfeesinany enforcementaction.Inaddition, DeclarantshallhavetherighttosuspendaccesstoCoonnon AreasandFacilitieslocatedwithinthemforviolationof anycovenant,conditionorrestrictionorfailuretopay any assessmentswhen due.Priortotheinitiationofany enforcementproceedingorotherremedy,Declarantshallprovide60 dayswrittennoticetotheoffendingparty specifyingtheallegeddefault.Duringthisnoticeperiod,theoffendingpartyispermittedtocurethedefaultalleged inthewrittennotice.Ifthedefaultallegedisnotcuredwithinthenoticeperiod,thenDeclarantmay invokeany of theenforcementproceedingsorremediesprovidedforinthisDeclarationorotherwiseavailableby law. ARTICLE VIII EnvironmentalCovenants 8.1.HarardousMaterials.Ownersshallnotengageinorallowthegeneration,use,manufacture,treatment, transportation,storageordisposalofanybazardoussubstancein,on,underoradjacentto1heirrealpropertythatin anyway isprohibitedby applicable federal,stateandlocallaws,regulationsand orders.Owner shallnotengagein orallowtheunlawfulrelease(fromundergroundtanksorotherwise)ofanyhazardoussubstancein,on,underor adjacenttoOwner'srealproperty(includingair,surfacewaterandgroundwateron,in,underor adjacenttothereal property).Owner shallatalltimesbeincompliancewithallapplicablelaw (andshallcauseitsemployees,agents andcontractorstobe)withrespecttotherealpropertyorany hazardoussubstanceandshallbandleallhazardous substancesincompliancewithgood industrystandardsandmanagementpractices.As usedinthisDeclaration,the term"hazardoussubstance"shallmean any substance,chemicalor waste,includinganypelroleumproductsor radioactivesubstances,thatisnow or shallhereafterbe listed,definedorregulatedashazardous,toxicor dangerous underanyapplicablelaws.As usedinthisDeclaration,"applicablelaw"shallmean anyfederal,state,orlocallaws, ordinances,rules,regulationsandrequirementsnow orhereafterenacted(includingconsentdecreesand administrativeorders)relatingtothegeneration,use,manufacture,treatment,transportation,storage,disposal,or releaseof anyhazardoussubstance. ARTICLE IX Other Regulations 9.1. RealpropertyinPrairieParkmay beusedaspermittedby applicablezoningregulationsofYelm, Washington,orany othergovermnentalbody havingjurisdictionoverzoningexcepttotheextentrestrictedbythis Declaration.IntheeventofconflictbetweenzoningregulationsandthisDeclaration,theprovisionsofthis Declarationshallcontrol. 9.2.OffensiveTrade.No unlawful,noxiousoroffensivetradeor activityshallbe carriedon upon theproperty,nor shallanythingbedonethereonwhichmay beorso become an annoyanceornuisancetoneighboringOwnersor occupants,norshallsoundand externalnoiseandodorsbe pernatedwhichexceedsapplicablegovernmental regulations. 9.3.Agag.Declarant'sintentistopernntreasonablesignageinPrairieParkwithoutimpositionof strictstandardsto accommodateflexibilityinsigndesign.However,toensurecompliancewiththisDeclaration,allsigndesigns, materials,location,size,colorsand detailsmustbesubmittedtoDeclarantforapprovalpriortoinstallation.Once a givenstyleof signisapproved,additionalsignsofthesamesizeand styleneednotbe submittedtoDeclarantfor approval. a.Signagemustmeet citystandardsforsignagewithina businesspark.Signageisencouragedtobe integratedintothearchitecturaldesignof thebuildingswithina developmentandshallbe coordinatedso farasisreasonablypossiblewiththeexteriordesignand colorsofthebuildingtowhichthesignsapply. SignageisprohibitedwithinallCommon AreasofPrairieParkasdelineatedontheapplicableBindingSite Planexceptforcommunal signs.The purposeofthisrestrictionistoavoidinterferencewiththe maintenanceof landscapingandperiodicexcavationofutilitylineslocatedwithinthearea. b.Grtainportion'sofparcel"64303700100"may be reservedforcommunal signageforthebusinesspark ownersasmay be assignedby DeclarantMaintenanceforthesignsshallbe paidby thoseutilizingthem. Thereshallbe no more thanoneshasedsignstructmeon eachoftheseareas.Signageshallconformtowhat isallowedby localcodeexceptasnotedintheBuildingGuidelinesAgreement AH saidstructuresmustbe approvedinwritingby PrairieParkLLC oritsdesignatepriortoconstruction. c.QuietandtastefulsignageisgenerallyencouragedaroundPrairiePark.However,forfacadesaroundthe circleparkand facingintoeachother,neon,flashing,rotatingorothersignsina"timessquare"fashionare greatlyencouraged.Thisisintendedtohelpcreatean atmosphere,likeanartinstallation,nottobe informativetotravelerson surroundingpublicstreers. d.Illuminatedsignsareallowedasspecificallyapprovedby Declarant. c.FreestandingadvertisingsignsareprohibitedunlessspecialwrittenpermissionfromDeclarantisobtained. f.Approvedmonument signsarepermittedasaredirectionaltypesigns,however,notwithincasementareas. g. Approved wallorbladesignsontheexteriorofa buildingarepermitted,butlimitedtotheidentificationof theoccupant. 9.4.Animals.No animals,livestockorpoultryofany kindshallbe raised,bredorkeptonthepropertywithout writtenapprovalby thedeclarantandonlyaccordingtocitycode. 9.5.Rubbeb.Allrubbish,trashand garbageshallbe regularlyremovedfromthepropertyand shallnotbe allowed toaccumulatethereonfora periodinexcessofseven(7)days. 9.6 EmployeeParking.Ownersshouldencourageemployeestoparkinthemore distantspotsandtheDeclarant reservestherighttomake rulesregardingemployeeparking. 9.7.BindingSitePlan.Each Owner ofpropertyinPrairicParkshallcomplywiththeconditionsand covenants imposedonPrairieParkinconnectionwiththeBindingSitePlan. 9.8Maintenance.EachOwner shallkeepthepropertyandimprovementsingood orderand repairincluding,without limitalion,allbuildings,landscapingand otherimprovementsthereon.The Owner shallfollowa regularcourseof maintenanceforallbuildingsand improvementsandshallregularlymow andwateralllawn areasand regularly maintainallotherlandscapingon theOwner'spropertywhichisnotmaintainedby Declarant.The Owner shallnot permittheproperty,landscapingorany improvementsthereontoexhibitsignsofdeterioration,disrepairorneglect. EachOwner shallmaintainitsparceland allstructures,parkingareasand otherimprovementsingood orderand repairandfreeofdebris.Suchmaintenanceobligationshallinclude,butshallnotbe limitedto: 1.Promptlyremovingalllitter,trash,refuse,andwastes. 2.Lawn mowing ona regularbasis. 3.Treeandshrubpruning. 4.Keepinglawnand landscapedareasalive,freeofweeds,and attractive. 5.Keepingparkingand loadingareas,driveways,and privateroadsingood repair. 6.Keepingimprovements,exteriorlightingand mamtenancefacilitiesingood repairand workingorder. 7.Complyingwithallgovernment,healthand policerequirements. 8.Repaintingofimprovements. 9.Repairingexteriordamage toimprovements. 10.Slripingofparkingareas. 11.MaintainindividualStormDrainsystemifseparatetotheirindividualsite. 9.9Snow Removal.Each Owner shallbe responsibleforsnowremovalfromtheproperty.Declarantwillbe responsibleforsnow removedfromallcommon areas,includmgsidewalks,(notincludingpublicstreets),thecostof whichshallbe assessedtoeachOwner asprovidedabove.Snow removalmay be arrangedinconjunctionwiththe declarant'sremovalbutchargedbacktotheowner. 9.10.HoursofOperation.Shoulditseemdesirableforthebenefitofall,theOA may establishrulesforopening hoursofretailorientedbusinessesinPrairiePark.providedthatthisshallnotapplytoTimberlandRegionalLibrary oranypropertyorcondominiumunitowned by theCityofYelm. 9.11.Ownersffenants.Intheeventan Owner leasesto,or allowspossessionof,Owner'srealpropertyby a tenant, eachsuchtenantshallbebound by allofOwner'sobligationsimposedby thisDeclaration. 9.12.Amendments.IhisDeclarationcanbe amended by theDeclarantuntilsuchtimeastherearethreeormore separateparcelownersand subsequenttothatdate,theamendmenttothedeclarationshallonlybemade upon the consentor75% oftheparcelowners,ieone voteperparcelregardlessiftheiraremultipleownersofa givenparcel. 9.13Severability'llaisinstrumentcontainstheentiredeclarationrelalingtotherightsgrantedand theobligations assumed.Any oralrepresentationsormodificationsconcerningthisinstnunentshallbe ofnoforceandeffect.In caseanyoneormore oftheprovisionscontainedinthisAgreementshallforanyreasonbe heldtobe invalid,illegal, orunenforceableinany respect,suchinvalidity,illegality,ornon edon-eabilityshallnotaffectany otherprovision hereof,andthisAgreementshallbe construedasifsuchinvalid,illegal,orunenforceableprovisionhadneverbeen containedherein. 9.14RindingAibitrationofDisputes.Intheeventofa disputebetweentheownersastoanyaspectrelatingtothe enforcementofthisDeclarationorrelatingtoeasementuse,maintenance,repairorreplacement,includingbutnot limitedtothatnecessarytherefore,theownersagreetosubmitthedisputetobindingarbitrationasprovidedherein.
