UPDATES - City Administrator - Michael Grayum - • Legislative Update: A bundle of funding has been approved for recreational projects and low interest loans that will benefit the Water Reclamation Facility (WRF) Upgrades. The Capital Budget includes the City of Yelm's request for a Class A Biosolids Dryer for the WRF that will reduce the total construction costs for the WRF Upgrade by $805,000. The Transportation Budget maintains the funding to complete Phase 2 of the SR 510/Yelm Loop, totaling $58,500,000 over the course of 2019-2027. The Legislature also appropriated funds for the I5 portion that crosses the Nisqually River April 27, 2021 Page 1 1 Delta. We just received an update today from our Congressional Delegation on the Community Project Funding (CPF) to make an ask of our Congresswoman Marilyn Strickland to buy land for the Habitat Conservation Plan using federal dollars. Thank you to community partners for writing letter of support for this ask. The compelling case will be made to the Appropriations Committee and then we wait until Congress takes action at the end of the year. A Finance Director has been selected with the help of Finance Committee member Councilmember Carmody. Stephanie Dice starts May 1011 and we are excited. The Finance Committee will get a full debrief on the work the CPA firm has done soon. The Boards and Commissions need help getting the word out for volunteers to fill these committees. Chief Stancil has done a great job with the Thurston County Disaster Recovery Council. Chief Todd Stancil reported on the theft at Longmire Park. The video was shared on social media and the response was huge. The post was seen by over 110,000 people and shared over 1,500 times in 24 hours. As a result, the suspect vehicle was located this morning at a residence just outside of Yelm. Yelm Police are still looking for the driver and the products that were stolen. Hopefully the products will be returned to the Nisqually Basin Little League soon. • Two hybrid police vehicles have arrived and are being outfitted with decals and police equipment. • The Police Department will do a presentation at the Yelm Chamber Forum May 1111 to discuss crime and business crime prevention in our local community. • Emergency Management is working on Cascadia Rising in June of 2022. In 2016, the Cascadia Rising focused on the event as it happened. The June 2022 event will focus on recovery and transportation impacts. • The Spring Executive Emergency Management Seminar virtual event took place last night. This event was directed toward elected and appointed officials there were over 70 participants. There was an Emergency Management 101 presentation. • Chief Stancil has been working on an Interlocal Agreement that would establish a Thurston County Disaster Recover Committee for over a year. This will come before Council on May 25, 2021. • The Earthquake warning system is scheduled to go live on May 411 More information on how to sign up will be shared on social media. Councilmember Carmody attended the Yelm Public Works Committee meeting, Thurston County Law and Justice Council meeting and the Intercity Transit Authority meeting. Intercity Transit will hold a public hearing on May 19, 2021 on Transportation Improvement Projects. Councilmember Curry attended the Southeast Thurston Fire Authority meeting and the Yelm Senior Center meeting. The Yelm Senior Center received a large donation from a National Insurance Company. Councilmember Wood attended the Administrative Board of Directors for Transportation Regional Planning Council meeting. April 27, 2021 Page 1 2 Councilmember DePinto attended the Yelm Public Works Committee meeting. Councilmember DePinto stated the approved Capital Budget for the Class A Biosolids Dryer would be a huge help for ratepayers in Yelm. The Lake Lawrence Fire Station was also approved in the Capital Budget. Councilmember Kaminski is excited to attend in person Council meetings. Councilmember Kaminski attended the Nisqually River Council meeting and reported that legislation has been signed to honor tribal leader Billy Franks Jr. as a national resources and civil rights champion and a statue will be put in the National Statutory Hall in Washington D.C. Mayor JW Foster attended two briefings from the Department of Health (DOH) and the State Transportation Commission. The upcoming Community Events will have to follow the guidelines from the DOH and have a written guiding document demonstrating how they plan to keep their events safe for the community. Highlights from the Transportation Seminar is that Washington is spending on building roads and bridges but not enough on preservation of that infrastructure. The state is looking at new ways to fund the Transportation Projects that includes the I5 improvements that are direly needed. There was a briefing from the Puget Sound Regional Council who did a commercial air capacity study. SeaTac Airport and Paine field are not able to handle the expected demand going forward. Another commercial airport is needed along with an additional three runways to meet the expected demand by 2050. Mayor Foster encouraged everyone to go to Yelm City Park and look at the butterfly garden put in by the Girl Scout Troop and the Public Works department and community garden that has been created recently. Stephanie Dice has been hired as the new Finance Director and starts May 10". She will attend a Council meeting so everyone can meet her. KEY FACTS AND INFORMATION SUMMARY: In 2016, the City of Yelm (City) and RH2 Engineering, Inc., (RH2) began the effort of updating the City's 2010 Waster System Plan (WSP) as required by the Washington State Department of Health (DOH). This effort was placed on hold until the status of the City's SW Well water right was determined. Once the Washington State Department of Ecology (Ecology) approves this water right, the City will be ready to move forward with the WSP update. In addition, the City needs to comply with the requirements of America's Water Infrastructure Act (AWIA). This means that the City must develop a Risk and Resilience Assessment (RRA) and Emergency Response Plan (ERP). Findings from the RRA will supplement WSP recommendations and future capital improvements planning. The City must certify compliance with RRA and ERP requirements on a schedule dependent on system size. Recertification will be required every 5 years. City Engineer for: Cody Colt Director, Public Services Department 211�,ge PROFESSIONAL SERVICES AGREEMENT RI -12 Project Number: THIS AGREEMENT, made and entered into on this day of 120 , by and between the City of Yelm, A MUNICIPAL CORPORATION hereinafter called the "CLIENT," and the consulting firm RH2 Engineering, Inc., whose address is, 22722 29th Drive SE, Suite 210, Bothell, Washington 98021, at which work will be available for inspection, hereinafter called the "CONSULTANT." PROJECT NAME: Water System Plan Update and America's Water Infrastructure Act Compliance WHEREAS, the Client deems it advisable to engage the professional services and assistance of a qualified professional consulting firm to do the necessary engineering work for the project. WHEREAS, the Consultant operates in compliance with the statutes of the State of Washington for registration of professional engineers, has a current valid corporate certificate from the State of Washington or has a valid assumed name filing with the Secretary of State, and that personnel to be assigned to the work required under this Agreement are qualified to perform the work to which they will be assigned, and that sufficient qualified personnel are on staff or readily available to the Consultant to staff this Agreement. WHEREAS, the Consultant will perform the work set forth in the Agreement upon the terms and conditions set forth below and in the following Exhibits: Exhibit A Scope of Work Exhibit B Fee Estimate Exhibit C Schedule of Rates and Charges NOW THEREFORE, in consideration of the terms, conditions, covenants and performances contained herein below, the parties hereto agree as follows: SCOPE OF WORK The Consultant shall facilitate completion of the work described in Exhibit A which is attached hereto and incorporated into this Agreement. The Consultant shall make minor changes, amendments or revisions in the detail of the work as may be required by the Client. This item does not constitute an "Extra Work" item as related to the "Extra Work" section of the Agreement. The Consultant is entitled to rely on the accuracy and completeness of any data, information, or materials provided by the Client or others in relation to the work. STANDARD OF CARE The Consultant shall be held to the same standard of care as is ordinarily practiced by other similar design professionals in that discipline for comparable work provided in a similar locality. DESIGN CRITERIA The Client will designate the basic premises and criteria for the work needed. Upon completion of the project, the Consultant shall provide the Client with tangible copies of the project documents in accordance with Exhibit A. The Consultant shall retain ownership of the source files and information developed by the Consultant in preparing the project documents. The Consultant shall provide the Client with electronic copies of the project documents, in accordance with Exhibit A, in any of the following formats: Adobe Portable Document Format (PDF), AutoCAD° Drawing Web Format (DWF) or JPEG (JPG). Any reuse of the project documents that is beyond the scope of the project is prohibited without written authorization from the Consultant. The Client acknowledges the Consultant's plans and specifications are instruments of professional service. The Client agrees to hold harmless and indemnify Consultant against all claims made against Consultant for damage or injury, including defense costs arising out of any reuse of such plans and specifications by any third party without the written authorization of the Consultant. Methodology, materials, software, logic, and systems developed under said Contract are the property of the Consultant, and may be used as the Consultant sees fit, including the right to revise or publish the same without limitation. TIME OF BEGINNING AND COMPLETION The Consultant shall not begin work under the terms of this Agreement until authorized in writing by the Client. If, after receiving Notice to Proceed, the Consultant is delayed in the performance of its services by factors that are beyond its control, the Consultant shall notify the Client of the delay and shall prepare a revised estimate of the time and cost needed to complete the Project and submit the revision to the Client for its approval, which shall not be unreasonably withheld. Time schedules are subject to mutual agreement for any revision unless specifically described as otherwise herein. PAYMENT The Consultant shall be paid by the Client for completed work for services rendered under this Agreement as provided hereinafter and as specified in Exhibit B and Exhibit C. Such payment shall be full compensation for work performed or services rendered and for all labor, materials, supplies, equipment, and incidentals necessary to complete the work. All billings for compensation for work performed under this Agreement will list actual time (days and/or hours) and dates during which the work was performed and the compensation shall be figured using the rates in Exhibit C. Payment for the work shown in Exhibit A shall not exceed $150,150 without a written amendment to this contract, agreed to and signed by both parties. Payment for work stated in Exhibit A will be calculated based on the Consultant's hourly rates stated in Exhibit C. Payment for extra work performed under this Agreement shall be paid as agreed to by the parties in writing at the time the extra work is authorized. (See "EXTRA WORK") Finance charges, computed by a "Periodic Rate" of 1% per month, which is an annual percentage rate of 12% (applied to the previous month's balance after deducting payments and credits for the current month), will be charged on all past -due amounts unless otherwise provided by law or by contract. Acceptance of final payment by the Consultant shall constitute a release of claims related to payment under this Agreement which the Consultant may have against the Client unless such claims are specifically reserved in writing and transmitted to the Client bythe Consultant priorto its acceptance. The Consultant shall keep available for inspection by the Client, for a period of three (3) years after final payment, the cost records and accounts pertaining to this Agreement and items related to, or bearing upon, these records. If any litigation, claim or audit is started before the expiration of the three-year retention period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved. The three-year retention period starts when the Consultant receives final payment. CHANGES IN WORK The Consultant shall make revisions and changes in the completed work of this Agreement as are necessary to correct Consultant's errors, when required to do so by the Client, without additional compensation. Should the Client find it desirable for its own purposes to have previously completed work or parts thereof revised, the Consultant shall make revisions, if requested and as directed by the Client in writing. This work shall be considered as "Extra Work" and will be paid for as provided in the Section "Extra Work." EXTRA WORK The Client may desire to have the Consultant perform work or render services in connection with the Agreement in addition to or other than work provided for by the expressed intent of the Scope of Work. Such work will be considered as Extra Work and will be specified in a written supplement which will set forth the nature and scope thereof. Work under a supplement shall not proceed until authorized in writing by the Client. Any dispute as to whether work is Extra Work or work already covered under this Agreement shall be mutually resolved by the parties before the work is undertaken. EMPLOYMENT The Consultant warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for the Consultant, to solicit or secure this contract and that he has not paid or agreed to pay any company or person, other than a bona fide employee working solely for the Consultant, any fee, commission, percentage, brokerage fee, gifts or any other consideration, contingent upon or resulting from the award or making of this contract. For breach or violation of this warranty, the Client shall have the right to annul this Agreement without liability, or in its discretion to deduct from the Agreement price or consideration or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. Any and all employees of the Consultant, while engaged in the performance of any work or services required by the Consultant under this Agreement, shall be considered employees of the Consultant only and not of the Client, and any and all claims that may or might arise under the Workman's Compensation Act on behalf of said employees, while so engaged in the work or services provided or to be rendered herein, shall be the sole obligation and responsibility of the Consultant. NONDISCRIMINATION The Consultant agrees not to discriminate against any client, employee or applicant for employment or for services because of race, creed, color, national origin, gender, marital status, sexual orientation, age, or handicap except for a bona fide occupational qualification with regard to, but not limited to the following: employment; promotions; demotion or transfer; recruitment or any recruitment advertising; layoff or terminations; rates of pay or other forms of compensation; selection for training; and rendition of services. The Consultant understands and agrees that if it violates this Non -Discrimination provision, this Agreement may be terminated by the Client and further that the Consultant shall be barred from performing any services for the Client now or in the future, unless a showing is made satisfactory to the Client that discriminatory practices have terminated and that recurrence of such action is unlikely. TERMINATION OF AGREEMENT The parties reserve the right to terminate this Agreement at anytime upon not less than ten (10) days written notice to the other party, subject to the Client's obligation to pay Consultant in accordance with the subparagraphs below. A. In the event this Agreement is terminated by the Client other than for fault on the part of the Consultant, a final payment shall be made to the Consultant for actual cost for the work completed at the time of the termination of the Agreement. In addition, the Consultant shall be paid on the same basis as above for any authorized extra work completed. No payment shall be made for any work completed after ten (10) days following receipt by the Consultant of the Notice to Terminate unless otherwise agreed. If the accumulated payment made to the Consultant prior to the Notice of Termination exceeds the total amount that would be due as set forth herein above, including any and all extra work, then no final payment shall be due and the Consultant shall immediately reimburse the Client for any excess paid. B. In the event the services of the Consultant are terminated by the Client for actual fault on the part of the Consultant, the above stated formula for payment shall not apply. In such an event the amount to be paid shall be determined by the parties with reasonable consideration given to: the actual costs incurred by the Consultant in performing the work to the date of termination; the amount of work originally required which was completed by the Consultant in accordance with the standard of care stated herein prior to the date of termination; the cost to the Client of employing another firm to complete the remaining work required and the time which may be required to do so; and other factors which affect the value of the work performed at the time of termination. Under no circumstances shall payment made under this subsection exceed the amount which would have been made if the formula set forth in subsection A had been applied. C. The Consultant reserves the right to suspend performance of the work in the event of nonpayment by Client for invoices furnished in accordance with the Payment provisions as listed herein. In the event that Consultant suspends performance of the work, the Consultant and the Client shall make a good faith effort to resolve the matter of nonpayment. Consultant shall resume work once such resolution is reached and payment is received in full. D. The Client shall be provided with tangible and electronic copies of the documents in accordance with the "Ownership of Products and Documents to be Furnished by the Consultant" section of the Agreement herein. DISPUTES The parties shall make a good faith effort to resolve disputes concerning questions of facts in connection with work prior to initiating legal action. In the event that either party institutes legal action or proceedings to enforce any of its rights in this Agreement, both parties agree that any such action shall be brought in the courts of the State of Washington, situated in Thurston County. LEGAL RELATIONS The Consultant shall comply with all federal, state and local laws and ordinances directly applicable to the work to be done under this Agreement. This contract shall be interpreted and construed in accordance with the laws of Washington. The Consultant agrees to indemnify and hold harmless the Client, its officers and employees from claims, demands or suits at law or equity directly resulting from Consultant's negligent acts, errors or omissions under this Agreement, provided that nothing herein shall require the Consultant to indemnify the Client against and hold harmless the Client from claims, demands, or suits resulting from the conduct of the Client, its officers or employees. Provided further, if the claims or suits are caused by or result from the concurrent negligence of (a) the Consultant, its agents, or employees, and (b) the Client, its agents, officers, or employees, this provision with respect to claims or suits based upon such concurrent negligence shall be valid and enforceable only to the extent of the Consultant's negligence or the negligence of the Consultant's agents or employees except as limited below. The Consultant shall secure general liability, property damage, auto liability, and professional liability coverage in the amount of $1.0 million, with a General Aggregate in the amount of $2.0 million, unless waived or reduced by the Client. The Consultant shall submit to the Client a completed Standard ACORD Certification Form as proof of insurance. This Form shall name the Client as an additional insured for Consultant's applicable insurance policies. All coverages provided by the Consultant shall be in a form and underwritten by a company acceptable to the Client. The Client will normally require carriers to have a minimum A.M. Best rating of A VII. The Consultant shall keep all required coverages in full force and effect during the life of this project, and a minimum of thirty (30) days' notice shall be given to the Client prior to the cancellation of any policy. The Consultant shall verify, when submitting the first payment invoice and annually thereafter, possession of a current business license while conducting work for the Client. This effort was placed on hold until the status of the City's SW Well water right was determined. Once the Washington State Department of Ecology (Ecology) approves this water right, the City will be ready to move forward with the WSP update. In addition, the City needs to comply with the requirements of America's Water Infrastructure Act (AWIA). This means that the City must develop a Risk and Resilience Assessment (RRA) and Emergency Response Plan (ERP). Findings from the RRA will supplement WSP recommendations and future capital improvements planning. The City must certify compliance with RRA and ERP requirements on a schedule dependent on system size. Recertification will be required every 5 years. Since the City's service population is between 3,301 and 49,999, the U.S. Environmental Protection Agency (EPA) mandated RRA deadline is June 30, 2021, and ERP certification is due within 6 months of RRA certification; therefore, it is due December 30, 2021. Risk and Resilience Assessment (RRA) Overview Per EPA requirements, the RRA will include an assessment of the water system assets and an all -hazard approach to threats, including the following: 1. The risk to the system from malevolent acts and natural hazards. 2. The resilience of the pipes and constructed conveyances, physical barriers, source water, water collection and intake, pretreatment, treatment, storage and distribution facilities, and electronic, computer, or other automated systems (including the security of such systems) that are utilized by the system. 3. The monitoring practices of the system. 4. The financial infrastructure of the system. 5. The use, storage, or handling of various chemicals by the system. 6. KEY FACTS AND INFORMATION SUMMARY: The City Of Yelm contacted Joint Animal Services in 2020 to provide a quote and options for animal services inside City limits. The proposed arrangement would allow for City employees to spend less time on animal services and would save the city roughly $30,000 a year in current animal control costs. This Agreement is made and entered into this 27 day of April, 2021, between the City of Yelm (hereinafter referred to as "Yelm') and Joint Animal Services Commission (including the Joint Animal Services) (hereinafter referred to as "Joint Animal Services Commission'), of which is a municipal corporation operating under the laws of the State of Washington, with respect to the following facts: WHEREAS, the provision of animal control and sheltering services benefits the public welfare and safety; and; and WHEREAS, Yehn desires to contract for animal control services with the Joint Animal Services Commission; and WHEREAS, the Joint Animal Services Commission has an established animal control program, shelter, trained staff, supervision and related equipment and tools known as Joint Animal Services; and WHEREAS, Joint Animal Services has the ability and staffing to provide animal control services to Yelm; WHEREAS, the parties desire to enter into an agreement for the purpose of utilizing Joint Animal Services' capabilities to provide Yelm with animal control services. NOW THEREFORE, IN CONSIDERATION OF THE PROMISES AND AGREEMENTS CONTAINED HEREIN, IT IS AGREED AS FOLLOWS: Section 1. Basic Services A. Joint Animal Services shall provide and perform the services more specifically described in Exhibit "A", attached hereto and incorporated by this reference ("Services"). B. Joint Animal Services shall maintain accounting for all activities of the animal shelter and animal control services in accordance with the requirements of the Washington State Auditor. C. The parties agree that nothing in this Agreement shall be construed as creating an employment relationship between any party and any employee, agent, representative or contractor of any other party. All employees involved in animal control and shelter services will be employees of the Joint Animal Services Commission, Joint Animal Services and the Joint Animal Services Commission and Joint Animal Services shall be responsible for recruitment, hiring, evaluation, setting of salary, discipline and termination of all animal control employees. D. All volunteers involved in shelter services provided by Joint Animal Services will be volunteers of the Joint Animal Services Commission and Joint Animal Services and the Joint Animal Services Commission and Joint Animal Services shall be responsible for recruitment, appointing, scheduling, discipline, termination and L&I coverage of all animal control volunteers. E. In providing such services, Joint Animal Services Commission and Joint Animal Services shall have sole discretion as to the staffing assigned to the animal control program, and Professional Services Agreement For Animal Control Services Page 1 shall be the sole judge as the most expeditious, efficient, and effective manner of handling calls for animal control services, and operation of the shelter. The City of Yelm's Responsibilities: A. Yelm Police may make appropriate contacts and take enforcement action for violations occurring outside of normal work hours and on weekends. For purposes of this agreement, work hours are considered to be the hours between 8:00 a.m. and 5:00 p.m., Monday through Friday. In instances where Yelm Police view violations occurring within the Yehn City Limits, whether or not they are occurring during or outside of normal work hours, they may initiate the necessary enforcement action. B. Yelm shall review its local laws regulating dangerous dogs, licensing, and other animal related codes and shall make amendments as needed to ensure that the regulations contain similar provisions as the Joint Animal Services Commission's to ensure consistency in enforcement and to increase management efficiency. C. Encourage Yehn residents to purchase pet licenses through mailings, newsletters or other means available to the City of Yelm. D. Yelm shall be responsible for any costs associated with enforcing or defending their ordinances related to potentially dangerous or dangerous dog declarations, impounds, or additional costs associated with prosecution of criminal or civil cases, or other unforeseen costs that may arise from time to time. a. The purpose of this section is to address services outside the normal scope of this agreement. Including but not limited to costs associated with Hearing Examiner fees, Superior Court costs, staff costs associated with prosecutors and court staff, or costs associated with maintaining animals as evidence greater than 20 days. The section is not intended to apply to Joint Animal Services Staff costs associated with appearing for a court hearing. Section 2. Compensation In return for the Services, the City shall pay Joint Animal Services such amounts as set forth in Exhibit "B", attached hereto and incorporated by this reference. Section 3. Access to Records Duly authorized representatives of the City of Yelm shall have the right to inspect the records of the Joint Animal Services and the books of the accounts and records relating to animal control services and at any reasonable time. Section 4. Termination This Agreement may be terminated, without cause and for convenience, by any individual party to this Agreement by serving written notice of termination upon the other parties hereto thirty (30) days prior to the anticipated date of termination. Section 5. Mediation/Arbitration Dispute Resolution Professional Services Agreement For Animal Control Services Page 2 In the event either patty should have a dispute relative to any of the terms and conditions of this agreement, or enforcement thereof, the parties agree to attempt to resolve such conflict first by negotiation. If a dispute arises from or relates to this Agreement or the breach thereof and if the dispute cannot be resolved through direct discussion, the parties agree to endeavor first to settle the dispute in an amicable manner by mediation administered by a mediator under JAMS Alternative Dispute Resolution service rules or policies before resorting to arbitration. The mediator may be selected by agreement of the parties or through JAMS. Following mediation, or upon written agreement of the parties to waive mediation, any unresolved controversy or claim arising from or relating to this Agreement or breach thereof may be settled through arbitration which shall be conducted under JAMS rules or policies. The arbitrator may be selected by agreement of the parties or through JAMS. All fees and expenses for mediation or arbitration shall be borne by the parties equally. However, each party shall bear the expense of its own counsel, expert, witnesses, and preparation and presentation of evidence. In the event such effort is not successful, both patties may resolve such dispute through the use of a mediator or arbitrator selected based on mutual agreement of both parties and the decision of the arbitrator shall be binding on both parties. The expense of such mediation or arbitration will be shared between both parties. Any claim, cause of action or dispute relating to or arising under this Agreement shall be governed by applicable periods and statutes of limitation as established by Washington law. Section 6. Duration This Agreement shall be effective upon execution by each party and shall remain in full force and effect until / unless a party notifies the other parties in writing of its intent to terminate as provided in Section 5. Section 7. Modification This Agreement may be modified by further written agreement upon mutual acceptance by all parties. Section 8. Insurance For the duration of this Agreement, all parties shall maintain insurance coverage through membership in the Washington Cities Insurance Authority, Cities Insurance Association of Washington, the Association of Washington Cities or Washington Counties Risk Pool, as the case may be. Section 9. Hold Harmless Each party shall each defend, indemnify and hold the other party, its appointed and elected officers and employees, harmless from claims, actions, injuries, damages, losses or suits including attorney fees, arising or alleged to have arisen directly or indirectly out of or in consequence of the performance of this Agreement to the extent caused by the fault or negligence of the indemnitor, its appointed or elected officials, employees, officers, agents, assigns, contractors, volunteers or representatives. The indemnity provided herein shall include a waiver of the indemnifying party's immunity under Title 51 RCW to the extent necessary to fully indemnify the other party or parties. The provisions of this Section shall survive the expiration or termination of this Agreement with respect to any event occurring prior to such Professional Services Agreement For Animal Control Services Page 3 expiration or termination. Section 10. Applicable Law and Venue This Agreement shall be construed and interpreted in accordance with the laws of the State of Washington. In the event of a dispute, such dispute shall be litigated in the Superior Court of Thurston County, Washington subject to Section 6. Section 11. Severability If any term or condition of this Agreement or the application thereof to any person(s) or circumstances is held invalid, such invalidity shall not affect other terms, conditions or applications which can be given effect without the invalid term, conditions or application; to this end the terms and conditions of this contract are declared severable. Section 12. Counterparts This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument Section 13. The services to be provided by Joint Animal Services and the scope of JAS duties include the following: JAS shall provide to the City of Yelm, the following services and facilities: 1. Animal Control Authorities: JAS shall provide field enforcement and shelter services in accordance with the terms and conditions of this Agreement and pursuant to the provisions of RCW 2. Contract Animal Control Services: a. JAS shall provide animal control services during normal hours of operations, 7 days per week. b. CONTRACTOR shall enforce the provisions of dangerous animals codes pursuant to the ordinances. c. JAS shall act as agents for the County Health Department for the purposes of quarantine of biting animals and the enforcement of State Codes and County guidelines relating to rabies control, including State mandated rabies clinics. d. JAS shall pick up confined stray dogs and confined cats; and impound animals, or return home and issue citations. e. JAS shall administer licensing program. f JAS shall investigate complaints, including those regarding potentially dangerous or vicious animals. g. JAS shall inspect and permit, subject to county ordinance provisions, all Commercial Animal Establishments and Exhibits. h. JAS shall provide impoundment services to include receiving unwanted animals, the impounding, housing, redemption, treatment, euthanasia, and disposal of animals. JAS shall shelter and care for all stray and unwanted animals 24 -hours a day, seven (7) days a week. For the purposes of this agreement, animals held beyond the time frames as outlined by State law, County or City/Town ordinance, and legitimate animal control purposes, shall be the financial responsibility of JAS. i. JAS shall redeem stray animals and collect all fees. j. JAS shall sterilize all cats and dogs prior to placement. k. JAS shall respond to citizen complaints about animal control services. 1. JAS shall respond to calls within 72 hours from receipt of call. 3. Contractor Priorities. JAS shall respond, as JAS'S highest priority, to all emergency calls during normal operating hours. For the purpose of this subsection, "emergency call" means: a.) Animals/situations endangering human life or safety in conjunction with the appropriate law enforcement agency or agencies. b.) Sick or injured animals. c.) Situations threatening animal life or safety. d.) Requests by law enforcement agencies. e.) Protective custody requests. 4. Fee Collection Services: Upon redemption of an animal by its owner, JAS shall collect all impound, board, license, trailering, herding, permit, veterinarian fees and any other contract related fees. 5.
