WHEREAS, the parties hereinaftar desaribed are the ow�ers o[
certain real propez•ty hereinafter described, and:
WHEREAS, it is the purpose of the partie� hereto to share a
well on the property hereinafter described of KENNETH L. ALEXANDER
and SHARON M. ALEXANDER, husband and wife, and to provide all
neceaeary labor and material. to operate, maintain and keep in qood
repair the well and all the nece�sary equipment, including pipes,
a�td
WHEREAS, said parties are desirous of entering into an
agreement as tenants in common in a water system and grant
easements over each others land to efEectuate ti�e purpose of this
ayreement,
NOW, THEREFORE, in consideration of the mutual promises,
covenants and aqreements hereinafter contain, the parties hereto
agree as follows:
1. That the partiec hereto agrae that they will share equalZy
in all of the expenses of maintaining, operatfng and supplying the
necessary equipment to effect the operation of the well and water
system which is the subject of this agreement.
2. That the parties hereto agree that they will be tenants in
common in a water system and all necessary and pertinent apparatus
used in connection with the operation of said water system
including but not limited to the casing, pump and pump house.
3. That ICENNETH L. RLEXANDER and SHARON M. ALEXANDER, husband
and wife, being the owners in fee simple of the following described
property;

right to uae the water system for ordinary domesti� purposea and no
other, and that said system shail serve one eingle family dwa211ng

The above dQSCribed real estate is sil•uated in the Cou ` Th
State of Washington, known as No. �1 Cullens Road
5. That for purposes of this aqreement "ordinary ome `'�`-
purposes" as used herein shall mean all usual domestic uses;
including watering of livestock, but shall not include commercial
irrigation.
6. That if the well should run low, or if there sh�uld be
insufficient water for domestic purposes, all the parties hereto
agree that they will each reduce the use of water as determined by
the Alexander's.
7. That said easements, cavenants, and co-tenancies ahall be
appurtenant to the real property hereto€ore described.
8. That each of the parties to this agreement agree to share
equally the expenses associated with compliance with state and
county regulations and maintenance of the well, the casing, the
pump, the pump house, and all pertinent apgaratus used in
connection with the operation of said well. That the parties to
this agreement further agree that each party will pay their own
expenses of maintaining the piping used fn their own domestic water
system. The parties to this agreement further agree that Allen
will assume the cost of relocating the existing servica pipe so as
to minimfze interference with futur.e improvQments which may include
running the existing service pipe so that it runs to the maximum
extent adjacent to lot lines.
9. None of the parties to this agreement make any warranties
nor covenants as to the quality or quantity of the water in ttte
water system.
10. In the event of any failure to keep and perform any of the
covenants and agreements herein contained and such failure
continues for twenty (20) days after written notice from the
Alexander�s, unless appropriate action has been taken by Al1en in
good faith to cur.e such faiZure, the Alexander's may terminate this
agreemant.

li. in the event that the Alexander's are required to retain
the serviceB of any attorney to enforce the provisione of this
agreement, the loeinq party agreea to pay all reasonable costs and
attorney�s fees in connection therawith. It is agreed that the
venue of any legal action brought �nder the terms of thia aqreement
may be in the County in which the premiges are situatied. Beatrice
Allen shall be liable to the Alexander's for any injury or damaga
cauaed by reason of deiault of this agreement.

12. Allen agrees to pa an �. er's agre$ to accept
Fifty dollars ($50.00) in ea access to the well (and
fn lieu of any contribution to the constructfon costs of the well) .
All dues shall be payable in advance on or before the lst day of
e�s� �en�rr�d�very� �e�e�.

13. Allen shall contribut mon ].y and eg�ial7.y for �he oosts
incident to electrical consumption of the �aell watrer pump and
related facilities that are separately metered. The Alexander's
shall determine the initial monthly charge which inay be increased
by the exact amount of any increase assessed by the providing
utility company. All monthly electrical costs shall be due and
payable to the Alexander's within tea (10) days of receipt of a
statement therefare.
14. This agreement and covenants herein shall run with the
land and shall inure tc the benefit of and be bindinq upon the
heirs, executors, administrators, assigns, and successors of the
respectfve parties hereto, and all parties having or acquiring any
right, title or interest in the land described herein. The
covenants contained herein shalZ be appurtenant to and run with and
attach to the land heretofore described.
15. This agreement and the easements granted therein shall be
revocable only upon the mutual written agreement of all parties or
their heirs, successors, or assigns therato, provided, however,
aither party, thefr heirs, successors and assigns may termfnate
this Easement and Agreement by filing a Notfce of Termination at
such time as the Allen premises are connected to a public water
line serving their �remises. ,

Tf-iIS MITIGATION AGREEMENT ("Agreement") is made this ���of ���_, 2005,
between the YELM COMMUNI7'Y SCHOOLS DISTRICT N0. 2, Yelm, Washington (the "District"}
and Stanton Development LLC{the"Developer") �
RECITALS
A. The Devel�per has submitted an application to City of Yelm for the construction of a 23
lat subdivision, "Stanton Meadows" near Yel�, Wash. {the "Projact"}. The Project is 3oca.ted on
property that lies within District boundaries, more particularly described on Exhibit A, attached hereto
and incorporated herein by reference.
B. The State Environmenta! Poiicy Act, Chapter 43.21C RCW ("SEPA"), provides
processes and procedures whereby major actions by state and locat agencies, including, but not limited
to, plat or PUD approval or the issuance of building permits, may be reviewed to deterrnine the nature
and extent of their impact on the environment. tmpacts on pubiic services, including schools, are
environmental impacts for the purposes of SEPA. SEPA requires the mitigarion of adverse
environmental impacts. �
C. The District's student poputation and growth projections indicate that ths Project will
have an impact on the District,when cumulative impacts of other projects are considered.
D. RCW 82.02.020 authorizes the District to enter into a voluntary agreement with the
Developer for payment to mitigate the impact of the Developer's Praject.

E. Pursuant to Resofution No. 12-16-93-U5,it is the po[icy o.f the District to recommend that
the direct impact of development be voluntarily mitigated by the payment of fees and/or other mitigation
measures where appropriate.
F. The Developer has agreed to mitigate, on a voluntary basis, the adverse impact of the
Project on the District.
AGREEMENT
NOW, THEREFORE, in considerati�n of the above recitals and the mutual promises and
covenants below,the District and the Developer agree as follows:
i. The Developer acknowledges and agrees that there is a direct irnpact on the District as a
result of the Developer's Project and that this Agreemenx is necessary as a result of that impact.
2. The Developer aeknowledges anci agrees that in order to mitigate the direct impact of the
Project,the Developer has offered to pay the District the following sum of money:Two Thousand Eight
Hundred Sixty Do[lars aad 00/100 ($2,860.00) for ench lot in the subdivision or the total sum of Sixty
Five Thousand Seven Hundred Eighty Dollars and 00/100 ($65,784.aa> ��ne "Mitigation Payment") for
the 23 lots of the subdivision. The amount referenced by this paragraph is subject to change pursuant to
paragraph 4 below.
3. Any extension, renewal, modification or amendment to the Project that results in an
adjustrnent in the number of tots shal! result in a c�rresponding pro rata adjustment in the Mitigation
Payment. Lat 13 of this subdivision is not subject to mitigation due to an existing dwelling on the
subject properiy.
4. The Develaper agrees that the payment of the full Mitigation Payment(in the amount of
Two Thousand Eight Hundred Sixty Dollars and 00llOQ ($2,860.00) per dwelling unit or Sixty five
Thousand Seven Hundred Eighty Dollars and OUlI 00($65,780.00))for the project,shall be a cDndition of
building permit issuanee for each single famity dwetling in the project. If building pertnit issuance does
not occur within Five(5)years fram the date of this Agreement,the amaunt due for mitigation,as stated
in paragraph 2 above, shalt be modified to the amount reflected in the then most recent mitigatian
ageement to which the District is a party, A copy of such agreement shall be made available to
Developer upon request.
5. The District agrees to record this Agreement after it has been executed by the parties.
6. The Developer acknowledges and agrees that the Mitigation Payrnent is authorized to be
used for capital improvements to the following facilities: Fort Stevens Elementary School, Prairie
Elementary School, Lackamas Elementary School, Southworth Elementary School, Mil[ Pond
Intertnediate School,Yelm Middle Schoot, and/or Yelm High School and/or any other facilities that may
be affected by the Project and/or the purchase of portable facilities and/or schoof buses.
7. The Developer agrees that tlie District has five(5)years from the payment date to spend
the Mitigation Payment for the capital improvements or expenditures described in patagraph•6. In the
event that the Mitiga#ion Payment is not expended within those five years, the moneys will be refunded
with interest at the rate applied to judgments to the property owners of record at the time of refund;
however, if the Mitigation Payment is not expended within five years due to delay which is attributable
to t6e Developer,the Payment shall be refunded witbout interest.
8. The Developer waives and relinyuishes its right to protest or chatlenge the payment of
the Mitigatian Payment pursuant to this Agreement and hereby covenants and undertakes that it forever
refrains and desists from instituting, asserting, fling or bringing any lawsuit, litigation, claim, or
ehallenge or proceeding to challenge this Agreement, ciaim any repayment or reimbursement of funds,
performance or improvements provided for therein, or any of its terms and conditions, on any�round or
basis whatsoever.
9. The District hereby waives any objection#o the Project as presently proposed. .
1 Q. The District and the Developer agree that the Mitigation Payment wilj �be full and
complete mitigation for the impact of the Project as presently proposed on the District.

I 1. This Agreement shall be binding upon and inure to the benefit of the heirs, executors,
administrators,successors,and assigns of both of the L?eveloper and the District.
12. If an action must be brought to enfarce the terms af this Agreement,such action shali be
brought in Thurst�n County S�perior Court. The prevailing party shall be entitled to payment of its costs
and reasonable attorneys'fees.
13. This Agreement constitutes the entire agreement between the parties and any other
ageemsnt either written or oral shall be nul�and void.
