Pro�ect Description
Sprint proposes to update the existing wireless communication facility by adding a one foot diametex
microwave dish antenna to the e�cisiing toweY.
Review Process
The property is zoned Rura1 Residenrial (RR 1/5 RRR 1/5). According to Thuxston County Code
Section 20.33.040 Approval authority, this project is required to receive approval through the
administrative special use pexmit process:
3.Attached WCFs,rintennas,and Related Faciliries.rlttached WCFs and other commercial or public antennas
attached to existing structures and related equipment cabinets shall require approval of an admuustrarive special
use pemut in accordance with the procedures in Chaptexs 20.54 and 20.60
4.Co-location. Co-location on an existing WCF or other antenna support structure,including structutal
modifications to the existing antenna support structure to accommodate co-location,shall require approval of
an administrative special use permit in accoxdance with the procedures in Chapters 20.54 and 20.60.However,
any increase in the height of an antenna support structuxe that was not previously authorized by the county
shall be subject to hearing examinex approval.
No changes are proposed to the size of the lease area, landscaping, or screening and this project will
not result in a significant change in visual impact and will not increase the ovexall height of the
facility.
A��lication Rec�uirements
Sprint has provided all applicable items as required in Section 20.33.050:
1. Requirements for All�pplications.In addition to the xequirements in Section 20.60.030,the
following information shall be submitted as part of the application for all WCFs and othex antenna
support structures subject to this chapter.
a. If the applicant is not the landowner,the landowner(s) shall be considered co-applicant(s)and
shall sign the application.If any applicant is a corporation,trust,association,or other organized
group or legal enrity,it shall pxovide the date of such creation,and,if a foreign corporation,a
copy of the certificate of authority filed with the state of Washington,Secretary of State's Office.
b.r1n affidavit signed by the applicant,landowner(co-applicant),and the antenna support structure
owners,if different,indicating that:
i.They agree to dismande and remove the WCF/antenna support structure and xestore the
site to its approximate original condition within one hundred and eighty days following
receipt of a letter from the county indicting that the facility is deemed abandoned or in
violation of this chapter,consistent with Section 20.33.110;and,
ii. In the case of fteestanding WCFs/antenna support structures,they consent to co-
location,at reasonable texms,of as many antennas and related equipment as feasible,
including those of other communication providers,on the applicant's structure/site.
c.Except for a co-location proposal,evidence justifying the need for a WCF/antenna support
structure in the pxoposed location,consistent with Section 20.33.080,and at the proposed height.This
shall include,at minim�,a detailed description of the methodology used to reach the height and
locational decisions. The applicant shall submit fox each WCF/antenna support structure that they
own or operate within two miles of the proposed site the exact location,ground elevation,and height
of the antenna support structure and antennas.The applicant shall also submit a radiated signal
propagation coverage plot for each of these eausting facilities.The county may require additional
information as necessary for a thixd party reviewer to verify the need for the proposed facilities,as
provided for in Section 20.33.060.
Sprint is proposes to add a microwave dish for point-to-point backhaul purposes. This would not
visible on a propagation coverage plot. The proposal does not increase the height of the facility.
d.Documentarion that the WCF/facility,including any back-up power genexators,will not cause
noise ox pollution exceeding the limits established by state law.
No changes proposed to e�sting ground equipment.
e.If the applicant is also the WCF pxovider,proof that the applicant is licensed by the FCC,or not
required to be licensed.
A copy of Sprint's license was included with the xecent ASUP application previously submitted for
this site and currendy in review (project 2013101274)
f.If the applicant is not the WCF providex,proof of lease agreements with a FCC licensed WCF
provider if such provider is required to be licensed by the FCC.

g.Except for a co-location proposai,documentation,certified by a qualified engineer licensed in the
state of Washington,indicating that thexe are no co-location possibilities as an altemative to
installation of the proposed WCF/antenna support structure,consistent with Section 20.33.070

h.The applicant shall submit fox the proposed facility a xadiated signal propagation covexage plot,
power density calcularions expxessed as micro-watts per squaxe centimeter and other technical
documentation,signed by a xadio frequency engineex licensed in the state of Washington,as necessary
to demonstrate the pxoposed facility's compliance with FCC guidelines/standards for radiofrequency
electromagnetic field stxength.The counry may xequire additional infoxmation as necessary for a third
party reviewer to deteimine compliance with the provisions of this chaptex,as provided for in Section
20.33.060

to best blend with the existing site conditions.

name,addxess or principal place of business,and phone number of the following:
i.The pexson to be contacted in the event an emergency involves the WCF/antenna support
struct�e. (This person should be available on a twenty-foux-houx basis and authorized to act
on behalf of the applicant regaxding an emergency situation.The applicant shall be
responsible fox keeping such inforniation current);and
ii.The contact person fox each WCF/communication provider that proposes installation of
facilities at the site.
The 24 hour emergency notification number for Sprint's facility is 866-400-6040.
Design and Development Standards
Sprint's proposal is in compliance with all applicable design and development standatds. According
to TCC Section 20.33.090 as follows:
1. Maximum Height.Attached WCFs/antennas shall not exceed twenty-eight feet in height above
the building roof or top of an existing structure on wluch it is mounted.
The microwave dish will not exceed the height of the tower.
2.Wall Mounted.If the antenna is mounted on a wall,it shall be as flush to the wall as technically
possible.
Not applicable.
3.Axchitectuxal Comparibility,Screening and Camouflaging.The antenna shall be architecturally
compatible with the building and wall on which it is mounted,and shall be constructed,finished ox
fully screened to match as closely as possible the color and texture of the building and wall. Such
facilities will be considered architecturally and visually compatible if they are camouflaged to disguise
the WCF or designed to blend with the building on which it is mounted.
This is not applicable as the facility is not located on a building.
4.Equipment Structures.Equipment structuxes mounted on a building roof shall either be hidden
from view at ground level off-site or have a finish/textuxe similar to the exterior building walls.
Equipment for an attached antenna may also be located within the building on which the antenna is
mounted.riny ground equipment that is not buried shall be located and screened(see Section
20.33.080)to minir„ize visibility from adjacent properties and rights-of-way.
No changes pxoposed to existing ground equipment.
5. Signals,Lights,and Signs.No signals,lights or signs shall be pernvtted on an attached WCF unless
required by the FCC or Fr1A(see Secrion 20.33.080(6)(d)).If lights are necessary,they shall be of a
type that has the least visual impact for people at ground level,as determuied by the approval
authority.
No new lights, signals or signs are pxoposed. E�usting identification signs will remain.
6. Outdoor Storage.Outdoor storage of motor vehicles or materials associated with the WCF is
prohibited.
No motor vehicles will be stored at the site.

The portion of the equipment structure/fencing that would be visible from adjacent rights-of-way or

evezgreen shrubs and/or trees,and/or berms(also see Section 20.33.080(7)).This vegetation shall be
of a type,size,and spacing so that within three years of planting(along with any berm or othex
landscaping featuxe)it forms a continuous screen as tall as the equipment structure and any associated
fencing.
This project does not involve a WCF located in the right-of-way.

PROJECT
The proposed Sprint Wireless project consists of a WCF (Wireless
Communications Facility) located at the 11247 Morris Road SE, Yelm, WA
98597, Thurston County Tax Parcel 22730430400. The planned improvements
include a microwave with existing panel antennas mounted on a 150' AGL self-
support lattice tower with supporting BTS (Base Transmission System) radio
equipment located in a lease area near the base of the tower at an on-air Sprint
site.

CALCULATIONS
Calculations for RF power densities near ground level are based on the
"Evaluating Compliance with FCC Guidelines for Human Exposure to Radio
Frequency Electromagnetic Fields OET Bulletin 65" Edition 97-01, August
1997 issued by the Federal Communications Commission Office of Engineering
& Technology.
Section 2 of OET Bulletin 65 demonstrates that "for a truly worst-case prediction
of power density at or near the surface, such as at ground-level or on a rooftop,
100% reflection of incoming radiation can be assumed, resulting in a potential
doubling of predicted field strength and a four-fold increase in (far field
equivalent) power density". Therefore the following equation is used:
S = EIRP/rrR2
Where S = power density (mW/cm2), EIRP = equivalent isotropically radiated
power and R = distance to the center of the radiation antenna (cm)
Attached as an exhibit are the MPE (Maximum Power Exposure} calculations
using the above referenced formula and the antenna manufacturer vertical
pattern information using a conservative 20 dB loss below main lobe.
The calculations show that the maximum MPE at ground level (6' above AGL) at
the base of the tower and the power density is 0.001042 mW/cm2 with an
assumed worst-case power level of 2,000 watts ERP for the lowest antenna
array. This is 0.1042% of the MPE limit for the general population/uncontrolled
exposure of 0.467 mW/cm2 as referenced in Table I OET Bulletin 65 Appendix
A for the lowest frequency range.

In order to develop a "worst case prediction", it is assumed that all wireless
facilities on the tank have maximum effective radiated power (ERP) levels of
3,000 watts per sector.
Wireless facility antennas are highly directional and project the majority of the RF
energy horizontally. Attached as an exhibit are the MPE (Maximum Power
Exposure) calculations using the referenced power density formula. These
calculations assume that the vertical patterns of the antennas suppress the ERP
by 20dbB towards the antenna base. The calculations show that the maximum
total MPE at ground level (6' above AGL) at the base of the tower is
0.003215mW/cmZ with the carrier operating at a total ERP of 3,000 watts per
sector. This is 0.567% of the MPE limit for the general population/uncontrolled
exposure of 0.567 mW/cm2 for the lowest Nextel frequency (851/1500) as
referenced in Table I OET Bulletin 65 Appendix A.
COLOCATED FACILITIES TOTAL MPE
The combined MPE for the Sprint antennas and the existing carriers using "worst
case" calculations is: 0.0001042 mW/cmz + 0.003215 mW/cm2 = 0.004257
mW/cm2 Total MPE.

ENVIRONMENTAL EVALUATION
Routine environmental evaluation is required if the PCS broadband facility is less
than 10 m (32.81 feet) AGL and has a total power of ail channets in any given
sector g�eater than 2,OOOW ERP as referenced in "Table 2 Tra�smitters,
Facilities and Operations subject to Routine environmental Evaluation" of
Bulletin 65. As the proposed antennas lowest point above ground level is
33.2 m (409 feet), the WCF is categorically exempt from requirement for routine
environmental processing.
FCC COMPLIANCE
The general population/uncontrolled exposure near the tower, including persons
at ground level, surrounding properties, inside and on existing structures will
have RF exposure much lower than the "worst case" scenario, which is a small
fraction of the MPE {imit.
Only trained persons will be allowed to access the tower for maintenance
operations. Sprint Wireless and/or its contractors will provide training to make
the employees fulfy aware of the potential for RF exposure occupationat training
and they can exercise control over their exposure that is within the
occupationaUcontrolled limits.
CONCLUSIONS
Based on calculations, the proposed WCF will comply with current FCC and
county guidelines for human exposure to radiofrequency electromagnetic fields.

a) Notwithstanding anything to the contrary in this Agreement,the offer expressed to
Licensee in this Agreement shall automatically become null and void with no further
obligation by either party hereto if a structural analysis of the Tower Site completed after
the execution of this Agreement by Licensor but befare the commencement of the
installation of Licensee's Approved Equipment indicates that the Tower Site is not
suitable for Licensee's Approved Equipment unless Licensor and Licensee mutually
agree that structural modifications or repairs shall be made to the Tower Site on mutually

RIDER FOR AIRTOUCH SUBLEASED SITES
(This Rider is non-negotiable)
Licensee and Lfcensor have entered into the attached license agr�emen! to a master lic�nse
agreement or independent site license agreement, as appiicable ("Agr+eemenY). Licensee
acknowledges that Licensor's rights with respeci to the use and further sublicense of the
communication tower and site (`Tower Site') under the Agreement aroe sub/eased from AirTouch
Communications, lnc. and/or its A�/iates("AirTouch'� and are subject to a sub/ease agreement(as
amended trom time to time) ("AirTouch Sub/ease") between Licensor and AirTouch, pursuant to
which Licensor subleases a portion of the Tower Site from AirTouch as Licensor's overland/ord.
Pursuant to the AirTouch Sublease, Licensor is obligated to obfain Licensee's agreement to the
fo/lowing provisions, which provisions may not be superseded, a/tered or amended by the
Agreement (including any contlicting or inconsistent provisions in the Agreement) or any
attachment, exhibli, amendmen�supp/ement, schedule, or other written instrument associated with
the Tower Site or fhe Agr�eement:
a) Ground Lease/AirTouch Sublease: The Agreement shall be subordinate to the terms and
conditions of any underlying easement, ground lease, license, permit, right of way or similar use
right between the land owner or lessor and AirTouch ("Ground Lease")and any and all references
to the Ground Lease in the Ag�eement shall be deemed to refer only to the Ground Lease (a copy
of which Licensor shall provide to Licensee following a written request and redacted as Licensor
deems reasonably necessary) and not the AirTouch Sublease. In the event that a default or
non-compliance with a provision of the Ground Lease is caused by Licensee, Licensee shall, upon
Licensor's written request at Licensee's sole expense, cure or otherwise remedy such default or
nan-compliance within the cure period provided for pursuant to the Ground Lease. Licensor may
not be abls to cause AirTouch or any underlying landowner or lessor to record a copy of any
underlying ground lease, license, easement or other right of use associated with the Tower Site,
particularly where such recordation is prohibited under the terms of the Ground Lease. Licensor is
not authorized to provide Licensee with a copy of the AirTouch Sublease; provided, however,
Licensor (i) shall be obligated to exercise any renewal options available to it under the AirTouch
Sublease and to cause AirTouch to exercise any renewal options available under the Ground
Lease during the initial and all renewal terms under the Agreement, and(ii)agrees not to take any
action with respect to the AirTouch Sublease which will cause the AirTouch Sublease to be
prematurely terminated.
b) InterFerence: In addition to the rights and obligations of Licensor and Licensee as set forth in
interference section of the Agreement, in the event that equipment operated by Licensee at the
Tower Site as permitted under the Agreement("Licensee's Equipment")is suspected to be causing
interference with AirTouch's then-current use of the Tower Site, Licensee may be required to
conduct a transmit test jointly with AirTouch (and shall notify AirTouch in writing five (5) business
days prior to such transmit test as to the date and time such test will commence)to measure:
i. The signal transmit levels at the output aRe� the final filter stage on Licensee's
transmit line with all transmitters keyed up at maximum power;
ii. Mtenna isolation between the output of the final filter stage on Licensee's transmit
fine and input line to AirTouch's multiCOUpler in AirTouch's frequency band of
operatipn;and
iii. The combinatipn of(i) worst case level measured out of Licensee's transmit line
added to (ii)worst case antenna isolation. Such value shall be no greater than -
120dBm.
c) If Airl'ouch determines that it is experiencing interference as a result of such tests, AirTouch or
Licensor shall notify Licensee to immediately cease the transmit test and Licensee shall cease
such test_ Licensee shall be responsible for ensuring that proper filtering and isolation are in place
for the transmit test and operation of Licensee's antenna system. Licensee may not install or
change, alter or improve the frequency, power, type of Licensee's Equipment such that it (i)
interferes with or might interFere with the pre-existing operatian of AirTouch's equipment on or
about the Tower Site, (ii) is not authorized by any applicable federal, state, or local law, rule,
regulation, ordinance or order, or(iii)is not made or installed in accordance with good engineering
practices. In no event may the initial curative time periods set forth in the interference section of
the Agreement be more or less than 72 hours. If Licensee does not cease any interfering
operation within such seventy-two(72)hour period, Licensor shall have the right, in addition to any
other rights that it may have,to seek to enjoin such interference.

d) Termination: Licensor shall have the right to disapprove any propased installation, modification
and/or use of the Licensee's Equipment in the event that any of the permits, authorizations and/or
� approvals obtained by AirTouch or Licensor from govemmental or quasi-governmental agencies for
+ use of any portion of the Tower Site would be adversely affected �ow or in the future by such
� installation,madification and/or use,in AirTouch's sole judgement.
� e) RF Expasure & Testing: Licensee shall be responsible for its compliance with guidelines and
I procedures for evaluating environmental effects of RF emissions on or from the Tower Site,in strict
compliance with FCC OET Bulletin 65, entitled Evaluating Compliance with FCC Guidelines for
i Human Exposure to Radio frequency Electromagnetic Fields, Edition 97-01, reteased August 1997
I ("OET Bulletin 65"), including the completion af RF worksheets showing compliance with the
guidelines set forth in OE7 Bulletin 65 and all existing and future laws,rules and regulations related
thereto(collectively, "EMF Rules"). Licensee agrees to indemnity and hold harmless Licensor and
AirTouch in connection with any failure by l.icensee to comply with the EMF Rules. At the time of
I any installation, modif+cation or replacement of equipment by Licensee, Licensee shall notify
Licensor prior ta any such change or installation and, unless Licensor reasonably determines that
such Tower Site is categorically excluded from the requirements of routine or initial environmental
evaluations under the EMF Ru1es, Licensor shall evaluate compliance with the EMF Rules utilizing
the most currently marketed version of the UNlsite, Inc. UNlstar RF power density prediction
software ("UNlstar Software"), at Licensee's sole cost and expense based on then-current market
rates for the UniStar Software services, together with the cost of RF data collection from other
subtenants (if necessary) at Licensor's then-current rate. In the event that any remedial or
corrective measures are required as a result of an evaluation associated with Licensee's
installation, modification or replacement of equipment, Licensee shall perform such remedial or
corrective measure at Licensee's sole expense.
� Environmental: Licensee and Licensor each,respectively,covenarit and agree that: (i)it shall not
conduct or allow to be conducted upon any Tower Site any business operations or activities, to
generate, manufacture, refine, transport, treat, store, handle, dispose of, transfer, produce, or
process hazardous substances; provided that Licensee shall have the right to bring and keep at
each Tower Site (in compliance with all applicable laws) batteries, generators and associated fuel
tanks and other substances commonly used in the industry and necessary for the operation and
maintenance of the Licensee's Equipment or the 7ower Site; (ii)it shall c.omply in all material
respects with all applicable enviranmental laws; (iii) it shall not create ar permit to be created any
Lien agalnst any Tower Site for the costs of any response, removal or remedial action or clean-up
of hazardous substances; (iv} it shall, to the extent Licensee or Licensor, respectively, is legally
obligated therefor, promptly conduct and complete all investigations,studies,sampling and testing,
and all remedial, removal, and other actions necessary to clean up and remove ail hazardous
substances on, from or affecting each Tower Site in accordance with a{I applicable environmental
laws, in all material respects; and (v) Licensee shall promptly notify AirTouch and Licensor in
writing if lieensee receives any notice, letter, citation, order, waming, complaint, injury, �laim or
demand that:{w)Licensee has violated, or is about to violate,any environmental law, (x)there has
been a release or there is a threat of release, of hazardous substances at or from the applicable
Tower Site. (y)Licensee may be or is liable, in whole or in part, for the casts of cleaning up,
remediating, removing or responding to a release of hazardous substances, or(z)a Tower Site is
subject to a lien favor of any governmental entity for any liability, cost or damages under any
environmental law. Notwithstanding anyth+ng in the Agreement t� the contrary, Licensor shail
have no obligation to indemnify Licensee for a breach of the foregoing covenants (including with
respect to claims for damages or other liabilities due to any necessary investigation, remediation or
cleanup of hazardous substances at any Tower Site for which Licensor would otherwise have an
obligation to indemnify Licensee) unless Licensee first notifies Licensor of such Tower Site
contamination or condition and offers Licensor an opportunity to conduct any necessary response
or perfonn any required remediation work and Licensor refuses to do so. Such notice and
opportunity to respond shall be given to Licensor in writing prior to any expenditure or cammitment
by Licensee or any of its Affiliates. ticensor shall reply to the nptice and opportunity to respond in
writing within forty(40)calendar days of receipt of Licensee's notice, unless Licensee is required to
act sooner under applicable environmental laws or by the appropriate governmental authorities. If
Licensor elects to �espond, Licensor shall perform all work in a workmanlike manner in material
compliance with alt applicable environmental laws to the satisfaction af the appropriate
governmental Authority. Except as required by applicable law, Licensee and its representatives
and agents will not initiate any communication or make comments or submissions to any
governmental authority or third parties with respect to environmental conditions at any Tower Site
to which Licensor has responded. Nothing herein contained shall affect a Party's legal duty to
mitigate damages.

g) Subordination: The Agreement and all supplements, amendments, modifications, renewals,
replacements and extensions thereof, shali unconditionally be and remain at all times subordinate
to all mortgages placed on the Tower Site by AirTouch, and to any replacements, renewals,
amendments, modifications, extensions and refinancing thereof, and shall unconditionally be and
remain a lien or charge on the Tower Site junior and subordinate to AirTouch's and Licensors
interest in the Tower Site. Licensee agrees that in the ever�t that the Agreement is assigned to
AirTouch,AirTouch shall not: (i)be liable for any damages or other relief attributable to any ad or
omission of Licensor, or any successor to Licensor (other than AirTouch), under the Agreement;
(ii)be tiable for any damages or other relief attributable to any latent or patent defects in the
construction with respect to the property which is the subject of the Agreement;(iii)be liable for any
consequential damages to Licensee attributable ta any act or omission of Licensor under the
Agreement; (iv}be subject to any offsets or defense not specifically provided for in the Agreement
and which Licensee may have against Licensor, or(v)be bound by any prepayment by Licensee of
more than one month's installment of rent or for any security deposit not actually delivered to
AirTouch.
h} Miscellaneous:
i. In no event may Licensee share use of any power meter at any Tawer Site with AirTouch.
ii. Licensor reserves the right to freely assign the Agreement to AirTouch or any of its A�liates at
any time.
iii. Upon expiration or earlier termination of the Agreement or the AirTouch Sublease with respect
to the Tpwer Site, Licensee shall, at its sole cost and expense and upon instructions from
Licensor, remove Licensee's Equipment from the Tower Site within a reasonable period of
time, but in no event less than thirty (30) days (except as otherwise required by the Ground
Lease).
iv. Licensee recagnizes and agrees that AirTouch is a third paRy beneficiary under the Agreement
with direct rights of enforcement against Licensee of the rights of Licensor hereunder,
including, without limitation, the right to cause Licensee to comply with the in#e�Ference
provisions of the Agreement and to enter any of the space licensed by Licensee under the
Agreement.
v. If Lieensee intends to sublease or subticense available space at the Tower Site, Licensee
acknowledges and understands that Licensor must send a copy of Licensee's bona fide offer
(containing all of the te�ms and conditions for such offer to sublease or sublicense, and which
must fnclude the specific Tower Site(s)and available space which are the subject of the offer}
to AirTouch and that AirTouch may elect, in its sole discretion,to sublease o�sublicense such
available space from Licensor on the same terms and conditions as Licensee's bona fide offer,
or#o exercise its right ot substitution pursuant to the AirTouch Sublease. AirTpuch must notify
Licensor in writing of its intent to either sublicense such available space or to exercise its right
of substitution with respect to such space within ten (10)business days of receipt of the bona
fide offer.
vi. If Licensee intends to install Licensee's Equipment(or any subsequent modification)within the
area that is ten(10}feet above or below the highest and lawest point of AirTouch's equipment
on the Tower (with full horizontal clearance), Licensee acknowledges and understands that
Airl'ouch shall have a right to approve Licensee's plans and specifications. Licensee shall
submit such plans and speafications!o AirTouch and Licensor simultaneously and, in addition
to any rights of Licensar under the Agreement,AirTouch will have five(5)business days after
receipt(or any revisions thereof as hereinafter set forth)to respond to in writing with comments
in reasonable detail conceming Licensee's plans and specifications. If AirTouch fails to give
such notice of its objections to Licensee's plans and specifiptions within such period it shall
be deemed to have approved such plans and specifications. If Licensee's plans and
specifications are not approved by AirTouch, Licensee may revise its pfans and specifications
to meet the objections thereto set forth in the AirTouch's disapproval. No construction,
installation, testing, or operation of Licensee's Equipment shall be permitted unless and until
AirTouch approves Licensee's plans and specifrcations ar such approval is deemed granted as
set forth above.
vii. Licensee shall not create or permit any form of lien to be imposed against any Tower Site or
any part thereof. Licensee shall cause any such lien to be discharged by payment,
satisfaction or posting of bond within thirty (30)days after the earlier of(i)the date Licensee
has obtained knowledge of such lien, or (ii)written notice from Licensor or AirTouch. If
Licensee fails to cause any lien to be discharged within the permitted time, Licensor may
cause it to be discharged and may pay the amount of such lien in order to do so,which amount
and any other costs incurred by Licensor shall be promptly paid to Licensor by Licensee.

on the Tow�r Site by AlrTouch,and to any t�eplacemerlts,renewals,amendmerrts,modiflcations,extensivns
and reflnancing thereof,and shsll unaonditionally be and remain a Ilen or charge on the Tower Site Junior
and subordinate to AI�'Touch's�d Licenso�s interest in the Tower Site. Licensee ag�es that'tn the event
that the Agteem�nt is assipned lo AirTauch,AirTouch shall n� {i)be lieble for any damages or other re(ief

certain portion of the Tower Facility; and
