AGREEN�NT NOW TI-iEREFORE,in consideration of the mutual covenants and agreements contained herein., the parties hereto agree as follows: TERMS 1. Grant of License. � Licensor hereby grants to Licensee a license to erect,maintain,and operate fireworks tents in the parking lots adjoi.ning the stores identified on Exhibit"A"hereto(collectively"Stores"an.d individually"Store")and incorporated herein on the term.s and conditions set forth in this License Agreement. The parties acknowledge that Licensor may a.dd,delete,or substitute the Stores on Exlubit A prior to May 1 of each yeaz and Licensor and Licensee shall agree on the compensation for added or substituted Stores in writing. The license granted herein to Licensee shall be exclusive, and Licensor shall not grant a license for the sale of fireworks at any of the Stores to an.y other party during the term of this License Agreement. 2. The Licensed Area. Licensee shall erect each fireworks stand or tents in.the parking area adjoining the Store in. an area which shall be determi.ned by the manager of each Store,or such other person as Licensor G:\OperatinglFirework Stands\2014 Freworks Seattie.doc may designate(collecfively"Licensed Areas"and individually"Licensed Area"). lEach fent shall be of a design satisfactory to Licensor and shall not talce up more space on the ground than nor be greater in size than�en(10)parking spaces. The fireworks stand shall not in any way impede traffic flow or ingress to or egress�from the parkuig lot. Licensee shall�ot allow its in.ventory or equipment to block or clog drive aisles adjacent to the Licensed Areas. Licensee shall not park or leave any trailers or other storage vehicles or devices on or adj oi.ning the Licensed Areas or in the parking lots in which the Licensed Areas are located. Licensee must securely affix any elec4rical cords so that they do not create a tripping hazard,and must adequately protect any electrical cords or devices so that they do not create an electrical hazard. Licensee sha11 use as operators of the stands such service;fraternal or charitable organizations as are satis£actory to Licensor. 3. Term of License. The term of this License Agreement is tl�rough September 30,2014.For the calendar year of 2014,the period for occupancy of the parking lot is from June 22,2014,through July 7,2014. Licensee may take possession of the Licensed Areas for each Store provided it has delivered the following to Licensor on or before June 15 of each year: (i)payment of the License Fees as described in Section 4.1,below; and(u)the Certificate of Insurance described in Section 6.2, below On or before June 15 of each year,Licensee shall provide a list of the service,fraternal or charitable organizations,wluch are operating the stands or tents to Licensor. 4. License Fee and Deposit. 4.1. License Fee. The Minimum License Fee for each Licensed Area in 2014 shall be as shown on Exhibit A. In addi�io�to the Minumum License Fee,License shall pay to Licensor the amount,if any,by whic� :ach Store execeeds the Minimum License Fee for that Store. The Minimum License Fee is due and payable from Licensee to Licensor on or before May 1�,2014. In no event is Licensee entitled to nor shall it occupy any Licensed Area without first ha.�ing paid th.e License Fee th.erefore. The license fee is f�ed,regardless of when Licensee accepts possession of the Licensed Areas. Licensee may use the Licensed Areas for the display and sale of fireworks which are first quality merchandise an.d which aze approved for sale in the jurisdiction where they are sold by the G:10perating�Firework Stands12014 Fireworks Seattie.doc appropriate Sfate or o�her Fire Marshalls and/or authorized public agencies,entities or officials,as appropriate,and which meet and are in compliance with any and a11 applicable federal, state and locallaws,ordinances or regulations pertaining to the display and sale of fireworks. Licensee shall at all times conduct its business at the fireworks stands in accordan.ce with a11 applicable federal, sta.te and local laws,ordinances and regulations. 5.2. Structures. All costs of installation,maintenance,operation and removal of fireworks tents sUa11 be the sole responsibility of Licensee. Such tents shall be temporary in nature. At the end of the term, or earlier termi.nation of this License Agreement,Licensee shall remove all structures from the Licensed Areas and shall restore the surface of the.Licensed Premises to a condition at least equal to that preceeding the term.of this License Agreement. At a11 times while this License Agreement is in effect,Licensee sha11 maintain said fireworks tents and the i.mmediately surrounding azea in a neat and clean condition which is satisfactory to Licensor. Licensee shall not paint or otherwise permanently mark the surface of the parking lot at any Licensed Area 5.3. Noise. Solicitation of Customers. Parkin�. Licensee must not operate any electrical generator or other mechanical equipment,which creates unreasona.ble noise. Licensee must not solicit Licensor's customers in any fashiori,which is offensive or threatening to Licensor's customers. Licensor's store mauager at each Store, or such other person as Licensor may designate,may deternune whether any piece of equipment makes t�nreasonable noise and whether Licensee is soliciting Licensor's customers in an offensive or threatening fashion. Licensee must not play any music except with the approval of Licensor's store manager at the Stores. Licensee's operators shall park only in areas designated by the Store mauager or such other person as Licensor may designa.te. There shall be no use or igniting of fireworks merchandise anywhere on the store site,an.d Licensee's operators shall prohibit customers using or igniting fireworks merchandise on the store site. 5.4. Hours of Operation. Licensee shall operate the fireworks stand only during those hours allowed by law or local ordinance and in no event sha11 Licensee operate the fireworks stan.d at an.y time when the Store at which the Licensed Area is located is not operating an.d open to the public. 5.5. Compliance with Law Licensee and its operators shall comply with all laws,rules and regulations, orders and ordinances of governmental agencies havin.g jurisdiction over Licensee's or its operators' activities in.the Licensed Areas. Licensee and its operators shall comply throughout the term of this License Agreement with all laws ordivances,orders,rules,regulations and requirements of all governmental authorities having jurisdiction over Licensor's premises. Indemnitv and Insurance. 6.1. Indemnitv Licen�see agrees during the term of this License Agreement to defend,indemvify and hold Licensor harmless from an.d against any and all claims,demands,actions or losses arising from or connected in any way with this License Agreement,the Licensed Areas,or auy activity on or use of any Licensed Area. Such actions giving rise to Licensor's right of indemnity include,but are not li.mited to,the sale of fireworks,the use of fireworks sold from any Licensed Area, explosion or fire on any Licensed Area,any defect in the design or condition of inerchandise sold from any Licensed Area,and injvey or damage to Licensee's employees,servants,agents,an.d customers,Licensor's customers and employees,agents and property,or to bystanders,neighbori.ng persons or property, on any Licensed Area or elsewhere as a result of the sale of products on any Licensed Area. Upon Licensor's demand,Licensee shall employ counsel reasonably satisfactory to Licensor to conduct Licensor's defense. 6.2. Insurance. Licensee sha11 provide and maintain in effect during the term of this License Agreement, with an insurer or insurers acceptable to Licensor,Employees Liability and Worker's Compensation incurance covering all of its servants or employees or other persons engaged in its operations. If Licensor's proper�yy is sold or is otherwise inaccessible and unusable by Licensee due to constnaction or any other reason,or the law prohibits the sale of fireworks at a particular Store location,then this License Agreement shall temunate as to that particular Stare location, and the License Fee as to that Store location which was prepaid by Licensee pursuant to Section 4.1 above, shall be refUnded to Licensee. The grant of the license by Licensor as to any particular Store is conditioned upon the consent of Licensor's lessor,adj acent property owner(s)or lessee(s)and any other parties which may have a right of consent as to use of the parki.ng area located at the Store. If Licensee is unable to exerci.se the license granted herein as to any Licensed Area as a result of the inability to obtain a necessaty consent from any of the parties referred to in the preceeding sentence,then this License Agreement shall termivate as to that particular Store location and Licensee shall be entitled to a refund of the License Fee as to that Store location which was prepaid pursuant to Section 4.1 above. Licensee shall provide written evidence of the consent of the adj acent property owner(s),lessee(s)and any other parties which may have a right to consent to Licensor prior to occupying the Licensed Area. ' 7.2. Default. (a) If Licensee should default in the performance of any covenant or agreement herein contained prior to occupying the Licensed Areas and such default continues for forly-eight(48) hours after Licensor gives Licensee written notice thereof,then Licensor may terminate this License Agreement entirely or as to any specific Store location. (b) If Licensee should default after it has accepted possession of the Licensed Areas, Licensor's Store manager or such other person as may be designated by Licensor may gi.ve written notica of default to the operators at a Licensed Premises,and Licensee shall have a reasonable time witivn which to cure the default. In the event of a default on any term.of this License Agreement beyond a reasona.ble time to cure the default,Licensor may unmediately terminate Licensee's right to possession of the Licensed Areas or any Licensed Area. (c) Any such action as described in sections 7.2(a)and 7.2(b),above,by Licensor shall not be a bar to any other legal remedies available to Licensor. No waiver by Licensor of any breach of Licensee's covenants herein contained shall be construed as a waiver of any subsequent breach of the same or any other covenant by Licensee. Licensee agrees to pay all cos�s,attorneys'fees and expenses incurred by Licensor in enforcing any of the provisions of the License Agreement, including attomeys'fees on appeal. 7.3. Ternlina.tion At Will. This License Agreement is terminable as to any Store,without cause,by Licensor upon forly-eight(48)hours written notice(the"Termi.nation Notice"),given to Licensee's employees or agents at the Licensed Area(s). Upon the surrender of tha Licensed Area(s)as described in the preceding sentence,Licensor sha11 refund the License Fee(s)to Licensee,pro-rated for the number of days during which Licensee occupied the Licensed Area(s). If Licensee fails to surrender any Licensed Area as described in this 5ection.,then Licensor shall not be obligated to refizud the License Fee with respect to such Licensed Area. 7.4. Surrender. � By 5:00 pm on July 7,of each year,or withi.n.4S hours of the earlier termination of this Licensa Agreement,Licensee shall surrender the Licensed Areas to Licensor,neat an.d clean,with the stand and all merchandise removed and otherwise in the same condition as when Licensee took possession of the Licensed Areas. 7.5. Assi ent.
