Sealed bids will be received by Timberland Savings Bank at the Main Office of Timberland
Savings Bank, 624 Simpson Avenue, Hoqulam, Washington 98550, until 3 00 pm,
Wednesday, May 25, 2005, for a General construction Contract, which Includes general
and electrical construction, for "INTERIOR ALTERATIONS & IMPROVEMENTS FOR
TIMBERLAND SAVINGS BANK YELM" Bids will be opened and read aloud at that time
Bids received after the day and hour indicated herein will not be considered
Plans, specifications, and contract documents for the Contract work may be obtained by
invited prime contractors, as well as electrical contractors, at the office of Street Lundgren
& Foster Architects, 200 South First Street, Montesano, Washington 98563 Two sets,
maximum to each bidder, upon , which sum shall be refunded
upon return of the drawings and speCifications within two weeks following the bid
opening, unmarked and In good order No partial sets will be Issued
Each bid must be accompanied by a certified check, cashier's check, or bid bond with a
State licensed surety company as surety, In an amount not less than 5% of the base bid,
made payable to Timberland Savings Bank. Should the successful bidder fall to enter Into
a Contract In accordance with the bid, and furnish all documents and bonds reqUired
within the time stated In the specifications, the bid deposit or bond shall be forfeited to
Timberland Savings Bank.
Timberland Savings Bank shall have the rlghtto reject any or all bids not accompanied by
bid security or data reqUired by the bidding documents, or any bid proposal which IS
Incomplete or Irregular The Owner further reserves the right to waive informalities
Contract award, If made, will be to the lowest responsible bidder
No bidder may withdraw his bid after the time set for the opening thereof, unless award of
the Contract IS delayed for a period of time exceeding thirty (30) days

INSTRUCTIONS TO BIDDERS
GENERAL
Bidding documents shall Include the Invitation to Bid, Instructions to Bidders, Form of
Proposal, Standard Form of Agreement Between Owner and Contractor, General
Conditions, Supplementary Conditions, Special Requirements, Specifications and all
related material bound with speCifications, Drawings and Addenda
Each bidder by making his bid represents that he has read and understands the bidding
documents
DEFINITIONS
Addenda are written or graphic Instruments Issued by the Owner prior to the execution of
the Contract which modify or Interpret the Contract Documents by additions, deletions,
clarifications or corrections
A bId IS a complete and properly signed proposal to do the Work for sums stipulated
therein supported by data called for by the Contract Documents
A BIdder IS one who submits a Bid for a Prime Contract with the Owner for the Work
described In the Contract Documents
The Owner IS Timberland Savings Bank.
ADDENDA AND INTERPRETATIONS
Bidders shall promptly notify the Architect of any ambiguity, Inconsistency or error that
they may discover upon examination of the Bidding Documents or of the site and local
conditions, or If they believe any specified products, methods or systems are
Inappropriate This shall be done prior to executing the Contract.
No interpretations of the meaning of Drawings, Specifications, or Bidding Documents
shall be made to any Bidder orally Every request for such interpretation shall be made In
Writing, addressed to the Architect and~ to be given consideration, must be received no
later than 10 calendar days prior to the day of Bid Opening. Any and all interpretations
and any supplemental instructions shall be In the form of written Addenda to the
Drawings or Specifications All written Addenda shall become part of the Contract
Documents Only written interpretations or corrections by Addendum shall be binding.
Addenda shall be mailed or delivered to all who are known by the Arch Itect to have
received a complete set of Bidding Documents, request for a copy from any other party
shall be accompanied by a self-addressed stamped envelope. All Addenda shall be mailed

After acceptance of his bid and commencement of the Work, no consideration shall be
given to any claim or misunderstanding of the prOVISions of the DraWings and

FORM OF BI D
Submit the Bid on the form furnished In the Bidding Documents, without alterations to the
form or any recapitulation of the Work to be done Fill In all blank spaces In the form,
manually sign In Ink. If the Bidder IS a partnership, each partner must sign, if a
corporation, print the name of the State In which Incorporated, followed by the signature
or signatures of the person or persons authorized to sign, and the names of the offices they
hold In the corporation The bidder may retain one copy of the bid form In hiS files
PROHIBITION OF ALTERATIONS
Proposals that are Incomplete, are conditioned In any way, or contain erasures, alterations,
or Items not called for In the proposal, or which are not in conformity to the law, may be
rejected as informal Proposals shall contain no recapitulation of the work to be done,
The proposal form inVites bids on definite plans and specifications Only the amounts and
information requested on the furnished proposal form will be considered as the bid Each
bidder shall bid on the work exactly as specified, as provided In the proposal form, and as
clarified by "Form of Bid" above
PROPOSAL SUMS
The sum of money shown on the Proposal covering all work Included In the base bid
contract documents, together with any addenda thereto and/or unit prices called for, or
any alternates called for, shall Include all Items of labor, material, equipment, overhead,
and compensation to complete all of the work under each particular heading. Each bidder
shall rely on hiS own examination In making his proposal
SUBMISSION OF PROPOSAL
A copy of the Form of Proposal IS Included herein The Bid and the bid security shall be
enclosed In a sealed envelope The envelope shall be Identified with the Project Name
and shall Include the bidder's name Bids shall be deposited In the deSignated location
prior to the time and date of the bid indicated In the InVitation to Bid Bids received after
the time and date for receipt of bids shall be returned unopened
No oral, telephonic or telegraphic proposals will be considered

MODIFICATION OF PROPOSAL
Modification of proposals already received will be considered only If the request for the
privilege of making such modification IS granted and the modification IS made prior to the
scheduled closing time for the receipt of proposals All modifications must be made In
writing over the signature of the bidder Modifications made orally, by FAX, e-mail,
telephone or telegraph shall not be considered
WITHDRAWAL OF PROPOSAL
At any time prior to the scheduled closing time for receipt of proposals, any bidder may
withdraw his proposal, either personally or by written request and/or telegraphic,
telephonic or FAX and confirmed written request. If withdrawal IS made personally,
proper receipt shall be given therefor
After the scheduled closing time for receipt of proposals, or before award of contract, no
bidder will be permitted to withdraw his proposal unless said award IS delayed for a
period exceeding thirty (30) days Any bids received after the scheduled closing time for
receipt of bids shall be returned to the bidder unopened
SUBSTITUTIONS
Each bidder represents that his bid IS based upon the materials and equipment desCribed
In the bidding documents No substitution shall be conSidered unless a written request
has been submitted to the Architect at least ten days prior to the date for receipt of bids
Refer to Division 1 of the SpeCifications, Special Requirements, Substitutions
TAXES
The Contract Sum and any agreed variations thereof shall Include all taxes Imposed by
law, except State sales tax. Sales tax shall be collected from the Owner, and shall be paid
to the State by the Contractor In conformance with the law The Contractor shall furnish
proof of payment of all taxes required by law
BID BOND
A proposal guarantee consisting of a certified check, bank cashier's check, or bid bond,
made payable to Timberland Savings Bank for an amount equal to at least five percent of
the base bid shall accompany each proposal as eVidence of good faith and as a guarantee
that, If awarded the contract, the bidder will execute the contract within ten days after date
of the written notice of said award, and shall give bond as required by the General
Conditions
ACCEPTANCE OF BID (AWARD)
It is the intent of the Owner to award a Contract to the lowest qualified and responsible
bidder, provided the bid has been submitted In accordance with the requirements of the

bidding documents and the bid does not exceed the funds available The Owner reserves
the right to reject any and/or all proposals and also reserves the right to waive any
Informality or irregularity In any bid or bids received and to accept the bid which, In Its
Judgement, IS In the Owner's best Interest.
The Owner shall have the right to accept alternates In any order or combination
No Contract award shall be made until necessary investigations have been made by the
Owner as to the responsibility of the bidder to satisfactorily perform the Work as specified
EXECUTION OF CONTRACT
The successful bidder will be reqUired to execute the Agreement bound within these
specifications, and furnish a performance and payment bond together with an Insurance
certificate satisfactory to the Owner within ten days after date of written documents from
the Owner
FEDERAL & STATE LAWS
All applicable Federal and State laws, municipal ordinances, rules and regulations of all
authorities haVing Jurisdiction over construction of this project shall apply to the Contract
throughout and they shall be deemed to be Incl uded In the Contract the same as though
herein written out In full The bidder will be reqUired to comply with such requirements
at hiS expense
EXAMINATION OF SITE AND CONDITIONS
Before submitting hiS proposal, the bidder shall familiarize himself with the site and shall
ascertain for himself all of the physical conditIOns and limitations In relation thereto
Failure to take this precaution shall not release the successful bidder from entering Into
contracts or excuse him from performing the Work in strict accordance with the terms of
the Contract. No extra payment shall be allowed for additional work due to the failure of
the Contractor to obtain this information No statement made by any officer, agent or
employee of the Owner or the Architect In relation to the physical conditions pertaining to
the site of the work shall be binding on the Owner or the Architect.
INSURANCE
The bidder's attention IS directed to the Supplementary Condition relating to Insurance
The successful bidder for the Work will be reqUired to secure liability Insurance before
commencing work. Such Insurance shall indemnify the Owner against any and all claims
In the amount of $1,500,000 00 The Insurance shall remain In force until such time as
the described Work IS deemed to be complete and accepted by the Owner

A Performance and Payment Bond will be required The cost of the Performance and
Payment Bond shall be paid for by the Contractor, and shall be for 100% of the Contract

SUBCONTRACTORS
The successful bidder shall be required to establish to the satisfaction of the Owner the
rellabll Ity and responslbll Ity of the proposed subcontractors to furn Ish and perform the
Work described In the sections of the SpeCifications pertaining to such proposed
subcontractor's respective trades
The Owner shall have the right to approve or disapprove the subcontractors to be used In
the Work. If a change of any subcontractor is required, the Owner shall notify the
successful Bidder In writing The Contract price shall be Increased or decreased by the
difference In the cost occasioned by such change
Subcontractors, other persons and organizations proposed by the successful Bidder and
accepted by the Owner must be used on the work for which they were proposed and
accepted and shall not be changed except with the written approval of the Owner
PERMITS
The general building permit shall be obtained and paid for by the Owner
All other required permits, bonds and fees necessary to complete the Work shall be
obtained and paid for by the Contractor and the cost of such permits shall be Included In
his bid
COMPLETION TIME
The Contractor shall state In the Form of Proposal the number of calendar days required to
bring the Work of this Contract to Substantial Completion
LIQUIDATED DAMAGES
Liquidated Damages are not applicable to thiS Contract.

The documents listed above shall be Included by reference In the Contract Documents
They shall have full force and effect as If reproduced herein In their entirety Copies of
these documents are available for viewing by bidders In the Architect's office

It shall be the responsibility of every bidder to familiarize himself with these documents
prior to submitting a proposal for the Work covered by this Contract. Failure to do so
shall not entitle the successful Bidder to reimbursement for extra costs caused by
compliance with the requirements ofthese documents and any supplementary conditions

SUPPLEMENTARY CONDITIONS
The Supplementary Conditions contain requirements that modify, clarify, and/or are In
addition to the requirements of the General CondItIOns of the Contract for ConstructIon
and shall be an Integral part of the Contract Documents Items that relate to a specific
article In the General ConditIOns of the Contract for Construction are listed under the
heading of that article
ARTICLE 3
Taxes to be paid by the Contractor Include those Imposed by Federal, State, County and
City governments excepting only real estate taxes on the property, and such taxes as
applicable shall be Included In the proposal sums The State retail sales tax IS not
permitted to be Included In the proposal sum, the Owner shall pay the sales tax
proportionately With each periodic and final payment In addition to the amount allowed
on the payment certificate and the Contractor shall pay such taxes to the authOrity as
required by law
The Owner shall pay all building permit and plan check fees required by the City ofYelm
Other speCial permit and inspection fees, such as electrical, plumbing, mechanical,
underground utility and street work, or fees assessed by State, County or Federal agencies,
shall be paid by the Contractor and shall be Included in his bid
ARTICLE 4
No later than 30 days after Award of the Contract, the Contractor shall provide the
Architect With a complete list of all of the subcontractors and major suppliers he plans to
use in performing the work under thiS Contract.
ARTICLE 8
The work of thiS Contract shall be commenced at once after the Issuance of a written
notice to proceed or a Signed Contract from the Owner and shall be completed Within the
time limits stipulated In the Form of Proposal
ARTICLE 9
Once each calendar month, the Owner Will make partial payment to the Contractor on the
basis of a duly certified and approved estimate of the work performed dUring the

preceding calendar month A sum equal to 5% (five percent) of each such estimate shall
be retal ned
After the award of Contract, the Owner shall require the Contractor to exerCise, In Writing,
one of the options listed below'
Retained percentages shall be held by the Owner, without Interest, until 30 days
following the Final Completion of the Work, or
Retained percentages shall be placed In escrow with a bank or trust company until
30 days following the Final Completion of the Work,
When the Contractor elects to place the amounts reserved In escrow, the Contractor and
Owner shall JOintly select a bank or trust company as the escrow agent. The Owner, the
Contractor, and the Escrow Agent shall then execute an Escrow Agreement on a form
approved by the Owner A copy of the completed Escrow Agreement shall be provided
the Escrow Agent, the Contractor and the Owner
Upon receipt of an inVOice voucher requesting a progress payment, the Owner shall Issue,
In addition to the check for the regular progress payment, a check made payable JOIntly to
the bank or trust company and the Contractor, In an amount equal to the amount retained
on each voucher This check will then be forwarded to the Escrow Agent who will
negotiate the check and Invest the proceeds as required by the Contractor and approved
by the Escrow Agent and the Owner A list of acceptable Investments shall be attached to
the Escrow Agreement. When interest on such Investments accrue and IS paid, It shall be
Invested In the escrow account In the same manner as the retained funds
Investments authorized
Savings accounts or certificates of deposit In any FDIC Insured State or Federal
chartered bank, savings & loan or credit union
Bills, certificates, notes or bonds of the United States
Obligations of any corporation wholly owned by the Government of the United
States
Indebtedness of the Federal National Mortgage Association
Upon Final Completion of the Work of this Contract, and the expiration of the 30 day
period thereafter, and after receipt of satisfactory evidence that all applicable taxes and
fees have been paid, and that all claims, together with a sum suffiCient to defray the cost of
foreclosing the liens of such claims, and to pay attorney's fees, have been paid, the Owner
shall pay to the Contractor the funds retained by him, or Issue instructions to the Escrow
Agent authorizing the release to the Contractor of the funds, seCUrities or bonds held In
escrow
If such taxes have not been discharged, or the claims, expenses and fees have not been
paid, the Owner shall
Pay such taxes and fees from the funds retained and deduct such liens, expenses
and fees that have been filed and pay the remainder, If any, to the Contractor

DISposition of amounts held by the Owner to settle liens, expenses and fees will be
disposed of In accordance with the advice of legal counsel

In accordance with the paragraph above
The Escrow Agent shall not make any payment from a retained percentage fund or release
any retained percentage escrow account to any person, until instructions to do so have
been received from the Owner
ARTICLE 10
Protections Provide any speCial barricading or fencing and maintain any required lights,
warning and directional signs, and other protections near and about the construction site
as may be required by local authorities having JUriSdiction or as necessary to protect
pedestrians, vehicles, any surrounding adjacent sites, structures, landscaping, properties
and servIcing utll Itles
Indefinite underground utilities or other services as may be uncovered shall not be
disturbed but brought to Architect's attention for direction as to how to proceed
The Contractor shall observe and comply With all Federal and State laws, and With
County, City, and municipal resolutions, ordinances, and regulations that will In any way
affect the work. Such information, interpretation, or representation of laws, regulations, or
ordinances referenced In the Contract Documents shall not take precedence over the law,
regulation, or ordinance Itself, nor relieve the Contractor from the Contractor's
responsibility for determining the true current construction and content of such laws,
regulations, and ordinances
ARTICLE 11
The Contractor shall purchase and maintain Insurance as described In article 11 of the

Substitution requests MUST be made In writing. Requests must arrive at Architect's office

As work progresses, submit to Architect shop drawings, product data and samples required
by these specification sections Begin no work which requires submittals until return of
submittals with Architect's stamp and initials or signature indicating review
copies minimum of all shop drawings and product data. Submit sufficiently In advance to
afford ample time for checking, correcting and re-checklng
Contractor shall review and approve all shop drawings prior to transmitting to Architect.
Changes to contract documents shall be Identified by conspIcuous reference markings and
be accompanied by letter setting forth reason for change. Shop drawings will be reviewed
for design and appearance only Final approval of dimensions, fitting and ability to
comply with contract documents shall be Contractor's responsibility
Claims for extra costs will not be considered for work shown on shop drawings unless

CONSTRUCTION PROGRESS SCHEDULE
A pre-construction conference shall be held prior to commencement of construction work
at site Representatives of Owner, Contractor and Architect shall attend this conference
Coordination of Owner's and Contractor's operations shall be discussed
At pre-construction conference contractor shall submit to Owner a proposed construction
schedule based upon date of Final Completion Format of schedule shall be determined
by Contractor and agreed to by Owner and Arch Itect.
Submit revised schedules to Architect monthly as constructIOn progresses Indicate
progress of each activity and highlight any changes to schedule Report any problem areas
or anticipated delays and their effect on progress schedule
Contractor shall keep a daily log at construction site In which to record weather and other
conditions or events that may affect construction schedule
INSPECTION BY PUBLIC OFFICIALS
Call for all inspections required by publiC agencies having JUriSdiction In area. Final
payment will not be made until appropriate offiCials have made a final Inspection and all

WATERTIGHTNESS OF BUILDING
General Contractor shall be held responsible for correction of all leaks caused by rain
water, ground water or surface water occurring In any part of building which was affected
by Work of this Contract for a period of two years from date of Final Completion of work
by Owner
Unless Contractor notifies Architect In Writing, one month prior to installation of various
phases of work, that In his opinion certain details or speCIfications shown on Contract

FiElD OFFICE BUilDING
General Contractor shall provide a substantial weathertlght office building on premises for
JOint use by Contractor and Architect. Provide wood floor raised above ground, locked
door and glazed windows EquIp with plan table, shelving, plan rack, stools and chairs
Provide and pay for adequate heat, electric and Janitor services Remove building from
premises on completion of Contract, or sooner If required to complete construction
TOilET FACILITIES
General Contractor shall provide adequate toilet facilities, separate from eXisting building
facilities, for use by all those connected with Work. Toilets to be of chemical type or

FI RE PROTECTION
Provide and maintain fire extinguishers In accordance with local, state and federal
regulations
TElEPHONE
Provide a non-coin telephone Locate adjacent to or within work area or field office
building. Install Immediately after work IS started, maintain until completion of work. Pay
for installation, maintenance and calls Allow all connected With work to use, provided
they pay for toll calls Cellular phones shall be acceptable for this purpose.
TEMPORARY HEAT
General Contractor shall provide, at his own expense, suffiClenttemporary heat for proper
installation of work and to protect all work and materials until Final Completion Subject
to approval of Arch Itect, General Contractor may use permanent heati ng system or a
temporary connection of equipment required for permanent system Equipment shall be
properly installed by responsible electrical and mechanical contractors and made available
for supplYing temporary heat. Contractor shall be responsible for maintaining a minimum
Interior temperature of 600 F once interior finish work has commenced
General Contractor shall arrange With electrical and mechan Ical subcontractors for use,
operation and maintenance of eXisting and/or new system General Contractor shall pay
for all connections and maintenance for temporary heating and necessary accessories such
as temporary air filters when required to protect operating equipment of building Unit
ventilators, fan, air handling unIts and/or duct systems used for temporary heating shall
have temporary filters Installed to prevent accumulation of dust and dirt In system and

Electrical power or natural gas used to produce temporary heat shall be paid for as

WATER FOR CONSTRUCTION
Contractor shall furnish and Install necessary temporary piping from distribution pOints to
construction area where water IS necessary to carryon work and upon completion of work
shall remove all temporary piping Contractor may use permanent building water
distribution systems for construction work.
ElECTRICAL POWER FOR CONSTRUCTION
Electric power required for performance of Work shall be furnished and paid for by
Owner via eXisting electrical systems at site Any alterations or extensions to eXisting
electrical system required to supply power to construction areas shall be prOVided and
Installed by Contractor Before Final Completion, any temporary modifications to
electrical system Installed by Contractor shall be removed and electrical system shall be
restored to ItS state prior to commencement of construction or as shown on draWings
Temporary lighting during construction IS to be maintained by Contractor so that work can
be properly and safely performed Special attention shall be given so that stairs, ladders,
openings, barricades and other Similar Items and spaces are adequately lighted Lighting
system shall conform to requirements of local and state safety rules All temporary and
portable wIring shall be Installed and maintained In a safe and workmanlike manner In
accordance with state and local requirements Electrical Contractor shall Install permanent
electrical serVice, risers, and panels as soon as practicable to prOVide for use of service by

TEMPORARY CLOSURES AND FENCING
Contractor shall erect temporary closures over openings where required to protect work In
place, to secure building, to keep building watertight and/or for safety of workmen or
publiC Contractor shall be solely responsible to keep building watertight at all times
during construction

PROTECTION OF WORK IN PLACE
Work in place that IS subject to Injury because of operations carned on adjacent thereto
shall be covered, boarded up or substantially enclosed with adequate protection
CONTRACTOR'S STAGING AREA
All materials, equipment and supplies required for execution of Work must be stored
within area defined by site boundaries as shown on site plan Contractor shall not be
allowed to store materials and equipment outside area of site
If space outside construction site IS required to store materials and equipment, Contractor
shall make all necessary arrangements for such space and shall pay for use of space
STORAGE OF MATERIALS
It shall be sole responsibility of Contractor to deliver and store all construction materials In
such a manner that, when Installed, materials are In new and unblemished condition
Construction materials shall be delivered to site In manufacturer's unopened containers or
as bundled or wrapped for shipment from place of manufacture When stored on ground,
materials shall be placed on pallets or skids so that they are not exposed to earth Where
materials may be damaged by exposure to weather, store In dry, protected areas Remove
any damaged materials from site and replace at no cost to Owner
Contractor shall be responsible for security of all construction materials Install fencing
and/or provide watchmen as required Any stolen or missing materials shall be replaced
at no cost to Owner up to date of Final Completion of proJect.
PROJECT CLOSEOUT
Architect's representative, In presence of Job superintendent, will make a final inspection
and punch list. This inspection will be conducted whenever Contractor indicates he IS
ready for Final Completion Newly discovered defiCienCies may be added to punch list at
any time Contractor shall correct all defiCiencies until project IS accepted regardless of
whether Owner has occupied project or not.
Report of Building OffiCial's inspections will be sent to Contractor for those Items that are
duly Within Contractor's scope of responsibility to be added to punch list.
Contractor shall notify Architect when all punch list Items have been corrected Architect
will conduct a final inspection With Contractor and owner's representative present.
AS-BUILT DRAWINGS
Upon completion and before final payment, Contractor shall turn over to Architect one set
of clean prints, marked In a neat, legible manner, shOWing all deviations from original
design These prints shall Include Architectural and Electrical drawings Prints shall
remain at Jobslte dUring construction and shall be kept current at all times

OPERATING INSTRUCTIONS AND MAINTENANCE MANUALS
Operate all systems Installed under this Contract through a complete cycle In presence of

equipment, including manufacturer's data sheets and warranty or guarantee forms
Information shall be contained In black, labeled, 8-1/2" x 11" three-ring binders

number of equipment servIcing organization that will provide service for mechanical and
electrical equipment on a 24-hour basIs dUring one-year guarantee period In event of

defective one year after date of acceptance

departments that the building has been approved for occupancy
FINAL CLEANUP
Prior to Final Completion, remove broken or scratched glass and replace with new glass
Clean all surfaces of all glass, including eXIsting wIndows Remove paint drops, spots,
stains, and dirt from finished surfaces and clean, mop and buff hard floor surfaces
