Lefebvre and Marion~Lefebvre, husband and wife, hereinafter referred to as "Seller" and the City of Yelm, hereinafter referred to as "Purchaser"; WITNESSETH: WHEREAS, Seller owns certain real property in Thurston County, Washington, at 509 Rhoton Road N.W., Yelm, Washington, more particularly described as: The West one-half of the North one-half of the North one-half of the Southeast quarter of the Northwest quarter of section 19, Township 17 North, Range 2 East, W.M., excepting therefrom Crystal Springs Road along the westerly boundary, also described as Parcel 1 of Large Lot Subdivision No. 8031 TOGETHER with that adjacent parcel described as beginning at the Southwest corner of the South half of the Northeast quarter of the Northwest quarter of section 19, Township 17 North, Range 2 East, W.M.; thence S 89038'06"E, along the South line of said subdivision, 595.06 feet to the TRUE POINT OF BEGINNING; thence continuing S 89038'06"E, 40.00 feet; thence N 0021154"E, 60.00 feet; thence N 89038106"W, 25.00 feet; thence S 45021'54"W, 21.21 feet; thence S 0021154"W, 45.00 feet to the TRUE POINT OF BEGINNING, all in Thurston County. After the expiration of 120 months from the date of the Promissory Note, the purchaser may, at its option, pay the remaining balance in full at any time. 3. TITLE. Title of the Seller is to be free of all encumbrances or defects except rights reserved in federal patents or state deeds, building or use restrictions general to the district, existing easements not inconsistent with Purchaser's intended use, and building or zoning regulations or provisions shall not be deemed encumbrances or defects. Encumbrances to be discharged by Seller may be paid out of purchase money at date of closing. 4. EARNEST MONEY. Prior to signing this Agreement, Purchaser has delivered to Seller a check issued by UCBO for One Thousand Five Hundred Dollars ($1,500.00), delivered as earnest money in part payment of the purchase price of the above-described real estate. It is agreed that said check will not be negotiated until this Agreement has been fully assigned. It is understood that the earnest money shall be refunded to the Purchaser if anyone of the contingencies is not fulfilled. 5. TITLE INSURANCE AND CLOSING COSTS. The Purchaser shall pay all closing costs including recording fees, escrow fees, if any, and title insurance. It is understood that there will be no excise tax payable in this transaction. Seller shall be responsible for a pro-rated share of the real estate taxes through January 1 to the date of Closing, 1993. The title policy shall be issued by Ticor Title Insurance Company through Pioneer Title Company in Olympia, Washington. That title policy to be issued shall contain no exceptions other than those provided for in said standard form plus encumbrances or defects noted in paragraph 2 above. If title is not so insurable as above provided and cannot be made so insurable by termination date set forth in paragraph 5 hereof, earnest money shall be refunded and all rights of Purchaser terminated; provided that Purchaser may waive defects and elect to purchase. If title is so insurable and Purchaser fails or refuses to complete purchase, except for one of the conditions or contingencies listed on Exhibit A, the earnest money shall be -2- forfeited as liquidated damages, as Seller's exclusive remedy. 6. CONTINGENCY. This sale is contingent upon: a. The provisions set forth on Exhibit "A" attached hereto and made a part hereof by this reference. b. Upon approval of the Board of Directors of UCBO and approval of the City Council of the City of Yelm, both of which shall be obtained within 30 days of the date of execution of the Earnest Money Agreement. 7. CLOSING. This sale shall be closed in the offices of John B. Troup or of pioneer Title Insurance Company at purchaser's option on the date set forth in attached Exhibit A. The Purchaser and Seller will on demand deposit in escrow with Ticor Title Insurance all instruments and monies necessary to complete the purchase in accordance with this Agreement. Escrow may use its own note and deed of trust forms. Purchaser shall be entitled to possession on closing. 8. PRO-RATED ITEMS. Real estate taxes for the current year shall be pro-rated to the date of closing and paid by the Seller. Water and other utilities constituting liens shall be pro-rated as of closing. 9. WARRANTY. Seller represents and warrants that: (a) the property above described has public water adjacent to it; (b) the Seller has no notice from any governmental agency of a violation of laws or rules relating to the property described above; (c) "WELL SITE: The purchaser takes the well site fully knowledgeable and aware that there have been no representations made regarding the availability of water in the well, the condition of the well water itself, or the mechanical ability of the well pump to function." 10. ENTIRE AGREEMENT. There are no verbal or other agreements which modify or affect this Agreement. This Agreement shall not be modified except in writing signed by both parties. 11. ATTORNEY'S FEES. In the event of litigation between the parties hereto for the enforcement of any of the covenants, terms and conditions of this Agreement, the losing party shall -3- pay the costs thereof and reasonable attorney's fees which shall be determined and taxed by the court as part of the costs of such action. 12. BINDING. This Agreement is made and executed under the laws of the state of Washington and shall be binding upon the parties hereto, their respective heirs, personal representatives, successors and assigns. That the property is suitable for the purposes contemplated and free from all environmental hazards, including but not limited to contamination from hazardous substances or other materials or conditions posing a threat or potential threat to human health or comfort; as determined by studies to be conducted at Purchaser's expense. Provided, however, the Seller shall pay the first $250.00 for said environmental inspection. The inspector shall be selected at the sole discretion of the Purchaser. The Purchaser agrees that it shall proceed with the ordering of a level one testing and approval of the premises. In the event it is determined that a level two inspection needs to be accomplished, the purchaser shall have the option of either proceeding with the level two inspection or terminating the transaction without penalty. Said determination shall be made no later than March 15, 1993. 2. This sale is conditional upon the execution of an agreement between Purchaser and UCBO for development and financing of the property to house UCBO social services on or before closing date. 3. It is understood that the monthly payments on the Promissory Note will probably be made by UCBO. The making of payments by UCBO shall not be considered a waiver of the right to collect from the City of Yelm in the event of a default in payments by UeBO. The City of Yelm shall remain primarily responsible for the payments until such time as the Promissory Note has been paid in full. 4. The parties agree that this sale will be closed within ten (10) days following a written statement by Purchaser to John B. Troup, Seller's agent, that all conditions and contingencies have been satisfied, which shall be no later than March 19, 1993. If the 1992 real estate taxes have been paid at the time of closing, a pro-rated share shall be paid to the Seller by the Purchaser. The title policy shall be issued by Ticor Title Insurance Company through pioneer Title Company in Olympia, Washington. That title policy to be issued shall contain no exceptions other than those provided for in said standard form plus encumbrances or defects noted in paragraph 2 above. If title is not so insurable as above provided and cannot be made so insurable by termination date set forth in paragraph 5 hereof, earnest money shall be refunded and~l rights of Purchaser terminated; provided that Purchas~rclay waive defects and elect to purchase. I think I would add a paragraph to the Earnest Money Agreement as follows: "WELL SITE: The purchaser takes the well site fully knowledgeable and aware that there have been no representations made regarding the availability of water in the well, the condition of the well water itself, or the mechanical ability of the well pump to function." I also asked Mr. Lefebvre if he would go out to the property and see if he could find the survey stakes placed there by Mr. Keyes when he did the survey which permitted the division of the original property. At the point when the UCBO and Mr. LeFebvre reach an agreement on a "draft" earnest money agreerrent, the City of Yelm will review the document and sugges t any required changes. The City asks that you consider two stipulations when negotiating the agree- ment: ( 1) that there is no additional liability to the City of Yelm, and (2) that the sale is within the budget for the Community Development Block Grant funded project. We mutually agree that it is in the UCBO's best interest, in the essence of time, to do the negotiating directly. His first concern had to do with the noise pollution caused by the baseball diamond His second concern was persons who might enter onto his property and fall into their pond, which is 6 feet deep, 60' across, ~nd has a sharp drop-off. He further explained that it has an artificial bottom and that silt gathers it, making the bottom slippery and therefore difficult to get out of. He advised that when his son swims in it, it is very difficult to get out of, and so much more so for young children. Because of these two concerns, he felt it was of primary importance that the UCBO consider the location of its various functions. He felt that the road (his driveway) provides some of the necessary buffer between the two sites, He felt the baseball diamond/playground would create a nuisance that needed to be addressed e Jim Talley asked what fence or buffer currently exists advised there was a three strand barbed wire fence. Mr. Jones Mrs. Jones would I ike to see as many trees as possibl e remain, which could help reduce the noise and help maintain their privacy Mrs. Jones thought from a previous conversation with Cindy that all the trees were going to be removed, Cindy refreshed her memory that only the trees that had to be removed would be taken out. These are ones that are necessary to remove to build the ball diamond, the facility, or the parking area. The UCBO would like to preserve as much native vegetation as possible (not including scotchbroom, which would be replaced with some other more aesthetically pleasing shrubs). Jim Talley advised that the placement of various parts of the facility was not set in stone, however, in order to better serve customers and to reduce the construction costs of bringing services, and paving that the buildings would necessarily be closer to the road. , Mr. Jones advised that a buffer needs to be set up, and he does not want the home plate or stands near his property line. Shirley Gregory asked if a high board fence would help. Mr. Jones advised that it would help maintain his privacy, but would not reduce the noise if home plate was right next to his property line. He felt that the source of the noise should be as far away from his property as possible. Shirley Gregory advised that she could sympathize with their request, as she often hears noise from the Yelm City Park Mary Lou advised that it was only possible to deal with the noise in as best a manner as possibl e, however, the fact remains that games like the YHS football games can be heard allover the community, so there should be some expectation that some noise will be heard no matter what efforts are made to control or reduce the noise. Mary Lou asked him what he sees as the best resolution to their concerns. Mr. Jones responded that he would like to see significant fencing, something that cannot be scaled, perhaps a fence that is 6' tall. He ideally would like a 40 foot buffer of nature trails between property line and move the focal point of the baseball diamond activity as far from his property as possible. Jim added that he would like a buffer that will not allow visibility of the pond from the UCBO property. Mr. Jones then inquired re the well site, which extends into his property. He was concerned that if the UCBO uses it, some children may come to the wellhouse, see the pond, and wander into it He also advises that his electricity serves it, and that his water has a faucet that runs inside the wellhouse. Cindy advised that the well, if it is used, would have an underground irrigation system and that only maintenance people would be coming to the wellsite. She advised that there are no plans to use it at this time, plus the costs of re-establishing it as a usable well may not be worth . the investment. Mr. Jones advised that they were interested in purchasing the well si te, since it does extend into their property. The UCBO wi 11 advise him if this becomes available for sale Mrs. Jones asked re if any opposi tion had been shown by other neighbors. Cindy advised that no other neighbors had shown any opposition. The other neighbor adjacent to the property on the south side, Floyd Cummings, has consistentl y said that he much prefers the UCBO being located there over the alternative of 30-40 houses, which would greatly impact everyone's privacy This concl uded the discussion of the concerns of Mr. and Mrs. Jones. The board and Cindy assured Mr. and Mrs. Jones that every consideration will be made to comply with their concerns, as it is the UCBO' s intent to be good neighbors. Box 446 Yelm, WA 98597 Dear Jim: In response to the City Council meeting of August 26, 1992 regarding site selection for the new UCBO Cornnuni ty Services Center, I offer the following City Council recommendation: After much discussion on the pros and cons affiliated with each site, the Council unanimously agreed that the best site was the LeFebvre property (site #4) on Crystal Springs St. NW. The site is currently in Yelm city limits, along a collector street and is zoned industrial; the cornnunity se~vices center \\Duld serve as a good residential/industrial transition. Sewer and water are available without a main extension, which allows rrore \\Drking capital for the project. The deciding factor in favor of this piece is the price, $100,000 for five acres compared to $150-175,000 for the Longmire pieces. As Mr. LeFebvre is willing to carry a contract on the property, rrore dollars may be available for cons truction to meet the origi- nal intent of the project. Four other sites were discussed and I would like to share with you the rea- sons the City Council did not forward a favorable recommendation on them. Site #1 - Longmire owned piece adjacent to Cochrane Park: As stated in the correspondence dated 8-25-92 from Cindy Cecil, this was the #1 choice of youself, Mary Lou, Marry Stafford and Cindy. However, the City Council was very concerned about the relocation issue associated with this site. After further research by staff, staff feels strongly that purchase of the site and construction of the Center with use of CDBG funds violates Resolution No. 242 regardless of the timing of the real estate contract. Staff will not forward a favorable recommendation to City Council on this site, as the potential exists for future liabilities. I have enclosed a copy of Resolu- tion No. 242. Site #2 - Longmire owned piece adjacent to new school site (Mill Rd.): This site is located in a residential zone with future plans for single-family residentlal development all around the site. Good planning does not situate a quasi-corrmercial use in a residential zone. The main drawback to this site was the cost at $175,000 for 6.81 acres. Site #3 - City-owned Cochrane Park: I feel that both the UCBO Board and the City of YeJm agree this is not the best site for the center. If the project was approved by Cochrane heirs, the UCBO ~uld be very limited on any future expansion plans to include the shelter, food bank and thrift shop. Site #5 - Berry Valley Rd. site: The City understands that the owners of the property have asked that the sale be contigent on the zoning of neigh- boring property. This request is not acceptable to the City. The site is not in the YeJm sewer service area. The possibility of acquiring the land for the project on a contract basis creating a lien on the land was also discussed. Initial response to this situation is that the City would consider a lien only after review and ap- proval of a UCBO provided budget showing operation and ffi3.intenance of the new facility for the next ten years allowing for the payrrent of a mortgage. I lmderstand that Cindy has contacted CounciJmembers on an individual basis to discuss the contents of this letter.
