THIS MITIGATION AGREEMENT ("Agreement") IS made thIS R of March, 1997,
between the YELM COMMUNITY SCHOOLS DISTRICT NO 2, Yelm, Washington (the "District")
and The Neighborhood Development Group (the "Developer")
RECITALS
A. The Developer has submItted an application to the City of Yelm for the construction
of 5 duplexes and 2 single famIly dwellIng umts, commonly known as Mill Park Place Yelm File No
ST_IE 8179, (the "P"'cje=ttf) The Picject i~ !oc:ated on property ~hat lies \vithin District boundarIes,
more particularly described on ExhIbit A, attached hereto and incorporated herem by reference.
B The State EnvIronmental Policy Act, Chapter 43.21C RCW ("SEPA"), provides
processes and procedures whereby major actions by state and local agencies, mcluding, but not
lImIted to, plat or PUD approval or the Issuance of bUlldmg permIts, may be reviewed to determme
the nature and extent of their impact on the environment. Impacts on public serVIces, mcludmg
schools, are environmental impacts for the purposes of SEP A. SEP A requires the mitigation of
adverse envIronmental impacts.
C. The Distnct's student population and growth projectIOns indIcate that the Project will
have an Impact on the Distnct, when cumulative Impacts of other projects are considered.
D RCW 82.02.020 authonzes the Dlstnct to enter into a voluntary agreement with the
Developer for payment to mitigate the impact of the Developer's Project.
E Pursuant to Resolution No 12-16-93-05, it IS the policy of the DIstrict to recommend
that the direct impact of development be voluntanly mitigated by the payment of fees and/or other
mItIgatIOn measures where approprIate.
F The Developer has agreed to mitigate, on a voluntary basis, the adverse impact of the
Project on the District.

AGREEMENT
NOW, THEREFORE, in consideration of the above recItals and the mutual promises and
covenants below, the District and the Developer agree as follows.
1 The Developer acknowledges and agrees that there is a direct impact on the District as
a result of the Developer's Project and that this Agreement IS necessary as a result of that Impact.
2 The Developer acknowledges and agrees that in order to mitigate the direct impact of
the Project, the Developer has offered to pay the District the following sum of money Six hundred
fifty Dollars ($650.00) for each single family dwelling unit constructed and one thousand dollars
($1,000 00) for each duplex or the total sum of five thousand six hundred fifty dollars ($5,650 00)
(the "Mitigation Payment") for the 5 duplexes and I single family dwelling unit.
3 Any extension, renewal, modification or amendment to the Project that results in an
adjustment in the number of dwelling umts shall result in a corresponding pro rata adjustment in the
Mitigation Payment.
4 The Developer agrees that the payment of the full Mitigation Payment (in the amount
of six hundred fifty dollars ($650 00) per single famtly clwelling umt and one thousand dollars
($1,000.00) or five thousand SIX hundred fifty dollars ($5,650.00) for the project, shall be a conditIOn
of buildmg permit Issuance and shall be made pnor to or at the time of building permIt Issuance for
each smgle famIly dwelling umt or duplex constructed in the project or at the time the developer
sells a lot to another party for future construction.
5 The District agrees to record this Agreement after it has been executed by the parties.
6 The Developer acknowledges and agrees that the Mitigation Payment is authorized to
be used for capItal improvements to the followmg facilities. Prairie Elementary School, Mill Pond
Intermediate School, Yelm Middle School, and/or Yelm High School and/or any other facilities that
may be affected by the Project and/or the purchase of portable facilItIes and/or school buses.
7 The Developer agrees that the Dlstnct has five (5) years from the payment date to
spend the MitigatIOn Payment for the capItal improvements or expendItures described in
paragraph 6. In the event that the MitIgation Payment IS not expended within those five years, the
moneys will be refunded with mterest at the rate applied to judgments to the property owners of
record at the time of refund, however, if the Mitigation Payment IS not expended Within five years
due to delay whIch.is attributable to the Developer, the Payment shall be refunded Without interest.
8 The Developer Waives and relinquishes ItS right to protest or challenge the payment of
the Mitigation Payment pursuant to thiS Agreement and hereby covenants and undertakes that It
forever reframs and deSists from mstItutmg, asserting, filing or bringing any laWSUIt, litigation, claim,
or challenge or proceeding to challenge this Agreement, claim any repayment or reimbursement of
funds, performance or Improvements provided for therem, or any of ItS terms and conditions, on any
ground or basis whatsoever
9 The Distnct hereby waives any objection to the Project as presently proposed.
10 The District and the Developer agree that the MitIgation Payment will be full and
complete mitigation for the Impact of the Project as presently proposed on the District.
11 ThIS Agreement shall be binding upon and inure to the benefit of the heirs, executors,
administrators, successors, and assigns of both of the Developer and the District.
12 If an action must be brought to enforce the terms of thIS Agreement, such action shall
be brought m Thurston County Supenor Court. The prevailing party shall be entitled to payment of
its costs and reasonable attorneys' fees.
13 This Agreement constItutes the entire agreement between the partIes and any other
agreement either wntten or oral shall be null and VOId.

Re Preliminary Short Plat Approval for SHS-8179, Mill Park.
Dear Mr Huddleston.
The City of Yelm has completed its review of the above referenced proJect. Preliminary
short plat approval is granted based upon the following findings of fact. Final Short
Approval can be obtained upon satisfactory completion of all conditions of approval
stated hereafter
1 Open Space
Finding Yelm Municipal Code (YMC) 16 14 040(B)(C) requires all single family
residential developments dedicate a minimum offive percent (5%) of the gross area of
the proposed development for open space or pay a fee in lieu of open space dedication
as provided in YMC 16 14 060 The parkfee-ln-Iieu provISion of the City Code
provides for the acquisition, development, and operation of the City's park system
consistent with the requirements of the comprehensive plan to assure the community
as a whole that adequate park facilities will In fact be present In a timely fashion,
consistent with City standards
Condition of Approval
a The applicant shall provide an area of 6,534 sf, Identified as Tract A, for open
space The applicant shall demonstrate to the City, compliance with Section

16 14 050 of the YMC Section 16 14 050 states that open space must have one
or more of the following uses
1 Environmental interpretation or other education,
2 Park, recreational land, or athletic fields,
3 Off-road footpaths or bicycle trails, or
4 Any other use found by the City to further the purposes of this chapter
The applicant shall dedicate the open space to the City of Yelm
b As provided by ordinance the applicant may choose to pay a fee In lieu of open
space dedication in the amount of $5,031 18 The fee IS calculated by
multiplying the required square feet of open space (6,534) by 77cf,
2. Transportation
Finding Yelm is a small compact community most directly affected by two state
highways which bisect the community The two state highways are used by local
residents for transportation throughout the city and for access to commercial and
residential areas throughout the community In lieu of Widening existing streets, the
City has elect to create certain alternatives, Y-1, Y-2, Y-3 which Will avoid the need to
significantly widen existing streets, and particularly Yelm Avenue New developments
do In fact burden the city's central streets, and unless the bypass alternatives are
accomplished, the City would have to require developers to pay the cost of the Internal
street widening The city plans show and the City finds that adequate facilities will be
accomplished better and in a timely fashion by bypass faCilities as a substitute for the
Widening of existing facilities As a result, the City finds that the regional plans In fact
benefit projects in all areas on the City and Will accomplish the goal of providing
adequate facilities to City standards within a reasonable time to serve the demands
created by the proposed project.
Condition of Approval
a. The applicant shall mitigate traffic impacts to the transportation system
Mitigation includes payment of the Transportation FaCility Charge (TFC) for 606
pm peak hour trips generated by the proJect. The total TFC IS $4,545 00 The
TFC for each single family lot IS $757 50 and payable at bUilding permit
issuance
b I The YMC Development Guidelines 48 080 requires the applicant to construct all
frontage improvements from centerline of Mill Road across the full of the
development site frontage
c The internal road shall be designed as a local residential access street per the
Yelm Development Guidelines

street lighting and lafldsc~ping per the Yelm Development GUidelines
3 Water Supply
Finding The City's Water Comprehensive Plan identifies a portion of the City area
for service The City is pursuing additional land areas for approval and the extension
of facilities ,Completion of such activities is dependent on grandand.developer
funding, as well as planned bonding and eXIsting public funds The status of such
plans and funding sources must be considered In any review of concurrency
Developer extensions and or dedications, latecomer agreements, overslzlng
agreements, and the creation of local improvement dlstncts may all be considered In
the event of a new funding source, however, concurrency IS not found until the funding
source IS in fact in pace - e g award of a grant, a binding letter commitment for third
parting funding, or the successful formation of a local Improvement district. Any
necessary water nghts are considered, only after approved for municipal use by the
Washington State Department of Ecology, or appropnate appeals board, and the time
for appeal or challenge has expired
Condition of Approval The applicant shall extend the eXistIng 8" water line and proVIde
fire hydrants and appurtenances per the Yelm Development GUidelines
4 Sewer System
FInding The city's Sewer Comprehensive Plan Identifies a portion of the City area
for service The City is pursuing additional land areas or approval and the extension of
faCIlitIes Completion of such activities IS dependent on grand and developer funding,
as well as planned bonding and existing public funds The status of such plans and
fundIng sources must be considered in any review of concurrency Developer
extensIons .and or dedications, latecomer agreements, overslzlng agreements, and the
creation of local Improvement districts may all be considered In the event bf a new

equal to twenty percent of the estimated cost of the public works
improvements/maintenanceof the Stormwater Facility for a penod of five years
after the completed job is accepted by the City Release ob bond or other
security will occur five years from City acceptance If all maintenance has been
accepted by the City
6 Property Address
Finding RCW 5817 280 requires all lots within a short subdivIsion to be addressed
pnor to final plat approval
Condition of Approval The applicant shall submit a final blue-line plat map to the City
for review At such time the City will address the site The respective address for each
lot shall be clearly noted on the face of the final mylar plat map
7 Schools
FindIng As the City neither provIdes school services nor facilities and as all deCISions
as to the need, funding, and adequacy of the school facilities IS a matter exclusively
WIthin the province of the school board and the state Legislature, the city defers to
those agencies for specific findings as to need, adequacy, and concurrency
Condition of Approval The applicant shall negotiate and enter Into a Mitigation
Agreement with the Yelm School District prior to final plat. School mitigation fees are
payable at time of building permit Issuance
8 Final Short Plat
Finding' The final short plat is required to be prepared In compliance With the City of

Yelm Short Subdivision Code (YMC 16 12) The procedures for prepanng and
submitting the short plat are attached
Condition of Approval The final short plat shall clearly demonstrate the satisfactory
completion of all conditions of approval stated herein, and shall be prepared and filed
In compliance with the requirements of YMG 16 12 The final plat must be surveyed
and shall be prepared on a standard Mylar sheet.

A short plat is a request to subdivide property into four or fewer lots for the purpose of residential, commercial,
or industrial development. No more than four lots may be created by short platting within any five-year period.
A short plat is reviewed by the City s staff for conformance with City subdivision standards and other regulations.
The plat cannot be approved unless appropriate provisions have been made for public facilities, such as roads,
sewer and water Although a survey is required for the final short plat, the survey should not be done until pre-

KNOW ALL MEN BY THESE PRESENTS
WE, THE UNDERSIGNED, being owners of certain real property
situated in the City of Yelm, Thurston County, State of Washington,
more particularly described on Exhibit "A", attached hereto and by
thls reference thereto incorporated herein as though fully set
forth herein, do hereby declare the following

1 That said real prop~rty has been subdivided in accordance
with the provisions of Chapter 58 17, Revised Code of Washington,
and City of Yelm Ordinance No 185, and that said subdivision was
approved by the City Engineer of the City of Yelm, State of
Washington, on the

(d) A perpetual non-exclusive easement is
hereby reserved for the construction,
maintenance and operation of telephone,
electric, gas, water and sewer lines,
mains or conduits, over, across and under
the right-of-way of all roads described
and shown as a private road on the
subdivision map which is a part hereof

maintain all necessary slopes for cuts
and fills upon the said described real
property adjacent to all roads (public or

subdivision map which is a part hereof in
order that such roads may be graded in a

further right hereby reserved for the
drainage of such roads over and across
any lot or lots where the drainage water
might take a natural course after
reasonable grading in connection with the
improvement of such road for dedication
(f) No drainage waters on any lot or lots
shall be diverted or blocked from their
natural course so as to discharge upon
any road right-of-way or to hamper proper
road drainage
