Department Updates- Michael Grayum updated the Council on the following: Invite Thurston County Commissioners to the next Study Session to discuss the multipurpose taxing district they would like to create. Highlights from the Lean Management process and continuous improvement. Prairie Days Parade was a successful event and thank you to the Public Works and Police departments for their hard work. Economic Summit event was a packed house. The Public Hearing on the proposed Parks Plan had a very low attendance. Council will hold a Public Hearing on July 25, 2017. are required to attend training on the Open Public Meetings Act and the Public Records Act. Future trainings on Land Use and Parliamentary Procedures. Vendors and support for riders at the Yelm Community Center for the Seattle to Portland Bicycle event on July 15, 2017. Public Works Director Chad Bedlington updated Council on the Reclaimed Water Facility. The City is not producing reclaimed water at this time due to issues at the facility. 11. Mayor and Council Initiatives Councilmember Curry attended the Citizens for School Bond kickoff. Councilmember DePinto attended the Association of Washington Cities Conference in Vancouver, WA. Councilmember DePinto will meet with Chad to discuss installing speed bumps to a dead end public road. Councilmember Hendrickson attended the Medic One meeting and Prairie Days events. Mayor Foster attended the Flag Day Ceremony at the Memorial in the City Park (thanked those that participated). Mayor Foster thanked Councilmember Carmody for bringing the STP (Seattle to Portland Bicycle race) stop at the City Park and thanked the Boy Scout Troop that kept the City Park clean during the Prairie Days events. Background Yelm secured a Surface Transportation Program grant for the prep corridor study. The study will be a multi-modal planning project to balance the Yelm Avenue/1st Street (SR 507) corridor's character as a main street project will study strategies to promote economic development op traffic safety and mobility for pedestrians, cyclists, and trans community will be heavily engaged in preparing the study. Shea, Carr & Jewell, Inc. was the only firm which responded to t and was determined to be qualified to complete the project. The and is already budgeted. The costs are covered by the grant ($7 allocated from the Street Fund ($11,948). Current Situation The Council should authorize the professional services agreement Agenda Item 6d PSA -Yelm Ave/1st St. Corridor Study Page 2 of 52 Agenda Item 6d PSA -Yelm Ave/1st St. Corridor Study Page 3 of 52 THIS AGREEMENT, made and entered into as shown in the “Execution Date” box on page one (1) of this AGREEMENT, between the , hereinafter called the “AGENCY,” and the “Firm / Organization Name” referenced on page one (1) of this AGREEMENT, hereinafter called the “CONSULTANT.” WHEREAS, the AGENCY desires to accomplish the work referenced in “Description of Work” on page one (1) commitment and therefore deems it advisable and desirable to engage the assistance of a CONSULTANT to provide the necessary SERVICES; and WHEREAS, the CONSULTANT represents that they comply with the Washington State Statutes relating the AGENCY. NOW, THEREFORE, in consideration of the terms, conditions, covenants, and performance contained herein, or attached and incorporated and made a part hereof, the parties hereto agree as follows: I. General Description of Work necessary to accomplish the completed work for this project. The CONSULTANT shall furnish all services, labor, SERVICES as designated elsewhere in this AGREEMENT. II. General Scope of Work hereto and by this reference made a part of this AGREEMENT. The General Scope of Work was developed utilizing performance based contracting methodologies. III. General Requirements All aspects of coordination of the work of this AGREEMENT with outside agencies, groups, or individuals shall receive advance approval by the AGENCY. Necessary contacts and meetings with agencies, groups, and/or individuals shall be coordinated through the AGENCY. The CONSULTANT shall attend coordination, progress, notice shall be agreed to between the AGENCY and the CONSULTANT and shown in Exhibit “A.” The CONSULTANT shall prepare a monthly progress report, in a form approved by the AGENCY, which will outline in written and graphical form the various phases and the order of performance of the SERVICES in The CONSULTANT, any sub-consultants, and the AGENCY shall comply with all Federal, State, and local laws, rules, codes, regulations, and all AGENCY policies and directives, applicable to the work to be performed under this AGREEMENT. Time for Beginning and Completion The CONSULTANT shall not begin any work under the terms of this AGREEMENT until authorized in writing by the AGENCY. All work under this AGREEMENT shall conform to the criteria agreed upon detailed in the AGREEMENT documents. These SERVICES must be completed by the date shown in the heading of this AGREEMENT titled “Completion Date.” The established completion time shall not be extended because of any delays attributable to the CONSULTANT, but may be extended by the AGENCY in the event of a delay attributable to the AGENCY, or because of unavoidable delays caused by an act of GOD, governmental actions, or other conditions beyond the control of the completion time. Payment Provisions The CONSULTANT shall be paid by the AGENCY for completed SERVICES rendered under this AGREEMENT as provided hereinafter. Such payment shall be full compensation for SERVICES performed or SERVICES www.ecfr.gov). A. Direct Non-Salary Costs: Direct Non-Salary Costs will be reimbursed at the actual cost to the CONSULTANT. These charges may include, but are not limited to, the following items: travel, printing, long distance telephone, supplies, computer charges and fees of sub-consultants. Air or train travel will be reimbursed only to lowest price available, unless otherwise approved by the AGENCY. The CONSULTANT shall comply with the rules and regulations regarding travel costs (excluding air, train, and rental car costs) in accordance with the Air, train and rental card costs shall be reimbursed in accordance with 48 Code of Federal Regulations (CFR) C. Maximum Amount Payable: The Maximum Amount Payable by the AGENCY to the CONSULTANT under this AGREEMENT shall not exceed the amount shown in the heading of this AGREEMENT on page one (1.) The Maximum Amount Payable does not include payment for extra work as stipulated in section XIII, “Extra Work.” No minimum amount payable is guaranteed under this AGREEMENT. D. Monthly Progress Payments: Progress payments may be claimed on a monthly basis for all costs authorized in A and B above. The monthly billings shall be supported by detailed statements for hours expended at the rates the AGENCY may conduct employee interviews. These interviews may consist of recording the names, titles, salary rates, and present duties of those employees performing work on the SERVICES at the time of the interview. E. Final Payment: Final Payment of any balance due the CONSULTANT of the gross amount earned will be AGREEMENT, contingent upon receipt of all PS&E, plans, maps, notes, reports, electronic data, and other Payment by the CONSULTANT shall constitute a release of all claims for payment, which the CONSULTANT AGENCY by the CONSULTANT prior to its acceptance. Sub-Contracting The AGENCY permits subcontracts for those items of SERVICES as shown in Exhibit “A” attached hereto and by this reference made part of this AGREEMENT. The CONSULTANT shall not subcontract for the performance of any SERVICE under this AGREEMENT without prior written permission of the AGENCY. No permission for subcontracting shall create, between the AGENCY and sub-consultant, any contract or any other relationship. Compensation for this sub-consultant SERVICES shall be based on the cost factors shown on Exhibit “E” attached hereto and by this reference made part of this AGREEMENT. consultant cost estimate unless a prior written approval has been issued by the AGENCY. shall be negotiated and substantiated in accordance with section V “Payment Provisions” herein and shall be each sub-consultant or subcontractor, of any tier, to abide by the terms and conditions of this AGREEMENT. The CONSULTANT shall carry out applicable termination of this AGREEMENT or such other remedy as the recipient deems appropriate. The CONSULTANT warrants that they have not employed or retained any company or person, other than a bona fee, commission, percentage, brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of this contract. For breach or violation of this warrant, the AGENCY shall have the right to annul this AGREEMENT without liability or, in its discretion, to deduct from this AGREEMENT price or consideration or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift, or contingent fee. Any and all employees of the CONSULTANT or other persons while engaged in the performance of any work Compensation Act on behalf of said employees or other persons while so engaged, and any and all claims made persons while so engaged on any of the work or services provided to be rendered herein, shall be the sole obligation and responsibility of the CONSULTANT. The CONSULTANT shall not engage, on a full- or part-time basis, or other basis, during the period of this AGREEMENT, any professional or technical personnel who are, or have been, at any time during the period of this AGREEMENT, in the employ of the United States Department of Transportation or the AGENCY, except regularly retired employees, without written consent of the public employer of such person if he/she will be working on this AGREEMENT for the CONSULTANT. Nondiscrimination During the performance of this AGREEMENT, the CONSULTANT, for itself, its assignees, sub-consultants, subcontractors and successors in interest, agrees to comply with the following laws and regulations: • Title VI of the Civil Rights Act of 1964 et. seq.) • 49 CFR Part 21 • 49 CFR Part 26 et. seq.) In relation to Title VI of the Civil Rights Act of 1964, the CONSULTANT is bound by the provisions of Exhibit “F” attached hereto and by this reference made part of this AGREEMENT, and shall include the attached Exhibit “F” in or directives issued pursuant thereto. IX. Termination of Agreement The right is reserved by the AGENCY to terminate this AGREEMENT at any time with or without cause upon ten In the event this AGREEMENT is terminated by the AGENCY, other than for default on the part of the termination of this AGREEMENT, plus any direct non-salary costs incurred up to the time of termination of this AGREEMENT. Payment for any part of the SERVICES by the AGENCY shall not constitute a waiver by the AGENCY of any remedies of any type it may have against the CONSULTANT for any breach of this AGREEMENT by the Forbearance of any rights under the AGREEMENT will not constitute waiver of entitlement to exercise those rights with respect to any future act or omission by the CONSULTANT. X. Changes of Work The CONSULTANT shall make such changes and revisions in the completed work of this AGREEMENT as necessary to correct errors appearing therein, without additional compensation thereof. Should the AGENCY changed or revised, the CONSULTANT shall make such revisions as directed by the AGENCY. Disputes Any disputed issue not resolved pursuant to the terms of this AGREEMENT shall be submitted in writing within binding on the parties of this AGREEMENT; provided however, that if an action is brought challenging the parties to this AGREEMENT mutually agree, disputes concerning alleged design errors will be conducted under the procedures found in Exhibit “J”. In the event that either party deem it necessary to institute legal action or proceeding to enforce any right or obligation under this AGREEMENT, this action shall be initiated in the Superior Court of the State of Washington, situated in the county in which the AGENCY is located. The parties hereto appeal from such decisions of the Superior Court in accordance with the laws of the State of Washington. Legal Relations The CONSULTANT, any sub-consultants, and the AGENCY shall comply with all Federal, State, and local laws, rules, codes, regulations and all AGENCY policies and directives, applicable to the work to be performed under this AGREEMENT. Methodology for Senior Citizen and Permanently Disabled Utility Rate Reduction. WHEREAS, the City would benefit from clarifying the title of Section 13.04.310. WHEREAS, Resolution 542 established the methodology for setting income levels for senior citizens and permanently disabled heads of household; and WHEREAS, the City would benefit from operational efficiencies by adding written policy directing the execution of the income level adjustment to be completed as a matter of management and routine operations; Section 1. The Title of Section 13.04.310 is amended to Rate reduction-Eligibility and Methodology, to the Yelm Municipal Code. Section 2. 13.04.310 is amended as follows: A. To be eligible for the water service charge reduction set forth in YMC 13.04.300, a subscriber shall: 1. Be a single person, 65 years of age or older, who is retired and whose income from all sources whatsoever does not exceed the median income as established or amended by resolution of the city council meets the qualifications as set forth in 13.04.310.B; 2. Be a couple where one partner is 65 years of age or older, whose income from all sources whatsoever does not exceed the median income as established or amended by resolution of the city council combined with the income of the partners meets the qualifications as set forth in 13.04.310.C; or 3. WHEREAS, the City of Yelm has traditionally offered utility contracts on occasion or special circumstance when high water consumption has occurred resulting in large utility bills; and WHEREAS, a written policy would provide guidance an consistent application of utility contract arrangements; Section1. Adding subsection 13.04.285, Utility Contract, to the Yelm Municipal Code. (1) In cases of high water consumption as defined by the City Finance Department Policy, which results in a large utility bill making it difficult to pay the full amount of the current bill; the Finance Department ("Department") shall have the discretion, of reinstating or continuing service to a delinquent account upon receipt and department approval of a satisfactory deferred installment payment plan for the payment of the overdue amount. Notwithstanding the foregoing, the Department is under no obligation to enter into any installment plan with any customer who has not fully and satisfactorily complied with terms of any previous installment plan. (2) A deferred installment payment program shall be based upon a number of factors, including but not limited to: (a) The dollar amount of the delinquent account; (b) The time the bill has been owed; (d) The utility payment history of the customer; (e) Other relevant factors presented by the customer.
