RESOLUTION NO. 306
AUTHORIZING AGREEMENTS RELATING TO UCBO/LEFEBVRE PROPERTY
WHEREAS, City of Yelm Resolution No. 219 authorized application by
the City for a Community Development Block Grant (CDBG) for a
community service center to house programs of the United Citizens
Betterment Organization ("UCBO") and a new Head Start/ECAP ("Head
Start") facility, and agreed to comply with applicable federal and
state laws and regulations in relation thereto; and
WHEREAS, The Yelm City Council, at its meeting March 11, 1992,
authorized the execution of a proposed agreement ("Agreement") for
that purpose by the Mayor subject to legal counsel and City
Administrator approval; and
WHEREAS, Pursuant to City of Yelm Resolutions No. 219 and 283, the
City of Yelm purchased certain real estate described in Resolution
No. 283, referred to as the "Lefebvre property"; and also described
in Exhibit A attached to this resolution; and
WHEREAS, As authorized by Resolution No. 283 the purchase of the
Lefebvre property was financed in part by a down payment of .CDBG
funds; the balance to be paid according to a promissory note
executed by the City, secured by a deed of trust, with all
installment payments of principal and interest on the note and all
costs of improvements to be paid from private and grant funds; and
WHEREAS, In order to complete the project successfully in
accordance with the Agreement and CDBG contract it is deemed
necessary to enter into further agreements with the sellers and
UCBO whereby the City transfers to UCBO its rights and obligations
relating to the purchase of the Lefebvre property,
NOW, THEREFORE, after due consideration. and a motion duly made,
seconded and passed it was
RESOLVED that Mayor Kathryn M. Wolf be and she is hereby
authorized to enter into and bind the City of Yelm to the
agreement or agreements and documents that are deemed to
be necessary for the purpose described in this
resolution, subject to approval of the City Administrator
and legal counsel: including but not limited to (1)
Agreement for Settlement and Substitution of Party,
between sellers, UCBO and City of Yelm; (2) Assignment
and Assumption, between UCBO and City of Yelm; (3)
~_. Quitclaim Deed transferring to UCBO as Grantee, Yelm~s
title to the Lefebvre property; (4) The Agreement and
necessary incidental agreements between Yelm and UCBO and
Head Start relating to acquisition of site, construction
