1. Mayor Harding called the meeting to order at 6:00 p.m.

Richard Fife, Yelm property owner expressed concern for the wat
base rates that are being charged at his rental properties even
unoccupied. One unit out of four has not been occupied for fifte

to be about $1008.00 and he does not feel that is fair. Mr. Fife
has an elderly disabled tenant that gets firework debris on his

7. Public Hearing 2015 City of Yelm Budget
Mayor Harding opened the Public Hearing at 6:14.
Shelly Badger stated Mayor Harding presented the 2015 budget fo
Council on October 29, 2014. In light of the current state and n
forecast, the $6.625 million dollar general fund budget reflects
approach to revenue projections (4.633 million), as well as a th
planned expenditures. The Projects and plans included in the 201
follows: Community Center construction; Cullens to Solberg sidew
Comprehensive Plan update; continued effort to obtain funding fo

b.Ordinance No. 991, Amending YMC Chapter 3.42.040 Utility Tax
Teresa Mattson explained that in 2009, Council adopted an increa
imposed for those persons, firms or corporations engaged in the

other utilities. The City maintains the power to increase its ow

Councilmember Foster attended the Nisqually River Council and the Thurston
County Solid Waste Advisory Committee (SWAC) meeting.

Councilmember Baker attended the Yelm Adult Community Center and they
discussed getting contracts out to the people that would like to
Senior Center through donations. Mayor Harding added that there
many new board members and they are doing a great job of finding
increase the revenue.
Councilmember Littlefield has completed the survey from Thurston County bag
ban online and encourages everyone to take the survey and expres
opinion on the bag ban.
Councilmember Garmann attended the Thurston County Law and Justice
meeting where an Olympia Police Officer gave a presentation on m
people. The Officer indicated that 40%-60% of his workday is spe
mentally ill people on the street in downtown Olympia. Councilme
added that Chief Stancil has stated that the Yelm Police Officer
with the homeless population in Yelm and has reached out to thems
that could help them.

To adopt Ordinance No. 992, the City of Yelm Municipal Budget for the calendar year
2015.
Background
The 2015 budget forecast was presented to the Council by Mayor Harding on October

Current Situation
Mayor Harding and staff present a balanced 2015 Budget for publi

Subj:City of Yelm / Yelm Area Chamber of Commerce Services Agreement
Recommendation
To approve and authorize Mayor Harding to sign the attached Service Provider
Agreement between the City of Yelm and the Yelm Area Chamber of Commerce for the
period January 1, 2015 – December 31, 2015 in the amount of $7,500.00.
Background
During the 2015 budget development, the City Council agreed to continue funding at the
2014 level ($7,500) for the Yelm Area Chamber of Commerce for the tourism-related
services they provide to the Yelm residents and businesses.
Current Situation
The 2015 Service Provider Agreement between the City and Chamber, in the amount of
$7,500,describes the tourist related services provided by the Chamber (see Attachment
A.) Services include: research and prepare tourist-related materials promoting the City
of Yelm; produce the 2015 map; organize, sponsor, administer and advertise
community events that draw attendees from outside the Yelm area, such as Yelm
Prairie Days and the Home and Garden Show.

SERVICE PROVIDER AGREEMENT

THIS AGREEMENT, is made and entered into in duplicate this 1 day of
January, 2015, by and between the CITY OF YELM, a Washington municipal
corporation, hereinafter referred to as the “CITY” and YELM AREA CHAMBER OF
COMMERCE, hereinafter referred to as the “SERVICE PROVIDER.”
WITNESS TO:
WHEREAS, the CITY desires to have certain services and/or tasks performed as
set forth below requiring SERVICE PROVIDER specialized skills and other supportive
capabilities; and
WHEREAS, sufficient CITY resources are not available to provide such services;
and;
WHEREAS, the SERVICE PROVIDER represents that the SERVICE
PROVIDER is qualified and possesses sufficient skills and the necessary capabilities,
including technical and professional expertise, where required, to perform the services
and/or tasks set forth in this Agreement.
NOW, THEREFORE, in consideration of the terms, conditions, covenants, and
performance contained herein, the parties hereto agree as follows:
1.SCOPE OF SERVICES.
The SERVICE PROVIDER shall perform such services and accomplish such
tasks, including the furnishing of all materials and equipment necessary for full
performance thereof, as are identified and designated as SERVICE PROVIDER
responsibilities throughout this Agreement and as detailed in Exhibit “A” attached
hereto and incorporated herein (the “Project.”)
2.TERM.
The Project shall begin no earlier than January 1, 2015, and shall be completed no
later than December 31, 2015 unless sooner terminated according to the
provisions herein.
3.COMPENSATION AND METHOD OF PAYMENT.
A.Payments for services provided hereunder shall be made following
the performance of such services, unless otherwise permitted by
law and approved in writing by the CITY.

B.No payment shall be made for any service rendered by the
SERVICE PROVIDER except for services identified and set forth
in this Agreement.
C.The CITY shall pay the SERVICE PROVIDER for work
performed under this Agreement a total sum not to exceed
$7,500.00. The SERVICE PROVIDER shall submit monthly to
the CITY Financial and Administrative Services Director a
voucher or invoice for services rendered during the pay period.
The CITY shall initiate authorization for payment after receipt of
said approved voucher or invoice and shall make payment to the
SERVICE PROVIDER within approximately thirty (30) days
thereafter. A final report is required to be submitted by the end of
the contract period in order to remain eligible for further funding.
4.REPORTS AND INSPECTIONS.
A.The SERVICE PROVIDER at such times and in such forms as the
CITY may require, shall furnish to the CITY such statements,
records, reports, data, and information as the CITY may request
pertaining to matters covered by this Agreement. All of the
reports, information, data, and other related materials, prepared or
assembled by the SERVICE PROVIDER under this Agreement
and any information relating to personal, medical and financial
data will be treated as confidential insofar as is allowed by
Washington State laws regarding disclosure of public information,
Chapter 42.17, R.C.W. Generally, Chapter 42.17, R.C.W. requires
disclosure of all but the most personal and sensitive information in
CITY hands.
B.The SERVICE PROVIDER shall at any time during normal
business hours and as often as the CITY or State Examiner may
deem necessary, make available for examination of all its records
and data with respect to all matters covered, directly or indirectly,
by this Agreement and shall permit the CITY or its designated
authorized representative to audit and inspect other data relating to
all matters covered by this Agreement. The CITY shall receive a
copy of all audit reports made by the agency or firm as to the
SERVICE PROVIDER’S activities. The CITY may, at it
discretion, conduct an audit at its expense, using its own or outside
auditors, of the SERVICE PROVIDER’S activities which relate,
directly or indirectly, to this Agreement.
5.INDEPENDENT CONTRACTOR RELATIONSHIP.
A.The parties intend that an independent SERVICE
PROVIDER/CITY relationship will be created by this Agreement.
The CITY is interested primarily in the results to be achieved;

subject to paragraphs herein, the implementation of services will
lie solely with the discretion of the SERVICE PROVIDER. No
agent, employee, servant or representative of the SERVICE
PROVIDER shall be deemed to be an employee, agent, servant or
representative of the CITY for any purpose, and the employees of
the SERVICE PROVIDER are not entitled to any of the benefits
the CITY provides for its employees. The SERVICE PROVIDER
will be solely and entirely responsible for its acts and for the acts
of its agents, employees, servants, subcontractors or
representatives during the performance of this Agreement.
B.In the performance of the services herein contemplated the
SERVICE PROVIDER is an independent contractor with the
authority to control and direct the performance of the details of the
work, however, the results of the work contemplated herein must
meet the approval of the CITY and shall be subject to the CITY’S
general rights of inspection and review to secure the satisfactory
completion thereof.
6.SERVICE PROVIDER EMPLOYEE/AGENTS.
The CITY may at its sole discretion require the SERVICE PROVIDER to remove
an employee(s), agent(s) or servant(s) from employment on this Project. The
SERVICE PROVIDER may however employ that (those) individual(s) on other
non-CITY related projects.
7.HOLD HARMLESS INDEMNIFICATION.
A.The SERVICE PROVIDER shall indemnify and hold the CITY
and its agents, employees, and/or officers, harmless from and shall
process and defend at its own expense any and all claims,
demands, suits, at law or equity, actions, penalties, losses,
damages, or costs, of whatsoever kind of nature, brought against
the CITY arising out of, in connection with, or incident to the
execution of this Agreement and/or the SERVICE PROVIDER’S
performance or failure to perform any aspect of this Agreement;
provided, however, that if such claims are caused by or result from
the concurrent negligence of the CITY, its agents, employees,
and/or officers, this indemnity provision shall be valid and
enforceable only to the extent of the negligence of the SERVICE
PROVIDER; and provided further, that nothing herein shall
require the SERVICE PROVIDER to hold harmless or defend the
CITY, its agents, employees and/or officers from any claims
arising from the sole negligence of the CITY, its agents,
employees, and/or officers. The SERVICE PROVIDER expressly
agrees that the indemnification provided herein constitutes the
contractor’s waiver of immunity under Title 51 RCW, for the

purposes of this Agreement. This waiver has been mutually
negotiated by the parties. The provisions of this section shall
survive the expiration or termination of this Agreement.
B.No liability shall attach to the CITY by reason of entering into this
Agreement except as expressly provided herein.
8.INSURANCE.
The SERVICE PROVIDER shall procure and maintain for the duration of the
Agreement, insurance against claims for injuries to persons or damage to property
which may arise from or in connection with the performance of the work
hereunder by the SERVICE PROVIDER, their agents, representatives, employees
or subcontractors.
The SERVICE PROVIDER shall provide a Certificate of Insuranceevidencing:
A.Commercial General Liability insurance written on an occurrence
basis with limits no less than $1,000,000 combined single limit per
occurrence and $1,000,000 aggregate for personal injury, bodily
injury and property damage. Coverage shall include but not be
limited to: blanket contractual; products/completed operations;
broad from property damage; explosion, collapse and underground
(XCU) if applicable; and employer’s liability.
The CITY shall be named as an additional insured on the insurance policy,
with respect to work performed by or on behalf of the SERVICE
PROVIDER and a copy of the endorsement naming the CITY as
additional insured shall be attached to the Certificate of Insurance. The
CITY reserves the right to request certified copies of any required policies.
The SERVICE PROVIDER’S insurance shall contain a clause stating that
coverage shall apply separately to each insured against whom claim is
made or suit is brought, except with respects to the limits of the insurer’s
liability.
B.Professional Liability insurance with limits no less than $1,000,000
limit per occurrence.
Any payment of deductible or self-insured retention shall be the sole
responsibility of the SERVICE PROVIDER.
The SERVICE PROVIDER’S insurance shall be primary insurance with
respect to the CITY and the CITY shall be given thirty (30) days prior
written notice of any cancellation, suspension or material change in
coverage.

9.TREATMENT OF ASSETS.
Title to all property furnished by the CITY shall remain in the name of the
CITY and the CITY shall become the owner of the work product and other
documents, if any, prepared by the SERVICE PROVIDER pursuant to this
Agreement.
10.COMPLIANCE WITH LAWS.
A.The SERVICE PROVIDER, in the performance of this Agreement,
shall comply with all applicable federal, state or local laws and
ordinances, including regulations for licensing, certification and
operation of facilities, programs and accreditation, and licensing of
individuals, and any other standards or criteria as described in this
Agreement to assure quality of services.
B.The SERVICE PROVIDER specifically agrees to pay any
applicable business and occupation (B&O) taxes which may be
due on account of this Agreement.
11.NONDISCRIMINATION.
A.The CITY is an equal opportunity employer.
B.Nondiscrimination in Employment. In the performance of this
Agreement, the SERVICE PROVIDER will not discriminate
against any employee, volunteer, or applicant for employment on
the grounds of race, creed, color, national origin, sex, marital
status, age or the presence of any sensory, mental or physical
handicap; provided that the prohibition against discrimination in
employment because of handicap shall not apply if the particular
disability prevents the proper performance of the particular worker
involved. The SERVICE PROVIDER shall ensure that applicants
are employed, and that employees are treated during employment
without discrimination because of their race, creed, color, national
origin, sex, marital status, age or the presence of any sensory,
mental or physical handicap. Such action shall include, but not be
limited to: employment, upgrading, demotion or transfers,
recruitment or recruitment advertising, layoff or termination, rates
of pay or other forms of compensation, and programs for training
including apprenticeships. The SERVICE PROVIDER shall take
such action with respect to this Agreement as may be required to
ensure full compliance with local, state and federal laws
prohibiting discrimination in employment.
C.Nondiscrimination in Services. The SERVICE PROVIDER will
not discriminate against any recipient of any services or benefits
provided for in this Agreement on the grounds of race, creed,

color, national origin, sex, marital status, age or the presence of
any sensory, mental or physical handicap.
D.If any assignment and/or subcontracting has been authorized by the
CITY, said assignment or subcontract shall include appropriate
safeguards against discrimination. The SERVICE PROVIDER
shall take such action as may be required to ensure full compliance
with the provisions in the immediately preceding paragraphs
herein.
12.ASSIGNMENT/SUBCONTRACTING.
A.The SERVICE PROVIDER shall not assign its performance under
this Agreement or any portion of this Agreement without the
written consent of the CITY, and it is further agreed that said
consent must be sought in writing by the SERVICE PROVIDER
not less than thirty (30) days prior to the date of any proposed
assignment. The CITY reserves the right to reject without cause
any such assignment.
B.Any work or services assigned hereunder shall be subject to each
provision of this Agreement and proper bidding procedures where
applicable as set forth in local, state and/or federal statutes,
ordinances and guidelines.
C.Any technical/professional service subcontract not listed in this
Agreement, must have express advance approval by the CITY.
13.CHANGES.
Either party may request changes to the scope of services and performance
to be provided hereunder, however, no change or addition to this Agreement shall
be valid or binding upon either party unless such change or addition be in writing
and signed by both parties. Such amendments shall be attached to and made part
of this Agreement.
14.MAINTENANCE AND INSPECTION OF RECORDS.
A.The SERVICE PROVIDER shall maintain books, records and
documents, which sufficiently and properly reflect all direct and
indirect costs related to the performance of this Agreement and
shall maintain such accounting procedures and practices as may be
necessary to assure proper accounting of all funds paid pursuant to
this Agreement. These records shall be subject at all reasonable
times to inspection, review, or audit, by the CITY, its authorized
representative, the State Auditor, or other governmental officials
authorized by law to monitor this Agreement.
B.The SERVICE PROVIDER shall retain all books, records,
documents and other material relevant to this agreement, for six (6)

years after its expiration. The SERVICE PROVIDER agrees that
the CITY or its designee shall have full access and right to
examine any of said materials at all reasonable times during said
period.
15.POLITICAL ACTIVITY PROHIBITED.
None of the funds, materials, property or services provided directly or
indirectly under the Agreement shall be used for any partisan political activity, or
to further the election or defeat of any candidate for public office.
16.PROHIBITED INTEREST.
No member, officer, or employee of the CITY shall have any interest,
direct or indirect, in this Agreement or the proceeds thereof.
17.TERMINATION.
A.Termination for Convenience. The CITY may terminate this
Agreement, in whole or in part, at any time, by at least thirty (30)
days written notice to the SERVICE PROVIDER. The SERVICE
PROVIDER shall be paid its costs, including contract close-out
costs, and profit on work performed up to the time of termination.
The SERVICE PROVIDER shall promptly submit a termination
claim to the CITY. If the SERVICE PROVIDER has any property
in its possession belonging to the CITY, the SERVICE
PROVIDER will account for the same, and dispose of it in the
manner directed by the CITY.
B.Termination for Cause. If the SERVICE PROVIDER fails to
perform in the manner called for in this Agreement, or if the
SERVICE PROVIDER fails to comply with any other provisions
of the Agreement and fails to correct such noncompliance within
five (5) days written notice thereof, the CITY may terminate this
Agreement for cause. Termination shall be effected by serving a
notice of termination on the SERVICE PROVIDER setting forth
the manner in which the SERVICE PROVIDER is in default. The
SERVICE PROVIDER will only be paid for services performed in
accordance with the manner of performances set forth in this
Agreement.
18.NOTICE.
Notice provided for in this Agreement shall be sent by certified mail to the
addresses designated for the parties on the last page of this Agreement.

19.ATTORNEYS FEES AND COSTS.
If any legal proceeding is brought for the enforcement of this Agreement, or
because of a dispute, breach, default, or misrepresentation in connection with any
of the provisions of this Agreement, the prevailing party shall be entitled to
recover from the other party, in addition to any other relief to which such party
may be entitled, reasonable attorney’s fees and other costs incurred in that action
or proceeding.
20.JURISDICITON AND VENUE.
A.This Agreement has been and shall be construed as having been
made and delivered with the State of Washington, and it is agreed
by each party hereto that this Agreement shall be governed by laws
of the State of Washington, both as to interpretation and
performance.
B.Any action of law, suit in equity, or judicial proceeding for the
enforcement of this Agreement or any provisions thereof, shall be
instituted and maintained only in any of the courts of competent
jurisdiction in Thurston County, Washington.
21.SEVERABILITY.
A.If, for any reason, any part, term or provision of this Agreement is
held by a court of the United States to be illegal, void or
unenforceable, the validity of the remaining provisions shall not be
affected, and the rights and obligations of the parties shall be
construed and enforced as if the Agreement did not contain the
particular provision held to be invalid.
B.If it should appear that any provision hereof is in conflict with any
statutory provision of the State of Washington, said provision
which may conflict therewith shall be deemed inoperative and null
and void insofar as it may be in conflict therewith, and shall be
deemed modified to conform to such statutory provisions.
22.ENTIRE AGREEMENT.
The parties agree that this Agreement is the complete expression of the
terms hereto and any oral representations or understandings not
incorporated herein are excluded. Further, any modification of this
Agreement shall be in writing and signed by both parties. Failure to
comply with any of the provisions stated herein shall constitute material
breach of contract and cause for termination. Both parties recognize time
is of the essence in the performance of the provisions of this Agreement.
It is also agreed by the parties that the forgiveness of the nonperformance

of any provision of this Agreement does not constitute a waiver of the
provisions of this Agreement.

Background
The Nisqually River Foundation, (formerly known as the “Yelm Community Schools-Nisqually
River Education Project”, now recognized as a 501C3 not-for-profit organization associated with
the Nisqually River Council), seeks to create a new generation of Yelm citizens who are aware
of and care for Yelm Creek, the Nisqually River and the City of Yelm’s water resources,
including groundwater, surface water, wastewater and reclaimed water. If approved, this will be

the City of Yelm’s 13year supporting this cause. Through this support, the City of Yelm will
join other local governments in supporting this outstanding watershed education program and
will be recognized as a Nisqually River Foundation and Congress sponsor.
Current Situation
Arequestfor continued support of the NisquallyRiver Foundation was received onNovember
26, 2014.The proposal requests financial support from the City in the amount of $3,500.00.
This funding would be used as follows:
Support for Yelm Community Schools students to participate in the activities

THIS CONTRACT is made and entered into, in duplicate originals, this

hereinafter “Foundation”, and the CITY OF YELM, hereinafter “City”.
WHEREAS, the City has an interest in providing water resource and watershed
education to teachers, students and community members of Yelm; and
WHEREAS, the Yelm School District(YSD)has an excellentwatershed
education program in the Nisqually River Foundation (NRF) – (formerly known as the
“Yelm Community Schools-Nisqually River Education Project-NREP” – now recognized
as a 501C3 not-for-profit organization associated with the Nisqually River Council); and
WHEREAS, the City Council of the City has agreed through the authority
invested in them to authorize this contract to perform the activities described below;

contained, the parties agree as follows:
1.SCOPE OF WORK
The Foundation, shall provide the following services:

4.HOLD HARMLESS AND INDEMNIFICATION
The Foundation agrees to indemnify, defend, and hold harmless the City,
itselected officials, employees, and agents from and against any and all
liability, loss, damage, expense, action, claims, including reasonable
attorney’s fees incurred by the Foundation, its elected officials,
employees, and agents in defense thereof, on account of or arising out of
the performance of this Contract except for any damages arising out of
bodily injury to persons or damage to property arising from the sole
negligence of the City, its agents or employees.
In the event of claims or actions arising out of the concurrent negligence
of the parties, the above indemnification provision shall be valid and
enforceable only to the extent of the negligence of the Foundation, its
elected officials, employees and agents.
For purposes of this section, the Foundation expressly waives its immunity
under industrial insurance, Title 51 RCW.

6.TERMINATION
Participation in this contract may be terminated by either party giving
written notice of intent to terminate to the other party, providing that the
City shall be obligated to pay for services already rendered under this
contract.

Authorize Mayor Harding to sign alegislative services contract to engage Davor
Gjurasic and Kathleen Collins to lobby issues of benefit to the City of Yelmfrom

Background
Kathleen Collins, of Capitol Strategies,and Davor Gjurasic, of Gjurasic Public Affairs,
have been contracted to work for the City at various times since 2005 and are well-
acquainted with issues of great importance to the City, particularly the 510 Yelm Loop
project. Their presence and advocacy of Yelm issues during legislative sessions is of
significantvalue and has proved beneficial to advancement of the Loopproject, as well
as receiving funding for capital projects, such as the Longmire Parkrestrooms and
community center.
Current Situation
The proposed scope of work for this contract continues efforts toward thecompletion of
the 510 Yelm Loop, specifically inclusion of funding for the Loop in any transportation
package considered by the Legislature and/or voters; monitors water and reclaimed
water issues; monitors and comment on city revenue legislation; and provides
assistance in identifying funding opportunities for capital projects.Monthly summaries
will be provided as part of the contract, as well as a legislative summary at the end of
the legislative session.
The contract period is January 1 – April 30, 2015 at $4,000 per month (divided equally),
plus combined expenses not to exceed $2,000. The contract can be extended on a
month-by-month basis through June 30, 2015, in the eventof a special legislative
session. Funds will come from the General Fund, Arterial Street and Water funds on a
pro-rata share of work performed on the issues.

WITNESSETH THAT:
WHEREAS, YELM desires tohave certain services and/or tasks performed as set
forth below requiring specialized skills and other supportive capabilities; and
WHEREAS, CONSULTANTS represents that CONSULTANTS are qualified and
possess sufficient skills and the necessary capabilities, including technical and
professional expertise, where required, to perform the services and/or tasks set forth in
this Agreement.

Now, therefore, in consideration of the terms, conditions, covenants, and
performance contained herein, the parties heretoagree as follows:
1.SCOPE OF SERVICES
CONSULTANTS shall perform such services and accomplish such tasks, including
the furnishing of all materials and equipment necessary, as are designated as
CONSULTANTS’responsibilities throughout this Agreement and as described in
Exhibit “A”, attached and incorporated herein.
TERM
2.
The Projectshall begin January1, 2015 and shall be completed no later than April
30, 2015. However, in the event of a special legislative session, the Agreement may
be extended on a month-by-month basis through June 30, 2015.
COMPENSATION AND METHOD OF PAYMENT
3.
Payments for services provided shall be made following the performance of such
services, unless otherwise permitted by law and approved in writing by YELM.
Payment shall be at the rate of $2,000per month to Capitol Strategies and $2,000
per month to Gjurasic Public Affairs, plus expenses not to exceed a combined total
of $2,000. No payment shall be made for anyservice rendered by CONSULTANTS
except for services identified and set forth in this Agreement, including Exhibit A.
Expenses include long distance, cellular telephone, fax, copies, parking, mileage,
meals and travel. Mileage will be paid at the most current adopted City rate.
Expenses will be detailed on the invoice.
Invoices will be submitted by each Consultant at the end of each month.
4.INDEPENDENT AGREEMENT OR RELATIONSHIP
A.The parties intend that an independent contractor relationship will be created
by this Agreement. YELM is interested primarily in the results to be
achieved; subject to paragraphs herein, the implementation of services will
lie solely with the discretion of CONSULTANT. No agent, employee, servant
or representative of CONSULTANT shall be deemed to be an employee,
servant or representativeof YELM for any purpose, and the employees of
CONSULTANT are not entitled to any of the benefits YELM provides for its

employees except as otherwise expressly provided herein. CONSULTANT
will be solely and entirely responsible for its act and for the acts of its agents,
employees, servants, subcontractors or representatives during the
performance of this Agreement.
B.In the performance of the services herein contemplated CONSULTANT is an
independent contractor with the authority to control and direct the
performance of the details of the work, however, the result of the work
contemplated herein must meet the approval of YELM and shall be subject
to YELM’s general rights of inspection and review to secure the satisfactory
completion thereof.
C.Throughout the span of this agreement, CONSULTANT shall comply will all
rules and regulations as promulgated by the Washington State Public
Disclosure Commission relating to lobbying.
NDEMNIFICATION OF YELM
5. I
CONSULTANTS shall protect, defend, hold harmless and indemnify YELM against
all liability or loss, and against all claims or actions based upon or arising out of
damage or injury (including death) to persons or property caused by or sustained in
connection with CONSULTANT's negligent performance of this Agreement or by
conditions created thereby, or based upon violation of any code or regulation, and
the defense of any such claim or actions.
CONSULTANTS shall also indemnify YELM against all liability and loss in
connection with, and shall assume full responsibility for, payment of all federal,
state and local taxes or contributions imposed or required under unemployment
insurance, workman's compensation, social security and income tax laws, for
CONSULTANTS and any employees or volunteers of CONSULTANTS.
6.ASSIGNMENT/SUBCONTRACTING
CONSULTANTS shall not assign its rights and duties under any portion of this
Agreement without the written consent of the City Administrator. Consent must be
sought in writing by CONSULTANTS not less than fifteen days prior to the date of
any proposed assignment.

A.CONSULTANTS shall maintain books, records and documents, which
sufficiently and properly reflect all work related to the performance of the
Agreement. In addition, CONSULTANTS shall maintain all accounting
records in a form necessary to assure proper accounting of all funds paid
pursuant to this Agreement. All of the above shall be subject at all
reasonable times to inspection, review, or audit by YELM, its authorized
representative, the State Auditor, or other governmental officials authorized
by law to monitor this Agreement.
B.CONSULTANTS shall retain all books, records, documents and other
material relevant to this Agreement for six (6) years after its expiration.
CONSULTANTS agreethat YELM or its designee shall have full access and
right to examine any of said materials at all reasonable times during said
period.
EXTRA WORK
8.
A.YELM may at any time, by written order, make changes within the general
scope of the Agreement in the services to be performed.
B.If any such change causes an increase or decrease in the estimated cost of,
or the time required for performance of any part of the work under this
Agreement, whether or not changed by the order, or otherwise affects any
other terms and conditions of the Agreement, YELM shall make an equitable
adjustment in the (1) maximum amount payable; (2) delivery or completion
schedule, or both; and (3) other affected terms and shall modify the
Agreement accordingly.
C.CONSULTANTS must submit a “request for equitable adjustment” or claim
under this clause within 30 days from the date of receipt of the written order.
D.The maximum amount payable for this Agreement shall not be increased or
considered to be increased except by specific written supplement to this
Agreement.
OTHER PROVISIONS

CONSULTANTS agree to protect the confidentialityof all information provided, in
writing or orally, by YELMdeemedto be confidential.
10. TERMINATION
A.Termination for Convenience. YELM may terminate this Agreement, in

CONSULTANTS. CONSULTANTS shall be paid for work performed and
expenses incurred to the date of termination. Within 30 days,
CONSULTANTS shall submit a termination claim to YELM. If

CONSULTANTS will account for the same, and dispose of it in the manner
directed by YELM.

DISCLOSURE REQUIREMENTS
11.
CONSULTANTS shall notify YELM in writing as to any employment agreements
between the Contractor and third parties the subject of which relates to, or touches
on, the scope of work of this Agreement. This disclosure shall extend to
employment Agreements between any of the employees or agents of
CONSULTANTS and third parties which relate to, or touch upon, the scope of work
of this project. The requirement for disclosure shall include the nature of the work
performed, and the value of the work performed, and shall continue throughout the
term of this Agreement. YELM shall have the right to terminate this Agreement for
cause as described in Section 10.B if YELM, in its sole discretion, determines that
the Agreement between CONSULTANTS, or his agents/employees, and a third
party presents a conflict of interest. The disclosure of potential conflicts will be a
public document.

12. MEDIATION
The parties shall attempt to resolve any controversies or disputes arising out of or
relating to this Agreement through a good faith attempt at mediation. Each party
will pay its own attorneys’ fees and costs.
ARBITRATION
13.
A.Any controversy or claim arising out of or relating to this Agreement which is
not resolved through mediationshall be resolved by final and binding
arbitration. Demand for arbitration shall be made in writing to the other party.
The arbitration shall be held in Thurston County before a single arbitrator
selected by the Agreement of the parties. If the parties cannot agree upon
an arbitrator within fifteen (15) days after the demand for arbitration is made,
the arbitrator shall be selected by a judge in the Superior Court of Thurston
County in accordance with the procedures set out in RCW 7.04.050.
B.Unless the parties agree otherwise in writing, the arbitration hearing shall
occur no later than sixty daysafter the date the arbitrator is appointed.
C.The parties agree that in the absence of fraud by one of the parties or the
arbitrator, the arbitrator’s decision shall be binding, final and not appealable
to any court of law.
D.Each party shall pay its own costs of arbitration including attorneys’ fees.
The arbitrator’s fee and any administrative expenses imposed by the
arbitrator shall be shared equally by the parties.
E.This Agreement shall be governed by laws of the State of Washington, both
as to interpretation and performance.
WAIVER
14.
The waiver by, or the failure to take action with respect to, breach of any term,
covenant or condition of the Agreement shall not be deemed to be a waiver of such
term, covenant or condition on any subsequent breach. All remedies afforded in
this Agreement shall be taken as cumulative; that is, in addition to every other
remedy provided herein or by law.

15. SEVERABILITY
It is understood and agreed by the parties that if any term or provision of this
Agreement is held by any court to be illegal or in conflict with any law of the state of
Washington, the validity of the remaining portions shall not be affected, and the
rights and obligations of the parties shall be construed and enforces as if the
Agreement did not contain the particular term, part or provision held to be invalid.
16. ENTIRE AGREEMENT
This instrument contains the entire Agreement between the parties and statements,
promises, or inducements made by any party or agent of that party that isnot
contained in this Agreement shall not be valid or binding. This Agreement may not
be enlarged, modified, or altered except in writing signed by all parties.

addresses designated for the parties on the first page of this Agreement.

Public Affairs, plus combinedexpenses not to exceed $2,000.
Issues:
Track progress of Washington State Legislative and Governor’s Office as it relates to
transportation funding
Build a case for inclusion of the SR 510 Yelm Loop in any transportation-funding package
considered by theLegislature and/or voters. Communicate with Legislators, WSDOT
leadership and Governor’s office as needed
Protect funding for TIB, Safe Routes to Schools, Freight Mobility (FMS1B)
Monitor& comment onwater/reclaimedissues, including proposed legislation
Work with Yelm to identify additional capital projects for funding and seek to secure funding
for identified projects and capital budget coalition efforts
Monitor & comment on city liquor revenue legislation and other city revenue legislation
Scope of Work:
Preparation:
Work with Yelm staff to identify project details and timeline for completing the Loop project
Develop description of benefits for the projects listed above, with emphasis on the Loop
project
Identify supporters of the projects and assist in contacting them where appropriate
Develop a “message piece” for use during Legislative sessionand work with Yelm staff to
develop visual aids

Submit information on desired capital projects to 2district legislators
Set up meetings with:
Transportation committee chairs and ranking minorities, district legislators and any other
legislators who can assist with the projects
Economic development committee chairs and ranking minorities, district legislators and any
other legislators who can assist with the projects
Transportation and economic development committee staffs
WSDOT leadership
Governor’s staff
Other entities or individuals who would be of assistance on transportation funding.
Yelm staff to review proposals on water rights issues as they develop prior to session
