Wood and Officer Taylor were recognized by EMS Director Kurt Hardin and Mayor Foster for performing lifesaving efforts at the scene of an accident. Proclamation Declaring May as Bicycle Commuter Month - Mayor Foster read the proclamation and presented it to Duncan Green from Intercity Transit. Mr. Green then shared some fun facts about the Bicycle Commuter Challenge. FFA Ag Issues Forum Presentation - Mike Mensonides and 5 students gave a 10 minute presentation on the Hirst Decision. 5. Councilmember Littlefield attended the Emergency Management meeting last week. Councilmember Stillwell thanked Council for endorsing the Economic Development Strategic Plan. Councilmember Wood attended the Emergency Management meeting. Councilmember DePinto thanked City Administrator, Michael Grayum and Chief Stancil for taking care of the squatter issue for one of our property owners. Councilmember Hendrickson attended the Emergency Management meeting. Mayor Foster attended the Change of Command of I CORPS at JBLM, National Day of Service for Mayors, Emergency Management exercise, Thurston Regional Planning meeting and Yelm Chamber meeting. Attach: None Recommendation To accept and authorize the release of the retainage held in the amount of $27,600.08 to South Bay Excavating, Inc. for construction activities related to the City's 2014 AC Water Main Replacement (Schedule A) project. Background On May 13, 2016 the 2014 AC Water Main Replacement (Schedule A) project was advertised for construction and bids were opened on May 30, 2016. South Bay Excavating, Inc. was the lowest responsive bidder and was awarded a construction contract by City Council on June 23, 2016 for the project. The project was completed on October 12, 2016 with a final cost of $600,025.76. Inclusive of the contract execution is the requirement of a statutory retained amount equal to 5% of the construction contract. The City has held the retainage in a specified general fund account until release is authorized. There is no retainage bond with this project. Current Situation Staff recommends acceptance of the project and release of the project retainage to South Bay Excavating, Inc. All proper documentation has been received from the Departments of Revenue, Labor and Industries, and Employment Services and it has been determined that there are no liens against the project. Notification of Final Acceptance will be issued to South Bay Excavating, Inc. upon City Council approval to the release of retainage. Agenda Item 8a Thurston County Regional Planning Council (TRPC) Interlocal Agreement Transportation Planning Services Page 1 of 9 City of Yelm To: City Administrator Michael Grayum Mayor JW Foster Yelm City Council STAFF REPORT From Chad Bedlington, Public Works Director Maryanne Zukowski, PE, Public Works Manager Date: April 11, 2017 (for April 25, 2017 City Council Meeting) Subj: Thurston County Regional Planning Council (TRPC) Interlocal Agreement— Transportation Planning Services Attach: Interlocal Agreement Recommendation Authorize Mayor Foster to sign and execute the TRPC Interlocal Agreement for Transportation Planning Services. Funding Budget SEPA Mitigation Funds Available $ 68,936.00 2018 Funds required will be address in the 2018 budget process. Background The City previously collected SEPA traffic impact fees with a timeline for use of 6- years. We are near the expiration date of those funds. In order to design those improvements traffic analysis needs to be completed to provide the appropriate assessments of those projects. We are contracting with TRPC to complete the city analysis in order to design projects appropriately. The City has previously contracted work through interlocal agreements for this specialized work. This work is also required to be part of the Transportation Plan Update planned for 2018. Current Situation The City is required to update the Transportation Plan, an element of the Comprehensive Plan in 2018. In that plan, long range projects will be identified. TRPC can provide these needed planning services and staff move forward in the identification of specific projects and the preliminary design of the concurrency projects with this information. Staff is recommending contracting with TRPC in the amount of $68,936 for specialized planning services. April 14, 2017 Page 1 of 1 Agenda Item 8a Thurston County Regional Planning Council (TRPC) Interlocal Agreement Transportation Planning Services Page 2 of 9 INTERLOCAL AGREEMENT FOR PLANNING SERVICES This Agreement is entered into in duplicate by and between Thurston Regional Planning Council ( "TPRC "), and the City of Yelm ( "City). Recitals: WHEREAS, the general and special purpose jurisdictions and public institutions of Thurston County have joined together to form a Regional Planning Council known as Thurston Regional Planning Council (TRPC); WHEREAS, TRPC may provide, on a contractual basis, planning and technical assistance for member and nonmember agencies, as set forth in the TRPC By- laws and Agreement; WHEREAS, the City desires to enter into an Agreement with TRPC to perform certain planning services as hereinafter agreed to by both parties. NOW, THEREFORE, in consideration of covenants, conditions, performances, and promises contained herein, the parties agree as follows: PURPOSE The general objective(s) of this Agreement shall be for TRPC to provide planning services to the City. RESPONSIBILITIES OF TRPC TRPC shall perform the following duties: In order to accomplish the general objectives (s) of this Contract, TRPC shall perform the duties in the Scope of Work (Attachment A). TRPC shall provide the necessary planning personnel and services to accomplish tasks related to projects approved by the City Council. These services shall be provided at the request of the City. TRPC shall prepare a scope of work and budget and provide it to the City for review and approval prior to the commencement of work on each project. In order to accomplish the general objective(s) of this Agreement, TRPC shall provide all services and materials specified in the scope(s) of work for each project. The scope(s) shall be incorporated into this Agreement by reference. All services and materials shall be provided in accordance with the scope(s) of work in a competent and Agenda Item 8a Thurston County Regional Planning Council (TRPC) Interlocal Agreement Transportation Planning Services Page 3 of 9 professional manner. To the extent that the scope(s) of work contains additional contract provisions or waives any provision in the body of this Agreement, the scope(s) of work shall control. TRPC shall be responsible for meeting timelines and budget as outlined in the individual scope of work and shall notify the City as soon as practical of any potential need for time extension or budget overrun. TRPC shall establish and maintain books, records, documents, and other evidence and accounting procedures and practices, sufficient to reflect properly all direct and indirect costs of whatever nature claimed to have been incurred and anticipated to be incurred for the performance of this Agreement. To facilitate the administration of this Agreement, separate project accounts shall be established and maintained within TRPC's existing accounting system. TRPC shall track employee time and expenses for all projects agreed to within this Agreement and provide the City with a monthly invoice, which will include an accounting of expenses and a status of work elements. The City and the State Auditor shall have full access to examine any such records with respect to all matters covered in this Agreement. TRPC shall not re- assign any portion of the work under this Agreement without prior written consent from the City. III. RESPONSIBILITIES OF THE CITY The City shall pay TRPC for planning services rendered as specified herein and as outlined in each scope of work within thirty (30) days of receipt of Invoice. In the event that a project extends to a subsequent calendar year, the City shall decide whether or not to carry over the funds into the new budget year. IV. OWNERSHIP OF MATERIALS Ownership of materials produced as part of this Agreement, including but not limited to documents, maps, computer data diskettes, etc. shall be the property of the City and shall be be made available upon request. V. PROHIBITION AGAINST ASSIGNMENT Neither this Agreement nor any interest therein may be assigned by wither party, without first obtaining the written consent of the other party. VI. DURATION OF THE AGREEMENT Agenda Item 8a Thurston County Regional Planning Council (TRPC) Interlocal Agreement Transportation Planning Services Page 4 of 9 The term of this Agreement shall begin when executed by both parties and shall automatically renew on January 1 of each year unless action is taken to terminate or revise this agreement. VII. TERMINATION Either party may terminate this Contract subsequent to providing written notice to the other party. This Agreement may be revised at any time upon Agreement of both parties. For each project, work may be modified or terminated by the City for reasonable cause at any time upon written notice to TRPC. In such event, the City will not incur further costs except that TRPC shall be entitled to compensation for any uncompensated services, which have been formed on that project as of the date of termination. VIII. IX. INDEMNIFICATION /HOLD HARMLESS TRPC shall defend, indemnify and hold the City, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses, or suits, including attorney fees, arising out of or resulting from the acts, errors, or omissions of TRPC in the performance of this Agreement except for injuries and damages caused by the sole negligence of the City. X. INSURANCE A. Minimum Scope of Insurance TRPC shall obtain insurance of the types described below: Automobile liability insurance covering all owned, non - owned, hired, and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) Form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. 2. Commercial general liability insurance shall be written on ISO Occurrence Form CG 00 01 and shall cover liability arising from Agenda Item 8a Thurston County Regional Planning Council (TRPC) Interlocal Agreement Transportation Planning Services Page 5 of 9 premises, operations, independent contractors, and personal injury and advertising injury. As a member of a public insurance risk pool, TRPC cannot name the City as an additional insured. To fulfill this requirement, TRPC shall produce a letter of coverage indicating the scope, limits, and amounts of liability coverage they are entitled to under the insurance pool's Joint Protection Program. 3. Workers' compensation coverage, as required by the Industrial Insurance laws of the State of Washington. 4. Professional liability insurance appropriate to the Consultant's profession. B. Minimum Amounts of Insurance TRPC shall maintain the following insurance limits: 1. Automobile liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. 2. Commercial general liability insurance shall be written with limits no less than $1,000,000 each occurrence, $2,000,000 general aggregate. 3. Professional liability insurance shall be written with limits no less than $1,000,000 per claim and $1,000,000 policy aggregate limit. C. Other Insurance Provisions The insurance policies are to contain, or be endorsed to contain the following provisions for Automobile Liability, Professional Liability, and Commercial General Liability insurance: 1. TRPC's insurance coverage shall be primary insurance as respect to the City. Any insurance, self- insurance, or insurance pool coverage maintained by the City shall not be in excess of TRPC's insurance and shall not contribute with it. 2. TRPC's insurance shall be endorsed to state that coverage shall not be cancelled by either party, except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. D. Acceptability of Insurers Insurance is to be placed with insurers with a current A.M. Best rating of not less than A: VII. Verification of Coverage TRPC shall furnish the City with a letter of coverage from their insurance pool evidencing the insurance requirements of TRPC before commencement of work. XI. INDEPENDENT CONTRACTOR TRPC shall be considered an independent contractor for purposes of this Agreement and neither it nor its officers or employees shall be considered employees or officers of the City nor shall they be entitled to any compensation beyond that provided herein. TRPC shall comply with all federal and state requirements governing its employees and officers, including but not limited to Labor and Industries coverage, tax withholding, and retirement benefits withholding. XII. REPORTS AND INSPECTIONS TRPC at such times and in such forms as the CITY may require, shall furnish to the CITY such statements, records, reports, data, and information as the City may request pertaining to matters covered by this Agreement. All of the reports, information, data, records, and other related materials, prepared or assembled by TRPC under' this Agreement are subject to public disclosure pursuant to Ch.. 42.17 RCW. To the extent allowed by Ch. 42.17 RCW, reports, information, data, records, and other related materials prepared or assembled by the TRPC under this Agreement that contain information that is personal and within a right to privacy exists, or that falls under' a statutorily- specified exemption from disclosure, will be exempt from disclosure. Generally, Chapter 42.17, R.C.W. requires disclosure of all but the most personal and sensitive information in City hands. XIII. GOVERNING LAW AND VENUE This Agreement shall be construed and enforced in accordance with, and the validity and performance hereof shall be governed by the laws of the State of Washington. Venue of any suit between the parties arising out of this Agreement shall be the Superior Court of Thurston County, Washington. XIV.
