Yelm Finance Committee meeting, and the Nisqually River Council meeting.
Councilmember Colt attended the Yelm Public Works Committee meeting.
Councilmember Stillwell attended the Yelm Public Safety Committee meeting
and reminded everyone of the Home & Garden Show this weekend.
Councilmember DePinto attended the South Thurston Economic Development
Initiative meeting and thanked Community Development Director Grant Beck for
the presentation he gave at that meeting.
Councilmember Kaminski attended Thurston Thrives Coordinating Council
meeting, Yelm Public Works Committee meeting and invited everyone to the Drive
507 Business After Hours event this Thursday at 5:07 pm, Yelm Community
Center hosted by Bounty for Families.
Mayor Foster attended the Together Program Conference, RMSA Board Member
presentation was great, Nisqually River Council meeting, EDC Business Awards
presentation and stated the City supports the efforts of the Washington Kayak
Association and the clean up along the Nisqually River banks.

INTERLOCAL AGREEMENT
BETWEEN CITY OF YELM AND THE CITY OF SHELTON RELATED
TOFURTHER TREATMENT OF DIGESTED SEWER SLUDGE
THIS INTERLOCAL AGREEMENTis made and enteredinto pursuant to the Interlocal
Cooperation Act, Chapter 39.34 of the Revised Code of Washington, on the day of May
City of Yelm (Yelm), a municipal corporation of the State of Washington,
2018, by and between
and the City of Shelton (City), a municipal corporation of the State of Washington, together
referred to as the Parties.
WHEREAS, Revised Code of Washington Section 39.34.030 authorizes cooperative
efforts between public agencies; and
WHEREAS,City of Yelmisin need of further treatment of digested sewer sludge
produced by its wastewater treatment facilities; and
WHEREAS, the City of Shelton Wastewater Treatment Plant has capacity to convert
digested sewage sludge into Class A biosolids.
NOW, THEREFORE, in consideration of their mutual covenants, conditions and
promises, THE PARTIES AGREEasfollows:
1. PURPOSE OF AGREEMENT: The purpose of this Agreement is to establishthe
responsibilities of Yelm and the City in further treatment of digested sludge from Yelm- owned
wastewater treatment plants.The agreedrate of compensationwill be increased by a factor of 3 %
st
(Three percent) annually, on January 1of each year, until the duration of this Agreement is
complete. The Cityreserves the right to periodicallyreview and adjust the agreed rateof
compensation. Proposed changes shall be mutually agreed upon by the parties and incorporated by
written amendment to this Agreement.
When the digested sludge delivered to the City is 6% solids or less, Yelm will compensate
the City $0.135 per gallon.
2.SCOPE OFAGREEMENT/WORK:
A. Responsibilities of the City of Shelton shall be as follows:
1) Provide adequateinfrastructure at the City’s wastewater treatment plant to
accept delivery of digested sludge via tanker/pump truck.
2) Provide further treatment of digested sludge delivered to the City’s wastewater
treatment plant.
B. Responsibilities of Yelmshall be as follows:

1) Perform allrequired lab testson sewer sludge from allYelm-owned or Yelm-
used wastewater treatment locations within a window of thirty days priorto
delivery of the sludge to the City, and provide the City with the lab test results
at least 48 hoursprior to delivery.
2) Ensure that sludge meets all Washington StateDOErequirements for Class “B”
digested sludge and Class “A” metals testing, and share resultsof testingwith
the City inaccordance with the timeframes of section (1) above.
3) Ensure that all digested sludge delivered tothe City has been screened to a
minimum standard of 6 millimeters.
4) Sludge delivered for treatment should be lessthan 6% solids. In the event solid
content inthe sludge is greater than 6%, the maximum amount of sludge the
City will accept is 10,000 gallons per day. In no case, will the City accept sludge
that is greater than 6.5% solids.
5) Schedule at least two weeks in advance for delivery.
6) Deliver only Tuesday-Thursday between the hours of 8:00 am PST and 3:00
pm PST on non-City observed holidays.
7) Require that sludge haulers check-in at the main office of the City’s wastewater
treatment plant before and after offload of sludge.
3. ADMINISTRATION OFAGREEMENT: TheCity of Yelm Department of Public
Works will administer this Agreement for Yelm.The Shelton Public Works Department will
administer this Agreement for the City.
4. DURATION OF AGREEMENT: This Agreement shall take effect upon execution of the
agreement by both Yelm and the City and shallremain in effect until December 31, 2028.
5. TERMINATION OF AGREEMENT:Yelm may terminate this Agreement for any
reason upon 10 days advance notice to the City. The City may terminatethis Agreement for any
reason upon 365 days advance notice toYelm, provided that the City may immediately
suspend itsacceptance of sludge ifYelmis out of compliance with any ofits obligations under
Section I.B of thisAgreement. If acceptance issuspended, the City shall give Yelm notice and an
opportunity to cure anyfailures of Yelm’s obligations. If Yelmfailsto cure after a reasonable
opportunity to do so, the City may terminatethis Agreement at that time.
6. LEGAL/ADMINISTRATIVEENTITY: No separate legal or administrative entity is
created by or pursuant to this Agreement.
7. INDEMNIFICATION:
A.The City shall defend, indemnify and hold harmlessYelm, its officials,

officers, employees and agents for all claims,liabilities, damages, expenses,reasonable attorney’s
feesand suits arising from the City’s performance under this Agreement.
B.Yelm shall defend, indemnify and hold harmless the City, its officials,
officers, employees and agents for all claims,liabilities, damages, expenses,reasonable attorney’s
feesand suits arising fromYelm’s performance under this Agreement, including any claims
arising from Yelm’s use of contractors to performany of the obligations of this Agreement.
C. Solelyfor purposesof the indemnification provisions, each party waivesits
immunity under Title 51 (Industrial Insurance) of the Revised Code of Washington and
acknowledges that this waiver was mutually negotiated by the parties.
D.The indemnification provisions shallsurvive the expiration or termination of this
Agreement.
8. COMPLIANCE WITH REGULATIONSANDLAWS: TheParties shall comply with all
applicable rulesand regulations pertainingto them in connection with the matterscovered herein.
9. ASSIGNMENT:The Parties shall not assign thisAgreement or any interest, obligation or
duty herein without the express written consent of the other party.
10. ATTORNEY’S FEES: In the event of litigation to enforce any of the terms or provisions
herein, each party shall pay all its own costs and attorney’s fees.
11. NOTICES:
All notices and payments hereunder shallbe sent or deliveredto the followingrespective

postmarkaffixed by theUnited States Postal Service shall be conclusive evidence of the date of
mailing.
12. INSURANCE REQUIREMENT: Each party shall obtain and maintainliabilitycoverage
inminimumliability limits of OneMillionDollars ($1,000,000) per occurrence and TwoMillion
Dollars ($2,000,000) inthe aggregate for general liability, errors and omissions, and auto liability,
despitewhen the claim was made.

Each party tothis Agreement agrees to provide the other with evidence of insurance coveragein
the form of a certificate or its equivalent from a solvent insurance provider confirmingcoverage
from a solvent insurance company or pool that issufficient to address the insurance obligations set
forth above.
13. NON-DISCRIMINATION POLICY: Yelm and the City agree not to discriminate inthe
performance ofthis Agreement because of race, color, national origin, sex, sexual orientation,
age, religion, creed, marital status, disabled or Vietnam era veteran status, the presence of any
physical, mental, or sensory handicap, or any other status protected by law.
14. FILING:This document shall be filed with County Auditor pursuant to Chapter 39.34
RCW or, alternatively, listed by subject on either of the Party’s websites.
15. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the
Parties, and the Parties acknowledge that there are no other agreements, written or oral, that have
not been setforth in the text of this Agreement.

Approve Resolution 589 providing authorization to the Mayor to enter into an agreement
with Johnson Controls, Incorporated (JCI) for completion of an Investment Grade Audit
(IGA) of existing city facilities.

The City of Yelm has significant investments in several facilities including water and
wastewater treatment, law enforcement, public facilities, and general governmental offices.
No overall facilities operations, maintenance, or capital planning to date has been executed
, no wide-ranging energy
audits have been completed to review existing facilities and pursue areas to reduce and
defray energy consumption and costs.
In 2017 the City was approached by Johnson Controls Incorporated, a fortune 100
company, to review potential facilities within the City that could benefit from energy
upgrades/improvements to reduce operating costs and increase lifecycle of our facilities
assets. JCI is considered an Energy Services Company (ESCO) and has already been pre-
qualified through the State of Washington Enterprise Services Division to provide services
to Yelm through Performance Based Contracting (PBC).
In 2018, the City and JCI completed a Preliminary Efficiency Analysis Water & Energy
Assessment. Through this no-cost assessment, the City and JCI discover several viable
projects that could result in net savings to the City over time through the use of high-
efficiency HVAC and Electrical, solar power generation, improved processing of Reuse
Water, and improvements to our water metering programs.

Background
The Yelm City Hall located at 105 Yelm Ave W has supported services to the residents
and customers of the City for many years. As the City has grown, so has the need for

In April of 2018 the City contacted Dust LLC, the owner of the real estate at 106 2
interest in selling their building as a the new home for City Hall and adjacent property to
the City as an asset for future public benefit. A purchase and sale agreement was
negotiated in good faith and provided the City with 60-days to complete its due diligence
and determine if the facilities were viable for their needs, determine space
requirements, assess the buildings condition, and ascertain if the project was financially
viable. The original asking price from the seller for the building and adjacent vacant
commercial property was $1,200,000. The negotiated selling price is $925,000.

Current Situation
An appraisal and title review was recently completed and determined that the
negotiated price of the building and vacant land was below fair market value. The
appraiser determined the value of the building and land at $1,000,000. Preliminary
estimates for maintenance and repair needs to the building range from $40,000 to
$75,000, making the asking price reasonable and fair for a commercial space of this
type and quality in the downtown core of the City.
The creation of a unified campus for City services is highly desirable and would
increase efficiency and effectiveness for operations and customer service. This location
is optimal to meet current and future needs as a City Hall and as the primary meeting
location for City Council. The addition of the vacant property creates an optimal
opportunity to strengthen partnerships with community organizations to revitalize the
downtown core, as well as proactively manage the need for future services in the City of
Yelm resulting from continuing population growth.
It is the recommendation of City Staff to pass the resolution whereby authorizing the
Mayor to finalize and execute the purchase of the property as described.

at the Prairie Hotel at 5:00 pm. The Mayor and Council thanked Andrew for the
great job he has done on reporting city news.

• Jennifer Beauchamp is the new Public Works Administrative Assistant and is a
wonderful asset to Public Works.
• Daniel Havirco is the new Public Defender and he started last week.
• Civil Review Engineer position is still open.
• Eric Kolb is the new Custodian for the City of Yelm.
• Open employment opportunities: Civil Review Engineer, 3 Seasonal positions
in Public Works, 1 Water Operator Intern and HR Specialist.
• There will be 2 lateral Police Officers hired and 2 new Police Reserves are off
to the academy.
• The 1'' 5K For the Fallen Run/walk for our fallen military members and their
families. Congressman Denny Heck will be attending and it is planned for May
25, 2018 from 3:00 pm - 5:00 pm.
• Michael Grayum clarified that no theft of groceries from an elder lady took
place at Walmart, from an elderly lady as Facebook stated. She has dementia
and her groceries were found in the parking lot. Our police officers delivered
the groceries to the woman.
• Spring Clean Up will take place on May 19, 2018 at the Public Works Facilities
on Rhoton Road from 8:30 am - 5:00 pm. Please bring the permit you
received in the mail. The event is open only to city residents.

Councilmember Curry attended the Home and Garden Show and the Arbor Day

Mayor Foster stated Intercity Transit had an Open House at the Yelm Community
Center tonight. Mayor Foster is excited that the Lodging Tax Advisory Committee
(LTAC) will be accepting applications from organizations for past events that
benefit tourism in our community.
